Position
William Holder is a partner in the corporate department of SJ Berwin LLP. He qualified at SJ Berwin in 1998 and became a partner in 2006. William has extensive experience of public and private M&A activity and private equity-backed transactions, including advising on compliance with company law and takeover requirements, as well as capital markets fundraisings, IPOs and public-to-privates. In addition, he has advised on venture capital investments, leveraged buy-outs and the establishment of joint ventures. Recent highlights include advising Universal Music Group on the €1.63bn purchase of the BMG Music publishing business; the acquisition of V” Records, a leading independent music company – home to such multimillion-selling artists as the Stereophonics, Paul Weller and Isabelle Boulay; and a recommended cash offer for The Sanctuary Group plc, an international music group encompassing recorded music, merchandising and artist services (including artist management and live agency). Artists currently managed by Sanctuary include Elton John, The Who and James Blunt; the divestment of certain music publishing assets following its purchase of the BMG music publishing business; and advising a private equity consortium and the management team on the sale of Lionhead Studios (a computer games developer) to Microsoft Corporation. He also advised Advising Holmes Place (Portfolio Company of Bridgepoint and Permira) on the divestment of its Iberian business, and on the sale of its UK clubs to Virgin Active, which is part of Sir Richard Branson’s Virgin Group. William has written articles on various corporate law topics.
