Banking and finance: Rosling King LLP has a detailed understanding of the marketplace, advising UK and international banks, building societies and other specialist lenders, corporate clients and investors. The firm handles all forms of loan and security documentation, senior and mezzanine finance, warehouse financing, syndication and participation, leveraged finance, asset and project finance, with particular expertise in transactions involving the sale and purchase of residential and commercial mortgage assets.

Commercial: the firm advises a diverse range of clients in most industry sectors, with particular strength in hotels and leisure, insurance, real estate and financial services, providing practical advice and assistance on contractual issues and commercial agreements covering all trading activities of a business.

Construction: the firm undertakes both contentious and non-contentious work, acting for developers, employers, banks, institutions, consultants, contractors, owners/occupiers, and potential purchasers and tenants. The firm advise clients on a wide variety of projects, including inner-city, town centre and out-of-town projects involving office, retail and/or residential developments and has particular expertise in providing practical advice on the various procurement strategies.

Corporate: the firm has significant experience and expertise in mergers, acquisitions and disposals and advises on transactions of all sizes and across all sectors. The firm advises on all manner of corporate issues, including shareholder and partnership agreements, joint ventures, share schemes, MBOs, reconstructions and reorganisations, share buybacks and all general company matters. The corporate group has a particular understanding of the real estate sector and has a wealth of experience in advising on corporate real estate transactions.

Dispute resolution: the firm has a highly motivated and dynamic team of lawyers with experience in all forms of dispute management. The team has specialists in disputes involving banking and financial services, insurance/reinsurance, professional negligence, consumer credit, engineering and construction, fraud, insolvency, debt recovery, employment, sale of goods, defamation and personal injury.

Employment: the firm handles redundancies, restructuring, contracts, wrongful, unfair and constructive dismissal, TUPE, discrimination, the drafting and implementation of disciplinary and grievance procedures, the enforceability of restrictive covenants, whistleblowing and issues arising from asset and share acquisitions.

Insurance and reinsurance: the firm has advised participants in the London insurance market for in excess of 25 years. The group advises on coverage issues, claims handling, policy drafting and all other aspects of insurance and reinsurance law. The firm deals with all forms of professional indemnity claims, construction claims, financial lines claims, product recall and liability, engineering, manufacturing, property damage and business interruption claims, as well as all forms of casualty claim (such as fatalities, HSE prosecution defences and personal injury claims).

Real estate: the team assists from acquisition to development, planning to construction, leasing, financing and tax to final exit strategies. The firm advises borrowers and lenders on all forms of real estate finance and corporate structuring and handles residential and commercial property transactions comprising development projects, portfolio acquisition, investment and disposals, planning and environmental issues, insurance, social housing, insolvency, and landlord and tenant matters.

Restructuring and insolvency: the firm advises on both contentious and non-contentious insolvency matters on behalf of lenders, investors, creditors, accountants, insolvency practitioners and other corporate clients. The team advise on reorganisations and group reconstructions, asset sales of insolvent companies, administrations, LPA receiverships, voluntary arrangements, liquidations, issues surrounding directors’ disqualification proceedings, insolvency litigation, debt recovery and enforcement.

  • COUNCIL TAX

    In Harrow LBC v Ayiku [2012] EWHC 1200 (Admin) Sales J held that the word “or” in the Council Tax (Exempt Dwellings) Order 1992, art 3 Class N, had a disjunctive meaning, therefore it was sufficient for the non-British spouse of a foreign student to satisfy one or other of the two conditions, namely being prevented from taking paid employment or being prevented from claiming benefits, in order to qualify as a “relevant person” who was exempted from liability to pay council tax.

    In R (Calver) v Adjudication Panel for Wales [2012] EWHC 1172 (Admin) Mr Calver was a member of Manorbier Community Council who successfully challenged the decision of the Panel to dismiss his appeal against a decision by Prembrokeshire County Council Standards Committee censuring him for a number of comments or blogs posted by him on a website he owned and controlled.

  • Judicial Review

    The Judgment of Lindblom J in The Manydown Co Ltd v Basingstoke and Deane BC [2012] EWHC 977 (Admin) repays attention. The Claimant sought to challenge by judicial review 2 decisions of the Council: (1) the Council’s refusal to reconsider its position on the development of a site that it owns (and is the subject matter of a Joint Development Partnership Agreement with the Claimant); and (2) a decision of the Council’s Cabinet approving a selection of sites for development which did not include this site.

    After its torrid passage through Parliament, the Health and Social Care Bill received Royal Assent on 27 March 2012. The Act deals principally with healthcare reform, but it also contains some amendments to the legislative framework for social care.
