Position

Corporate law, concentrating on both cross-border and domestic private company transactions in terms of mergers and acquisitions, venture capital and private equity; joint ventures, shareholder agreements and group structures; corporate fundraising – financial services and financial promotions and capital markets (equity), mostly AIM; issues relating to shareholder disputes and share rights held by senior executives. Recent work: acting for investee company on its private equity fundraising of £4.1m; £90m balance sheet refinancing and reduction of capital; co-counsel for Toronto Listed company in connection with its multimillion dollar acquisition of European business and assets; acting on £2m acquisition of a technology company; acting for the sellers on the sale of an advertising agency; acting for a well-known Independant school in connection with the corporate aspects of an international joint venture and the worldwide franchise arrangements for schools outside the UK and China; acting for an aviation charter and brokerage business on its private equity fundraising; acting for Nomad on the £14m placing and acquisition of an AIM listed client.

Career

Trained Bircham, Dyson Bell; qualified 1989; partner in present firm 2010. Solicitor Bircham, Dyson Bell 1989-94; appointed associate partner 1994; joined Fox Williams as solicitor 1996; appointed partner 1998; joined Bates Wells & Braithwaite London LLP as partner 2010. Current directorships: Mark is a non-executive director of the national children’s charity, Starlight Children’s Foundation, that grants wishes for terminally and critically ill children. Publications of note: Mark has written a number of articles that have been published online and in the national press on such issues as shareholder disputes/agreements and raising capital.
