Norton Rose Fulbright’s ‘very professional and innovative team’ has a wide-ranging practice covering acquisition finance, banking and finance, debt capital markets, derivatives, financial services, project finance, and securitisation. A team headed by Jorge Neher advised Red Kite Mine (as lenders) in connection with a $250m secured debt facility to Continental Gold for the development of the Buriticá gold project. It also provided assistance to Gran Tierra Energía on its acquisition of junior oil and gas corporation Petroamerica Oil Corp for approximately $70m. Puma Energy, CODAD, OHL and Financiera de Desarrollo Nacional are also clients. Practice head Luis Carlos Neira, Leopoldo Olavarría, Hernán Rodríguez and Ana Cristina Jaramillo are all noted for their expertise.

Jaramillo and the ‘experiencedLuis Carlos Neira recently advised Air Liquide on the purchase of a majority interest in medical industry corporation Oxymaster, while a team led by Hernán Rodríguez assisted IAMGOLD Corporation in the acquisition of several mining titles in the city of Antioquia. Venezuela-trained energy expert Jorge Neher acted for Touchstone Colombia in environmental licensing proceedings connected to several mining projects in the country. Head of mining Hernán Rodríguez led advice to Bluecrest on the sale of its mining interests in the country to a private investment fund. Leopoldo Olavarría, Luis Carlos Neira and senior associate Efraín Peña, who heads the environmental practice, are all key figures. The team advised Kentz Caribbean (SNC Lavalin) on the preliminary steps leading to the public bidding to repair the Cartagena and Barrancabermeja refineries; and is also assisting Air Liquide in relation to the establishment of an industrial facility in a free trade zone.

Having merged with the former Chadbourne & Parke LLP in mid-2017, Norton Rose fulbright US LLP now has offices in Brazil and Mexico in addition to its established offices in Colombia and Venezuela. Moreover, it has inherited the legacy firm’s standing in the finance sector, particularly for project finance, structured trade and commodities finance, derivatives structures, and restructurings and workouts. The sizeable São Paulo office has been at the forefront of the restructuring market in Brazil, while the regional practice has been active in structured trade finance deals across the region for commercial and development banks; in addition, it has experienced a notable upswing in deals originating from Argentina, especially in structured trade finance and wind energy projects. The client base includes a number of Brazilian banks, the Brazilian arms of international banks, and Brazilian and other Latin American borrowers, as well as big international lenders such as Citibank and Deutsche Bank. The team also represents a range of lending agencies and development banks, including Corporación Andina de Fomento (CAF). Highlight deals included advising Enel Américas on the corporate reorganisation of its electricity generation, distribution and transmission businesses into geographic segments, involving two simultaneous spin off demergers, the creation of four NYSE listed companies, and a $1.5bn debt financing and $600m bond offering. The team also continued to advise on the landmark Lima Metro Line 2, representing a syndicate of seven lenders on a $300m working capital facility to finance the construction of the metro line, and advised IDB on an $450m credit facility for the purchase of RPI-CAOs and to finance a portion of the construction costs of the line. In another key transaction, the practice group advised Dutch development bank FMO on a $200m structured A/B pre-export finance facility to Argentine grain exporter Nidera. São Paulo partner Charles Johnson is a leader in structured trade and commodity finance, and has a fine record in project finance and straight lending. His São Paulo colleague, Daniel Spencer is a key player in project finance and project bonds, most notably in Peru. Silvia Fazio, Mario Piana and Luis Carlos Neira, in São Paulo, Mexico City and Bogotá respectively, are also recommended.
