Kamil Valiyev has an extensive experience in advising private and public organizations in local and cross-border M&A and commercial transactions in energy and Telecom/IT sectors.   • Acted for and advised international oil and gas service companies in respect of legal and commercial structures of joint ventures with SOCAR for the implementation of works and services under Azerbaijani production sharing agreements and assisted with the development of joint venture and project agreements;
  • Advised and acted for SIKA, an international chemicals manufacturer in connection with the establishment of business and construction of a plant at the Chemical Industrial Park in Azerbaijan;
  • Advised US based international oil and gas field services company on finance, competition, compliance and corporate aspects of investing in a local oil and gas services company;
  • Advised an operator of the High Tech Park in Azerbaijan in connection with public procurement of project management and design services;
  • Advised SOCAR on contractual and legal/regulatory issues and assisted with the drafting and negotiation of the engineering, construction and procurement contract for the development of Urea Plant in Sumgait between SOCAR and Samsung Engineering;
  • Advised SOCAR on contractual and legal issues and assisted with the drafting of the contract for the engineering design and project services for Baku Haydar Aliyev Oil Refinery owned by SOCAR;
  • Advised a Turkish investor and a Japanese investor in connection with acquisition of a participation interest in one of the offshore fields in Azerbaijan;
  • Advised SOCAR in connection with acquisition of shares in TAP AG, a company to be the owner and operator of the Trans-Adriatic Pipeline to be constructed for the export of Azerbaijani gas to Europe;
  • Advised SOCAR in relation to regulatory issues concerning the development of Oil and Gas Processing and Petrochemical Complex.

  • Prior to joining MGB law offices, Kamil was a partner at Baker & McKenzie (2013-2017) where he was advising various international private and state owned companies in energy and IT/telecom businesses on broad range of issues.
  • Kamil has also served as a head of division for the legal support of international projects at SOCAR (2007-2013) where he acted as a lead counsel for a number of high scale upstream and downstream projects sponsored by SOCAR.

  • Cross-border mergers

    The Companies (Cross-Border Mergers) Regulations 2007 (the Regulations) came into force in December 2007 and implements Directive 2005/56/EC of the European Parliament and Council on cross-border mergers of limited liability companies. The Regulations provide for the merging of any two public or private limited liability companies resident in the EU (providing such a merger is permitted under the relevant domestic law of a company) and introduce the concept of a ‚Äėtrue merger‚Äô to the English legal system. Whereas previously in the UK mergers could only be effected by transferring the individual assets and liabilities of the transferor under a traditional business sale and purchase agreement mechanism, the Regulations now allow for the automatic transfer of all assets and liabilities of a transferor by operation of law. Although this is a relatively new process, and to date only a handful of the mergers have been affected, there are signs that an increasing number of companies are now opting to carry out reorganisations of their groups using the new cross-border merger process.
