Anar Janmammadov is a partner at MGB Law Offices and joined the firm in 2007.  Anar has more than 10 years of experience in representing foreign and local companies in proceedings before the Azerbaijani courts in a wide variety of disputes, with a special emphasis on debt recovery, tax, property, IP, employment disputes and enforcement of foreign court judgments and foreign arbitral awards.  Anar acted as an expert on the matters of the Azerbaijani in proceedings before the foreign arbitrations and foreign courts.

In addition to representing clients in contentious matters, Anar has also an extensive experience in advising foreign and local companies in anti-trust, competition, anti-corruption matters, employment and contract law (including distributorship, franchise and agency law).

Experience in Energy and other Industry Sectors in Azerbaijan Includes::

  • Representing the International Finance Corporation (as claimant’s counsel) before the Azerbaijani courts in a case for the recovery of USD 16.3 million debt from a local company and enforcement of mortgage;
  • Representing a South-Korean construction company in a dispute with Azerbaijani state company for the recovery of USD 8.6 million and negotiating a settlement agreement;
  • Representing a French engineering company in a dispute with Azerbaijani state company for the recovery of a 7 million EURO debt and negotiating a settlement agreement;
  • Representing an international marine transport company (as claimant’s counsel) in the Azerbaijani courts in a USD 2.5 million tax dispute;
  • Representing Jotun before the Azerbaijani courts in a claim for the protection of IP rights and prohibiting a parallel import of paint products;
  • Advising Sberbank on the debt restructuring of International Bank of Azerbaijan;
  • Acting as an expert on the matters of the Azerbaijani law in a construction dispute heard by the London Court of International Arbitration;
  • Acting as an expert on the matters of the Azerbaijani law in a court case heard by an Australian court;
  • Representing a Ukrainian company before the Azerbaijani Supreme Court in a case for recognition and enforcement of a foreign arbitral award;
  • Representing Schlumberger in a property lease dispute before the Azerbaijani courts;
  • Representing foreign oil and gas service companies in various disputes (property, employment, etc.) before the courts of the Azerbaijan;
  • Representing Emerson before the Azerbaijani anti-monopoly authorities for the issuance of anti-trust clearance for the acquisition of Pentair’s Control and Valve Business;
  • Advising EBRD on the secured debt financing of a major agro-processing company including the creation of security over immovable property, plant and machinery and IP rights;
  • Advising EBRD on the sale of shares in a local dairy products company;
  • Acting as EBRD’s local counsel in secured loan financing to major retailer of electronic goods in Azerbaijan;
  • Acting for EBRD in respect of secured a multimillion loan to the leading mineral water producer and refinance of the balance of its debt;
  • Acting for EBRD in respect of a multi-million secured loan to local LLC to finance the local borrower’s investment program of US$ 12 million including construction of a new slaughterhouse and the acquisition of land (US$ 8.5 million);
  • Acting for EBRD in relation to reconstruction of the largest iodine producing facility in Azerbaijan and the world involving the secured loan financing.
  • Advising the government of Azerbaijan on the first independent power project in Azerbaijan.
  • Advising foreign companies on the requirements of the Azerbaijani law in relation to distributorship, agency and franchise agreements;
  • Acting as SOFAZ’s counsel and providing SOFAZ recommendations in respect of the laws of the Republic of Azerbaijani in connection with EITI Standards to be implemented in Azerbaijan

  • Cross-border mergers

    The Companies (Cross-Border Mergers) Regulations 2007 (the Regulations) came into force in December 2007 and implements Directive 2005/56/EC of the European Parliament and Council on cross-border mergers of limited liability companies. The Regulations provide for the merging of any two public or private limited liability companies resident in the EU (providing such a merger is permitted under the relevant domestic law of a company) and introduce the concept of a ‚Äėtrue merger‚Äô to the English legal system. Whereas previously in the UK mergers could only be effected by transferring the individual assets and liabilities of the transferor under a traditional business sale and purchase agreement mechanism, the Regulations now allow for the automatic transfer of all assets and liabilities of a transferor by operation of law. Although this is a relatively new process, and to date only a handful of the mergers have been affected, there are signs that an increasing number of companies are now opting to carry out reorganisations of their groups using the new cross-border merger process.
