Main areas of practice include mergers and acquisitions (public and private), joint ventures, rights issues, securities offerings and general corporate advisory work. Clients include Lloyds TSB, United Technologies Corporation, Merrill Lynch, Novartis AG, DSG International, Centrica, Deutsche Post, Yum!, Greene King, Redrow and Dubai World. Jeremy has worked on a variety of domestic and international mergers and acquisitions and joint ventures involving both listed and unlisted corporations. Acted for Lloyds TSB on its acquisition of HBOS and related fundraisings. Acted for DP World on its offer for P&O and for Deutsche Post on its acquisition of Exel plc. Also represented United Technologies Corporation on its public bid for Kidde plc, having previously acted on its bid for Chubb plc. Advised Lloyds TSB on its disposal of Lloyds TSB Registrars to Advent. Acted for the successful consortium in its acquisition of London City airport. Acted for Greene King on its £645m acquisition of the Laurel estate, on Greene King’s securitisation financings and on its acquisition of Belhaven Group. Represented DSG International on a number of acquisitions in Europe. Represented Hutchison Whampoa Group on its acquisition of the Superdrug and Kruidvat stores and the Perfume Shop. Acted for NatWest on its offer for Legal & General Group plc and on its defence of the bids by Bank of Scotland and Royal Bank of Scotland.
