Jessamy is a corporate partner based in London with a leading reputation for her expertise in international public and private M&A and joint ventures as well as corporate governance. She leads the firm’s Global Infrastructure Sector and has an outstanding market reputation for transactions in that market. Jessamy advises a number of the firm’s FTSE listed clients as well as a wide range of global pension, infrastructure and fund/asset manager clients. Jessamy also leads the firm’s global relationship with UBS, working closely with its investment bank, asset management and wealth management businesses.  

Jessamy heads up a senior team of partners who are focused on ensuring that our global fund clients receive an integrated service across the firm’s network, with access to the very best technical and commercial advice and to our unparalleled breadth and depth of expertise across sectors, geographies and legal practice areas.  She is also a member of the Partnership Board, the firm’s governance body. 

Jessamy’s experience includes advising National Grid on its divestment of a majority stake in its £14 billion UK gas distribution business to a Macquarie-led consortium, the largest ever energy and infrastructure deal in the UK; Rio Tinto on its defence of the hostile takeover made by BHP Billiton and its US$15bn rights issue, the first rights issues by a dual listed company; NSW Treasury Corporation (T Corp) and SunSuper on their USD 310m disposal of an aggregate 35% interest in LBC Tank Terminals; Universities Superannuation Scheme on its acquisition of a 10.9% stake in Thames Water; AustralianSuper on two separate transactions to acquire a combined 67% interest in the £4 billion Kings Cross Central development project; Anglian Water on a recommended cash offer by Osprey Acquisitions (IFM Investors, CPPIB, Colonial First State and AMP Capital); PSP on the dissolution of its infrastructure joint venture with GIC, Isolux, involving the disposal of toll road and energy assets in North America, Brazil, India, Mexico and Spain; Allianz, AIMCCo, Hastings Funds Management and EdF Invest on their successful consortium bid for Porterbrook Trains; IFM Investors on its acquisition of a strategic stake in Manchester Airport Group (MAG) and the subsequent successful bid by MAG for London Stansted Airport; and Macquarie Infrastructure and Real Assets, IFM Investors, CPPIB and AMP Capital on the disposal of Wales & West Gas Networks to CKI.

Known to clients as a 'strong lender-side adviser', Linklaters LLP represents an impressive client roster including names such as Macquarie, Allianz, First State and IFM. The team provides a full-service offering across the entire project life cycle and recently oversaw high-profile brown field M&A transactions. Jessamy Gallagher and Roger Barron (the latter now with Paul Hastings LLP ) acted for National Grid in the hive-out and sale of its gas distribution business to NGGD, a holding company formed specifically to own the business after the transaction. In the transport sector, Ian Andrews advised the Ontario Teachers' pension plan and Borealis on the sale of the HS1 group, and a consortium of investors appointed the group to oversee its £2bn acquisition of London City Airport. Stuart Rowson who recently assisted APG and ATP in their takeover of assets owned by infrastructure fund EISER including Belfast City Airport and the East Surrey pipelines.

Linklaters LLP handles a range of rail sector corporate, finance, real estate and regulatory matters for sponsors, lenders, rolling stock companies and government clients. Headline work includes advising the lenders on the $2.73bn project financing of the $4bn construction of the Nacala Corridor Rail and Port project in Mozambique and Malawi; and advising the lenders to the bidders on the £3bn acquisition of HS1 for a joint venture managed by InfraRed Capital Partners.  Fiona Hobbs and Charlotte Morgan lead the team, while Stuart Rowson, Ian Andrews, consultant partner Bruce White, and Jessamy Gallagher are also noted.
