The firm

Alister Avocats is the result of the merger, in January 2009, of the law firm Alexen Avocats with several other French law firms: Lyon Juriste (Lyon, Avignon), EIDJ (Lyon), ISGE (Paris), BBLM & Associés (Marseille and Aix-en-Provence), Pommier Cohen & Associés (Nice), CGCB (Montpellier, Bordeaux, Paris and Marseille) and SP International (Strasbourg), among others.

Due to the historical presence of these various regional law firms, Alister Avocats has a strong nationwide practice, being present in all major French economic centers.

Alister Avocats comprises 50 partners, 150 lawyers and a total staff of 220, and has offices in Paris, Lyon, Marseille, Nice, Strasbourg, Montpellier, Bordeaux, Aix-en-Provence, Avignon and London.

Areas of practice

The firm specialises in a wide variety of both domestic and international commercial work for corporate clients, from private individuals to multinational companies, through the entire range of privately and publicly owned companies and commercial entities.

The firm is organised into practice groups which cover the entire spectrum of legal, judicial and tax specialities. The firm regularly advises foreign companies, particularly European, North American and Japanese companies doing business in France, as well as French companies and individuals doing business abroad.

The commercial department of the firm handles real estate and general commercial work, with about 50% of the firm’s activity being corporate in nature.

The private client department deals more specifically with complex international family structures, international estate and tax planning, as well as all matters related to individuals and their estates, focusing on legal and tax issues in France and abroad.

Another major area of practice is general litigation and arbitration. The firm has a full litigation practice in France in the areas of commercial law, corporate law, mergers and acquisitions, administrative law, banking and securities law, bankruptcy law, competition and European law, copyright law, entertainment law, labour law, insurance law, real estate law, taxation law, and trusts and international estates.

The firm also has a strong information technology and electronic commerce department, which specialises in trademark and copyright protection, computer, multimedia and internet law, and electronic commerce transactions.

  • The new French regulation applying to national insurance contributions for managers and shareholders

French insurance contributions on executive and shareholder remuneration (pay + dividends) have been substantially increased by the National Insurance Funding for 2013 Act, No. 2012-1404, of 17th December 2012. Until 31st December 2012, all dividends were subject to national insurance contributions on unearned income but henceforth, under Article L136-3 of the National Insurance Code, amended by Act No. 2012-1404, certain dividends   are considered as pay received by executives and shareholders and are therefore subject to the national insurance contributions on pay. The Act also abolished the ceiling on health insurance contributions payable by the self-employed and all this means that businesses must rethink the way that they have been structured until now.
