The firm

AZEM & Partners Company was founded in Baku (Azerbaijan) in 2007 and is run by two local partners and a diverse pool of professionals specialising in almost all required aspects of law. The firm takes pride in its young yet experienced, vibrant and professional team of associates who understand the local business environment and have the necessary expertise to offer a quality service.

As a member of PRAE LEGAL International Law Directorate, AZEM & Partners acts in 142 countries with 252 offices over the world and is committed to quality maintenance standards and policies. Drawing on its extensive network, knowledge and understanding of law and business, the firm aspires to create customer value and build client trust. Of course such relationships would not have been fruitful were it not based upon the loyalty and integrity of the firm’s professionals. AZEM & Partners started with a labour law and immigration law practice, but now provides a wide range of services.

The firm’s expertise runs across many specific areas of law from labour/employment law to social insurance to IT/communications, with professionals who have an extensive knowledge and practice in the local market.

Areas of practice

Maritime law: AZEM & Partners gives advice on shipbuilding, repair and conversion contracts and disputes, and deals with marine personal injury investigations and claims, and all aspects of marine insurance including protection and indemnity. The services relating to cargo and goods-in-transit include dealing with claims arising from the movement of goods, including cargo recoveries and claims involving ship casualties, salvage and general average. The firm counsels on liability, quantum and jurisdiction claims and issues under the CMR Convention and standard trading conditions, and all questions of sea private law.

Migration law: In addition to supplying general legal consultation with migration law-related issues, the firm offers support with the following matters: acquiring temporary and permanent residence permits for foreigners and stateless persons (expats); extension of temporary stay in the territory of Azerbaijan; acquiring work permits for expats; visa proceedings; detention, removal, cancellation procedures and exclusion periods; responsibility for violation of migration laws; preparation of required documents for acquiring citizenship and more.

Tax advisory services: whether it is a profit tax, a value-added tax (VAT), or personal income tax, the firm is happy to provide assistance in taxation matters covering the industry or any specific needs: tax planning, choosing the most suitable tax model, a transaction tax risk analysis and/or review of any relevant double tax treaties in the way to optimise tax costs in Azerbaijan.

M&A and corporate: AZEM & Partners advises and provides legal assistance to its clients in all extraordinary corporate matters, including company registration, reorganisation and liquidation, mergers and demerger operations, transfer of going concerns, private equity investments, corporate governance, negotiations, drafting and analysing different commercial agreements; legal due diligence etc.

Islamic finance: AZEM & Partners has extensive experience in the structuring, development, documentation and negotiation of complex Islamic finance transactions. The firm provides Islamic finance advice to clients in the Middle East, Europe and Asia for conventional and Islamic commercial banks, development finance institutions, corporates, investment funds and sovereigns. Its knowledge of Islamic financing structures and strong relationships with investment bankers and Sharia scholars place the firm in an excellent position to address and resolve the issues that arise in integrating Islamic finance facilities into the overall structures of large international multi-sourced project financings.
