The firm

In 2005, F John Matouk, managing partner, and Omar Bassiouny, executive partner, founded Matouk Bassiouny, a full-service law firm based in Cairo. The firm started as a two-partner law firm with 17 fee-earners. The firm’s primary focus was corporate, banking, commercial and aviation, all of which were recognised as premier practices in the market.

In 2016, the firm has eleven partners and 120 fee-earners who specialise in advising multinationals, corporations, financial institutions and governmental authorities on all legal aspects of investing and doing business in Egypt and the region. The firm’s full-service capabilities are supported by four core practice groups: corporate and M&A; finance and projects; capital markets; and dispute resolution.

Areas of practice

Corporate and M&A: headed by Omar S Bassiouny, executive partner, and Tamer El Hennawy, partner and group co-head, the corporate group can assist with all facets of corporate transactions, from initial term sheets and due diligence to negotiations, drafting and completion. The team specialises in providing general corporate and M&A advice to a wide range of multinational corporations, private equity firms, fund managers and blue-chip investors in Egypt and the region.

Capital markets: the group is headed by partner Mohamed Abdel Fattah and includes partners Tamer El Hennawy and Mohamed Gabr and a team of associates, who specialise in securities-related transactions involving the Egyptian Exchange and the Capital Market Authority, including bond issuing, funds management and dual securities listing.

Dispute resolution: F John Matouk, managing partner, heads the dispute resolution group along with Osman Mowafy, Dr Mohamed Shehata and Dr Amr Abbas, who head the litigation and arbitration group respectively. The litigation team enjoys a strong relationship with relevant regulatory authorities (such as with the public prosecutor office and the Egyptian labour office for employment disputes), as well as local law enforcement authorities. The arbitration team is currently representing major clients before the Cairo Regional Centre for International Commercial Arbitration, the ICC International Court of Arbitration and the International Centre for Settlement of Investment Disputes.

Finance and projects: Mahmoud Bassiouny heads the finance and projects group together with Hossam Gramon, head of banking. The team has substantial experience in providing local legal advice including advice on asset-based finance, infrastructure finance, project finance and real estate finance, as well as on the strengths and weaknesses of local security available to lenders in the Egyptian market. The group maintains close relationships with Egyptian finance institutions, which enables it to have firsthand knowledge of what constitutes commercially acceptable solutions for the major institutions involved in large-scale deals.
