Position

Family Business issues and, in particular, the preparation of family succession plans, having worked on more than 60 plans since 1995. - Secretary of the Board of Directors at more than 40 companies. - Design and implementation of corporate restructuring processes. Advice on international taxation and asset restructuring for international businesses. - Tax planning and advice for resident and nonresident entities and individuals. Extensive experience in advising large Spanish business groups (consolidated tax regime), multinationals (with Spanish or foreign parent companies, and subsidiaries), and in the planning process for the restructuring, acquisition and disposal of business groups.

Career

He has spent his entire professional career with the Firm, working in different tax and industry areas at both Spanish and international level. He has acted as an external adviser to various family boards and family businesses. He has led numerous corporate transactions: disposals of companies, agreements with financial, strategic and industrial partners/shareholders, shareholder concentration processes, etc. He specializes in asset and corporate restructuring processes: finding optimum ownership structures according to the tax treatment of the shareholder/company, defining the investment vehicles best suited to the business strategy, etc. He has provided tax advice to companies and groups: optimum investment and divestment structures, etc.

Education

Degree in Law, Economics and Business Studies, Universidad de Oviedo. Álvarez de Linera is an international partner of Garrigues Abogados y Asesores Tributarios, and is the Partner in charge of the Oviedo and Léon offices. He joined the Firm in 1987 and was made Partner in 1999.

  • CHANGES IN THE REGIME GOVERNING RESTRICTIONS ON VOTING RIGHTS AT SPANISH LISTED COMPANIES

    On June 17, 2010, following a rough and eventful passage through Parliament, the Lower House of the Spanish Parliament finally approved a transcendental amendment to the Spanish Corporations Law (to article 105.2) affecting only listed corporations: a prohibition on voting ceilings for a same shareholder (or companies in the same group), regardless of the number of shares they own.
