Public-private partnership in Rostelecom’s projects: opportunities and formats

On May 12-15, 2015, the Public-Private Partnership Development Institute organized a professional development program for Rostelecom staff on PPP projects. VEGAS LEX experts were invited to speak at training sessions.

On May 12 and 13, Head of PPP and Infrastructure Practice Evgenia Zusman spoke at training sessions on Opportunities for Public-Private Partnership in Rostelecom Projects and Other Formats of Public-Private Cooperation, organized by the Public-Private Partnership Development Institute*.

On the first day of training, Ms. Zusman gave a lecture on Nature and Concession Laws: Recent Changes in Concession Legislation and How Concession Laws Can be Applied to Information Society Projects. She spoke in detail about the PPP situation in Russia, about the subjects, facilities and important conditions on concession agreements, and about ways to conclude concession agreements. She discussed the concession legislation development trends and the possibilities of using the concession format for Rostelecom projects.

On the second day of training, Ms. Zusman and Maxim Tkachenko, Executive Director of the Public-Private Partnership Development Center, explained to the participants how private initiative works in concession projects and what legal risks it entails. They also reported the results of the study on Private Initiative in Concessions: International Experience and Prospects in Russia.

The experts discussed the flaws in the current procedure for considering "private initiatives" and grounds for rejecting it, and demonstrated various approaches to private initiatives that can be used by potential initiators, the government agency involved and the financing institution.

The training program included a business simulation game that involved initiating a concession project in accordance with the new procedure. Lawyers from VEGAS LEX’s PPP and Infrastructure Practice, Irina Dolgikh and Mikhail Kornev, took part in the game as experts.

  • What businessmen should know about legislative changes with major and interested transactions?

    It is well known that before making significant managerial decisions, the general director must obtain approval from the shareholders or the board of directors. Apart from that, if a director is personally interested in entering into a transaction, approval is also required to proceed with the transaction. In the absence of such an approval, the transaction can be challenged and, in certain circumstances, invalidated. In order to minimize such risks and to eliminate legal uncertainty for the parties to the transaction, the rules governing major transactions and interested transactions must be sufficiently clear. Previously, however, the application of these rules was associated with a large number of controversial legal issues, which were finally solved as a result of the legislative amendments, which will enter into force on January 1, 2017. According to the new amendments, the distinction between major and non-major transactions has been delineated more clearly, parties have been allowed more flexibility in relation to approving transactions, the burdensome obligation to obtain prior approval of interested transactions has been abrogated, and finally the procedure for challenging transactions in question has been made much more complex. Overall, the changes should have a positive influence on business, as they contribute to the establishment of firm legal certainty in this area of the law.
