Oxford University Press, the well-known UK publisher of reference books, has just published Cross-Border Mergers and Reorganizations, a 984-page reference book for lawyers, in-house counsels, notaries and other advisers, edited by Jérôme Vermeylen (Corporate M&A Law Partner at ALTIUS) and Ivo Vande Velde (Senior Tax Lawyer at Tiberghien). The book contains a detailed country-by-country analysis of the corporate, employment and tax rules on cross-border corporate reorganisations in 13 EU Member States. As well as cross-border mergers, the book also covers cross-border divisions, partial divisions, global contributions and transfers of assets, and transfers of corporate seat. The 13 national chapters were written by practising lawyers, each with particular experience and knowledge of market practice in their Member State. In addition, the book contains an in-depth analysis of the relevant European legal provisions and case law.
The chapters regarding the European corporate law framework were written by Jérôme and Marie Brasseur (also of ALTIUS), and the chapter regarding the European tax framework was written by Ivo. Sven Demeulemeester (Employment Law Partner at ALTIUS), Jérôme and Ivo drafted the Belgian chapter.
