Position

He regularly assists domestic and foreign corporations in a variety of corporate and M&A transactions including, among others, company incorporation (drafting of the relevant deeds of incorporation and by-laws), shareholder agreements, capital contributions, spin-offs and de-mergers, sale and lease of business and all related due-diligence activities, as well as on a wide range of banking transactions, including loans and security agreements and debt restructuring. He has also developed an in-depth expertise in corporate governance matters, and in the drafting and updating of 231 organizational models (administrative liability of companies). Francesco is also well skilled in advicing domestic and foreign clients on ways to deal with corporate restructuring and insolvency matters. To this respect, he has recently been involved in a major transnational bankruptcy-related proceeding involving three Italian companies and two foreign companies.

2010 to present: Founding Partner at Quorum Legal Network (Head of the M&A and Corporate Department of the Milan Office). 2005 to 201: Tonucci & Partners - associate and salary partner of the M&A and Banking department of the Milan office. 2001 to 2005: Studio Legale Associato Carnelutti: associate of the Corporate department of the Milan office. 2000 to 2001: traineeship at the European Parliament in Brussels as legal assistant to a MEP-member.
