The firm

BMF Group LLP (formerly, McGuireWoods Kazakhstan LLP) was formed in 1994 as a wholly-owned Kazakhstani subsidiary of McGuireWoods international law firm. Initially, the main areas of practice in Kazakhstan included mining and international arbitration, and oil and gas.

Over the years, the firm has expanded its areas of practice and become a full-service firm. The main areas of practice now include: banking, finance and securities; competition; intellectual property; corporate; tax; subsoil use; construction and real estate; mergers and acquisitions; international arbitration and dispute resolution; and employment.

In June 2010, the firm started operating as an independent Kazakhstani firm under the new name BMF Group LLP.

Areas of practice

Banking, finance and securities: the firm offers comprehensive legal support in domestic and cross-border financial transactions, including issue and public offerings of debt and equity securities, corporate and project financing.

Anti-monopoly: the firm’s unrivalled competition law expertise covers antitrust regulation, assistance in preparation and gathering of documents required for obtaining consent from competition authorities, and representing clients in competition litigation.

Intellectual property: the IP practice covers all aspects of IP law and protection of trade marks, inventions, industrial designs, utility models, copyrights and related rights, franchising, IP management and enforcement of IP rights in Kazakhstan and other CIS countries.

Corporate: this practice covers the full range of corporate work, from the creation of legal entities, branches and representative offices to their liquidation. Clients include major international and local companies, as well as mid-sized and small businesses.

Tax: the firm provides quality domestic tax advice for a company’s operation in general or in relation to specific transactions. With its worldwide network of partner firms, it is well-positioned to offer cross-border tax advice and tax structuring designed to optimise cross-border taxation of trans-national holding companies.

Subsoil use: the firm regularly advises on the regulation of subsoil use in Kazakhstan, provides legal support to subsoil use-related transactions, assists in preparation and gathering of documentation required for obtaining permits, and represents clients before state bodies and in litigation regarding subsoil use matters.

Construction and real estate: the firm’s pre-eminence, built on its international expertise and knowledge of Kazakh legislation, allows it to act efficiently for clients in market-leading projects and handle all kinds of work, from the preparation of documentation to the sale of real estate.

Mergers and acquisitions: M&A work is a substantial part of the firm’s practice and it regularly deals with cross-border transactions. Kazakh law issues covered include structuring of transactions, drafting documents, legal due diligence, and obtaining permits.

International arbitration and dispute resolution: the firm provides advice and representation to clients on international arbitration and litigation in Kazakhstan and abroad. Through its partner firm network, BMF Group has the capability to locate, engage and manage such lawyers in a co-ordinated manner to offer seamless services.

Employment: the firm advises on all aspects of Kazakhstan labour law and offers services in drafting employment contracts and obtaining work permits for foreign employees. It also conducts training for HR personnel, and represents employers or employees in labour disputes.

  • Recent Changes to Kazakhstan's Constitution

    Following an unusual series of disagreements between the President and the Parliament of Kazakhstan concerning the President’s term of office, the Constitution of the Republic of Kazakhstan1 was amended recently -- fully in accordance with the law - - to allow for early Presidential elections. Specifically, the Parliament proposed a constitutional amendment that would have allowed a referendum on extending the current President’s term of office. However, the President did not support extending his term of office and submitted the proposed amendment to the country’s Constitutional Council, which declared the proposed amendment unconstitutional.

  • Kazakhstan Amends Tax Code

    On 16 November 2009, Kazakhstan adopted certain amendments to its Tax Code (the "Tax Amendments"). Most of the Tax Amendments take effect from 1 January 2010. However, some changes are effective retroactively from 1 January 2009. The primary purpose of the Tax Amendments is to keep the current rates of the corporate income tax and the mineral extraction tax until 2012. Another objective is to simplify tax administration and clarify certain provisions of the Tax Code.
  • Formation of the Customs Union of Russia, Belarus and Kazakhstan

    Russia, Belarus, and Kazakhstan will adopt new unified customs tariff and non-tariff regulations from January 1, 2010, and the Customs Union (the “CU”) of the three countries of the Eurasian Economic Community (the “EurAsEC”) will become a reality. The CU Customs Code (the “Customs Code”) is expected to take effect from July 1, 2010 to regulate the resulting integral customs zone.
