  • Advising on the Amendment of BNP Paribas’ EUR 98,497,331 Financing of Egyptian Electricity Transmission Company’s Sammanoud and Abo El Matamir Substations.
  • Advising the Commercial International Bank and a consortium of Lenders in Orascom Development Egypt’s’ EGP 443 Million and USD 61.4 Million Syndicated Loan Agreement and Common Terms and Inter-creditor Agreement.

Capital Markets

  • Advising the Engineering Company for the Petroleum & Process Industries (ENPPI) in its Contemplated Initial Public Offering.
  • Advising Alexandria Container and Cargo Handling Company S.A.E. on the anticipated Follow-On Offering on EGX for USD 300 Million.
  • Advising El Pharonia Real Estate Investment on the Anticipated Acquisition of 90% of Raya Holding for Financial Investments S.A.E. through Mandatory Tender Offer for EGP 470 Million.
  • Special Egyptian Counsel to the Dealers and Joint Lead Managers in the Establishment, two Updates, and eight Issuances of the Arab Republic of Egypt’s USD 20 Billion Global Medium Term Note Programme. The Dealers and Joint Lead Managers consisted of: Banca IMI S.p.A. UK, BNP Paribas UK, Citigroup Global Markets Limited UK, Deutsche Bank AG UK, First Bank of Abu Dhabi PJSC, Goldman Sachs International UK, HSBC Bank plc UK, J.P. Morgan Securities Plc UK, Morgan Stanley & Co. International plc UK, the National Bank of Egypt, Natixis, and Standard Chartered Bank UAE.  (2015 - 2019).
  • Legal Advisor to the Egyptian Securitization Company’s 7th securitization bond issuance for EGP 1 Billion (backed up by the portfolio of the Corporate Leasing Company Egypt S.A.E. (CORPLEASE)) (2017).  Also advised CORPLEASE in its 6th Securitization Bond Issuance in 2016 (EGP 1.1 Billion), in its 5th Securitization Bond Issuance in 2015 (EGP 802 Million), and in its securitization of EGP 867.6 Million bonds in relation to 190 financial lease agreements for cars, machinery equipment, real estate buildings and land plots in 2014.

Commercial, Corporate, and M&A:

  • Advising El Sewedy Electric Company in the joint venture with The Arab Contractors Company regarding Tanzania’s Rufiji Hydropower Project for USD 3 Billion.
  • Advising Mondi Industrial Bags B.V. in its Euro 24 million Acquisition of the National Paper Products Company S.A.E. and in its Euro 13.6 Million Acquisition of Suez Bags Company S.A.E. through Mandatory Tender Offer.
  • Representing Ray Lab in its USD 70 Billion acquisition of Meta Med.
  • Advised Hewlett Packard in its USD 1.05 Billion acquisition of Samsung Electronics Co. Ltd’s Printer Business.

Projects & Infrastructure:

  • Advising RATP DEV on the Operation and Maintenance of Cairo Metro Line 3.
  •  As a Member of the SYSTRA Consortium, Advising the Government of Egypt on the Design and Procurement (EPC) of the USD 8 billion High Speed High Speed Railway Project Connecting Ain Sokhna to New Alamein City.
  • Advising China State Construction Engineering Corporation Ltd. in the Central Business District Project of the New Capital of Egypt.
  • Advising Middle East Oil Refinery (MIDOR) on the USD 1.2 billion modernization, upgrade and expansion of a new refinery.
  • Advising Majid Al Futtaim Group in its Cooperation with the Government of Egypt towards the Establishment of 100 Carrefour Retail Shopping Malls.

Energy

  • Advising Merlon Petroleum El Fayum Company in its El Fayum, Egypt, concession agreement with the Egyptian General Petroleum Corporation (EGPC).
  • Advised Centamin Egypt PLC regarding its concession for gold exploration and mining at El-Sokkary field in the Western Desert as well as handling all of Centamin’s litigation matters.
  • Advising the Egyptian Electricity Transmission Company in its EPC Contract with the Saudi Electricity Company (SEC) within the Egyptian-Saudi Linkage Project.
  • Advising Infinity-e on the Anticipated Implementation of Public Charging Stations for Electric Vehicles in Cooperation with Several Developers in Egypt.
  • Representing the International Finance Corporation (IFC) in supporting the EETC in the design and implementation of Egypt’s first solar auction program.

Dispute Resolution:

  • Advising the International Finance Corporation (IFC) in the dispute regarding Omar Effendi Debt for USD 35 Million.
  • Representing the Arab Bank in a Case of invalidity regarding the ownership of a building that is currently the headquarters of the Bank for EGP 400 Million.
  • Representing Pepsi Cola Egypt in the Case filed against a sugar supplier.

Employment

  • Representing the majority of international hotel chains in Egypt in the defense against multiple claims by hotel employees.
  • Concluding collective labor agreements on disputed labor issues on behalf of [confidential] Clients.

Intellectual Property

  • Representing Vodafone Telecommunications Egypt S.A.E. in the court action brought by Rotana Audio Visual towards stopping the use of a song by Amr Diab and claiming USD 6 Million as indemnification for related damages.
  • Representing Vodafone Telecommunications Egypt S.A.E. in its appeal against Etisalat for the unauthorized use of the character “El Mared” (the Giant) in TV commercials for EGP 5 Million.
