Position

Cristina Metea`s main specialisation areas are in corporate and commercial, as well as international arbitration law. She is highly experienced on corporate law and commercial contracts, establishment and structuring of commercial companies, domestic and international joint-ventures, consultancy in corporate management and operational structures, duties and liabilities of the management and control corporate bodies. She has advised major international players active in Romania on the regulatory compliance procedures and has also participated to the drafting, amending and adjusting legal and regulatory enactments in a variety of areas. Cristina Metea is also a leading practitioner in international arbitration, having handled arbitration arising from Bilateral Investment Treaties and having been a part of the team having successfully represented Romania in three international arbitration files carried out before the International Centre for the Settlement of Investment Disputes – ICSID. She has as well a broad experience in capital markets, ensuring for many years consultancy services in public offerings, listing procedures and establishment and functioning of investment funds. Other areas of practice are mergers, acquisitions and privatization.

Career

Cristina Metea is a partner at Ţuca Zbârcea & Asociaţii, having 12 years of legal expertise. Cristina has acted as member and coordinator of the legal teams appointed by national and international companies such as: Zentiva; Romtelecom; Colgate–Palmolive; Alstom group of companies; Deutsche Bank. She has been directly involved in some of the most important projects taking place on the Romanian market, including the following ones: lead legal advisor retained Orkla Foods producer in connection with the acquisition of Royal Brinkers and Productie Ardealul by company`s Romanian subsidiary; lead legal advisor retained by Zentiva on a USD 200,000,000 transaction for the acquisition of the largest Romanian drugs producer; coordinator of the legal team assisting Hidroelectrica in implementing the largest corporate restructuring in the energy sector in Romania; coordinator of the legal team assisting Alstom group of companies on various corporate and commercial, including restructuring, pertaining to their operations in Romania; member of the legal team assisting the Romanian Ministry of Justice in relation to the project “Technical Assistance for the Preparation of the enforcement of the New Civil Code, Criminal Code, Civil Procedure Code and Criminal Procedure Code”, by conducting an assessment from institutional, human resources, fiscal and economic perspectives. Cristina Metea is also highly experienced in public international law and was part of the team of lawyers having successfully defended the Romanian Government in the only three such ICSID arbitration cases finalised until today.
