Position

Sorin Vladescu is partner at Ţuca Zbârcea & Asociaţii. His main area of expertise is in the field of energy projects, especially electricity. In this area, he has been involved in a variety of high-profile merger and acquisition transactions, as well as several major privatization deals in Romania. Furthermore, he has advised clients in relation to complex greenfield and renewable energy projects, including the largest onshore wind farm project in Europe. He also has extensive experience in electronic communication matters, having been involved in the drafting and implementation of the Romanian legal framework in electronic communications sector. Sorin Vladescu`s experience also includes audio-visual law, advising on establishment of television channels, on the content of broadcasting regulations and on the arrangements for distribution of pay TV channels.

Career

Sorin Vladescu is founding partner with Ţuca Zbârcea & Asociaţii and coordinator of the firm`s energy and natural resources practice group. In this capacity, he was the coordinator of the legal team retained in various transactions and procedures initiated by CEZ, the biggest electricity producer in the Czech Republic (including its Romanian electricity distribution subsidiary) such as: a EUR 375,000,000 transaction for the acquisition (based on a call-option right exercised in accordance with the provisions of the privatization agreement concluded in 2005) of the minority shareholding (49%) owned in two subsidiaries (CEZ Distributie and CEZ Vanzare) by the Property Fund holding 30% and Electrica – the national electricity distribution company – holding 19%; a EUR 250,000,000 acquisition of two wind projects which will form the largest onshore wind farm in Europe; the procedure for the incorporation of a joint venture with the purpose of building a new electricity and thermal power generation facility; the incorporation of a project company for the completion and operation of Units 3 and 4 of the Cernavoda Nuclear Power Plant; various post-privatization issues of CEZ`s Romanian subsidiaries, including the unbundling process; the acquisition/privatization of one of the largest Romanian electricity distribution subsidiary; the privatization of some hydroelectric power plants. Sorin has been directly involved in some of the most important projects taking place on the Romanian market, including the following ones: coordinator of the team of lawyers assisting the Romanian Wind Energy Association in drafting the successive versions of the proposed amendments to the Law No. 220/2008 for establishing the promotion system for producing energy from renewable energy sources; coordinator of the team of lawyers assisting EGL Gas & Power Romania in the negotiation and signing with EDP Renewables Romania of a power purchase agreement with the purpose of balancing the electricity transportation system – the first renewable energy balancing agreement ever concluded in Romania; coordinator of the legal team retained by BSG Energy Europe BV in a JV project with ELCEN for the execution, operation and maintenance of 2 new combined cycle gas power plants with an installed power of 400 megawatt; coordinator of the legal team retained by Dominus, the Romanian American Enterprise Fund (RAEF) and other minority shareholders in connection with a multi-million Euro transaction for the sale of 75% shareholding held in DoMo (one of the largest household appliance, electronic and IT&C company in Romania) to a British investment fund – Equest Investments Balkans; coordinator of the legal team retained by a famous TV-star in connection with all related audio-visual matters, including during negotiations with various media channels and drafting specific contracts. He also advised or currently advises various local and international companies, national authorities as: CEZ. Voestalpine, MOL Energy and Trade, ZOLD Energia Holdings Ltd, Schneider Electric, BSG Energy Europe BV, as well as various players active in the renewable energy sector. Sorin Vladescu was speaker at various national and international conferences and author of various articles focusing on energy, telecommunications etc.
