Position

Stefan Damian is Deputy Managing Partner at Ţuca Zbârcea & Asociaţii and head of the firm’s capital markets practice group. Stefan assisted in many key-landmark projects, such as the first listing of an international company in Romania. He has also worked very closely with the main regulatory authorities – the Bucharest Stock Exchange and he has represented investment banks, investment and private equity funds, buyout funds, venture capital firms, real estate funds and other alternative investment vehicles, as well as public portfolio companies in many types of investment transactions, including buyouts and recapitalizations, fund formation and management, acquiring participations and exiting procedures, and joint ventures. Stefan is highly skilled in capital market issues, having dealt with all capital markets operations, acquisitions and regulatory matters spanning initial and secondary public offerings, listing, de-listing procedures, swaps, options and derivatives, special transactions with securities etc.

Career

Stefan Damian has recently advised or is currently advising Gabriel Resources Ltd. / Rosia Montana Gold Corporation, Rompetrol Group, Erste/BCR, OMV Petrom, ArcelorMittal, Voestalpine, Morgan Stanley, Merrill Lynch, Credit Europe Bank, RBS Romania, Banca Transilvania, UPC. He has been directly involved in many of the most important projects taking place in Romania, including the following ones: co-coordinator of the legal team assisting Gabriel Resources Ltd. / Rosia Montana Gold Corporation in connection with a USD 4,000,000,000 project for the exploration and exploitation of the biggest and oldest gold mining site in Europe located at Rosia Montana, in West-Central part of Romania; coordinator of the legal team assisting Rompetrol (part of KazMunaiGaz Group) in connection to a EUR 500,000,000 bonds issued by the company and fully subscribed by the Government (bonds redemption/bonds for equity swap), including advice on all corporate, capital market and privatization issues related to the above; coordinator of the legal team retained by Erste Bank in connection with the listing on the Bucharest Stock Exchange Market in accordance with the recently enacted (both at E.U. and local level) regulations on cross-border listings, following a EUR 3.75bn privatization of Banca Comerciala Romana (BCR); coordinator of the legal team retained by Banca Comerciala Romana on all its subsidiaries corporate restructuring (BCR Leasing, BCR Insurance, BCR Life, BCR Asset Management), internal rules, compliance regulations, constitutive amendments etc; coordinator of the legal team retained by ArcelorMittal in group restructuring process, including reorganization of pipes and tubes activities, merger / de-merger scenarios, assisting with relation to shares transfer operations, assignment of certain pipes & tubes production capacities and ensuring integrating operations of resulting separate units within a single industrial platform; coordinator of the legal team which acts for Fondul Proprietatea, with an initial capitalization of EUR 4,000,000,000, in connection with the listing on the Romanian and international stock exchanges, as well as with relation to other corporate and regulatory issues. He has authored various articles in leading publications, including the Romanian sections of The M&A Review 2010, IBA Takeover Guide, PLC Cross-border Competition Handbook – Leniency, 2006 and 2007, and a report prepared by Allen&Overy London on MiFID covering EEA member states; Merger & Acquisition – What should be taken into account, Merger and Acquisition Yearbook 2001; ICN Recommended Practices for Merger Notification Procedures 2002-2004 – Romanian jurisdiction; Squeeze-out/delisting Procedure under the New Capital Market Regulation in The Global Merger Notification Handbook 2002-2004; Considerations on the Joint Liability Existing within Some Groups of Companies. He is a founding member of the Spanish Chamber of Commerce in Romania.
