FBC - Eran Yaniv

Mr. Yaniv is a partner in FBC's Corporate Department, acting for clients in a variety of cross-border corporate transactions with an emphasis on technology, life sciences and venture capital investments.

Mr. Yaniv has a particular expertise in hi-tech and complex international transactions, including mergers and acquisitions and public offerings. He is involved in the structuring and representation of venture capital, mezzanine, and hedge funds operating in Israel and the United States, and has significant experience in restructuring, debt financing, and spin-offs. He regularly advises public and private companies on strategic collaborations, technology licensing, and securities issuances.

Mr. Yaniv serves as the Co-Chairman of the Corporate Committee of the Tel Aviv District of the Israel Bar Association.

Mr. Yaniv lectures as part of the graduate program in Business Management at the Interdisciplinary Center Herzliya, and serves as the joint chairman of the Corporate Committee of the Israel Bar Association.

Fischer Behar Chen Well Orion & Co is active in a wide range of industry sectors, and is engaged by major domestic and international corporates, global capital groups and domestic investment funds, banks and alternative lenders, and company shareholders. The corporate team is led by Avraham Well, 'one of the best dealmakers in the Israeli market'; Well acted for Bank Leumi and Azrieli Group in relation to its NIS2.5bn sale of Leumi Card to New York-based private equity fund Warburg Pincus. Additionally, Nitzan Sandor advised Noble Energy Mediterranean on the complex sale to Tamar Petroleum of 7.5% of its rights in the Tamar gas field; the cash-plus-equity deal carried an aggregate value of approximately $800m. Also of note, Raz Tepper advised Perrigo API on the $110m sale of its active pharmaceutical ingredients business, which was carried out through an auction process. Ronald Lehmann and Michael Zellermayer are also recommended, and Eran Yaniv is a key contact for tech sector deals.

The healthcare and life sciences practice is jointly headed by Eran Yaniv and Raz Tepper, the latter of whom acted alongside Sharon Klein-Manbar to advise Perrigo Company on the sale of its active pharmaceutical ingredients business in Israel. Additionally, Yaniv handled corporate finance transactions for companies including Real Imaging Holdings, Nutrinia, Check-Cap, and Cannasoul Analytics. The team also advised Meuhedet Health Fund on its investment into NARA Medical Centers, and is engaged by investors such as OrbiMed Israel Partners.

Jointly headed by Raz Tepper and Eran Yaniv, the firm has an established track record of taking Israeli companies from the very earliest stages through international expansion processes to eventual exits. In one example, Yaniv and Sharon Rosen advised Fiverr - a client the firm has acted for since its formation - on the acquisition of the entire share capital of Delaware company AND CO Ventures. Ronald Lehmann assisted Servotronix Motion Control with the establishment of a strategic alliance with China's Midea Group, a Fortune 500 consumer appliances company. The team is also active on the investor side, where Tepper has advised Rainbow Medical and OrbiMed Israel Partners on a number of investments in the medtech sector.

The key figure in the IP litigation team is Yael Riemer, who is involved in multiple patent arbitration proceedings concerning IP ownership and protection in the defense and medical device sectors. Acting alongside Reuven Behar and Eran Yaniv, Riemer is also representing Allium Medical Solutions in a dispute with a state hospital regarding an alleged breach by Allium of certain service innovations. The team also handles IP enforcement and various litigious matters for prominent domestic clients in the media industry, including The Sports Channel, Channel 10, and a host of Israeli production companies.

Led headed by Raz Tepper and Eran Yaniv, the team also has experience in fund formation. As an example, Gilad Winkler acted for Menora Mivtachim Insurance in the establishment of a fund in conjunction with Canadian Solar Group. The team also assisted Helios Fund with the NIS450m fundraising associated with the establishment of two new investment funds. In addition, the group also provides ongoing investment and transactional advice to funds and corporate investors including Sky Private Equity Fund, Claridge Israel, and Claltech Investments. Ron Sitton is also recommended.

And over the last week or so, you may have read on mainstream news sites about the death of Gerald Cotton the CEO of Canada’s largest cryptoexchange QuadragaCX. The death of the CEO of a company that few had previously heard of, was news of course, because in his passing he had taken the passwords to the accounts of his customers with him. The result of this being that about $140 million of their money was stuck somewhere between this world and the celestial ether in which Mr. Cotton now resides. Of course, it wasn’t quite told like that. We were fed terms such as “private keys,” lack of “multi-signature protection,” “cold storage wallets” and more readily understandable – “cryptofraud”. Again!
