January 2010

Round Table: on the Commercial Register organized by AmCham

On 28 October 2009 the Managing Partner of Penkov, Markov & Partners, Attorneys-at-law, Mr. Vladimir Penkov presented on a round table organized by the AmCham in cooperation with the BCCI, the BIA and the CEIBG the recommendations of the analysis on the policies and practices of the Commercial Register made by the law firm. The event took place in the Club of the Entrepreneur in Varna.

The panel included the researched matters of the commercial registration as well as the latest developments in Company law.

Active discussions were initiated by the problems identified in the report of the Penkov, Markov & Partners' team, and related to the incompleteness and the imperfections of the legal regulations on the protection of the companies' names, the possibility to provide additional term for amendment / supplement of the applications before refusal of a registration as well as the contradictory and sometimes illegal practice of the Register itself. The latter included also some technical imperfections such as the connections between the separate registers, single desk service and the non-mandatory fields in the forms of the Agency.

The participation of attorney-at-law Penkov is a continuation of the conference "Effectiveness and accountability of the Commercial Register in Bulgaria" held in Sofia on 18 June 2009 and is a part of the integral project for improving the work of the Commercial Register.

With its participation in the project Penkov, Markov & Partners in cooperation with the AmCham, the BCCI, the BIA and the CEIBG continues to demonstrate its active engagement and its efforts towards the improvement of the regulation on the commercial registration in Bulgaria, considering the importance of the optimization of the work of the Commercial Register for activation of the commercial circulation, increasing the stability of the business relations as well as improvement of the investment climate in the country.

  • Why Don’t We Have the Will to Improve the Investment Climate?

All investors, especially those from abroad, when asked about the investment climate in the country indicate a number of factors, besides tax rate, that influence their overall assessment. These factors relate to different areas of business and life in general, but have so far unfortunately gone unnoticed by governments.
