The official receiver for Onoff Sverige AB, attorney at law Mr Lars Eric Gustafsson, has now established his report under chapter 7 section 15 of the Swedish Bankruptcy Act which was sent to Attunda District Court and the Swedish Supervisory Authority in Bankruptcy Proceedings and other parties involved on March 30th, 2012.

An application for composition proceedings has now been submitted to Attunda District Court. The administrator, Michael Levin, has drawn up the administrator’s report.

Hamilton has been included in the Global Arbitration Review’s ‘GAR100’. GAR100 encompasses the world’s leading law firms in international arbitration. It is the first time that Hamilton has entered this global list of leading law firms. Only a few Swedish law firms have previously been included in the GAR100.

Hamilton assisted the sellers in the sale of the Swea Energi Group to DCC Energy. The Swea Energi Group is one of Sweden’s leading suppliers of fuel oil and diesel in so-called bulk supply.

Hamilton’s Tom Johansson and Johan Danelius have won an important case before the Stockholm District Court. They have represented the former CEO of the previously listed company Countermine, Christer Bergquist, who was sued for 35 msek in damages for alleged false information in connection with an issue of shares.

Hamilton has represented Micro Systemation AB (publ) i connection with the company’s change of market place for its listed shares from Nordic Growth Market (NGM) to NASDAQ OMX where trading of the shares commenced on 27 December 2011.

Hamilton has been awarded Public Procurement Law Firm of the Year in Sweden (ACQ Law Awards 2011).

Hamilton has also written a report on Public Procurement in Sweden in the publication “Public Procurement 2011- an overview of regulation in 38 jurisdictions worldwide”, published by Law Business Research Ltd . The authors are Fredrik Linder, Emma Berglund and Mikael Dubois. 

Hamilton's Johan Danelius has, together with Lars Edlund at Grönberg Advokatbyrå, been engaged to review Skandia Liv's acquisition of Skandia AB and to give statements in relation to the prohibition against value transfers that applies to Skandia Liv.

FlexLink is a world leading producer of high end production logistics solutions. Headquartered in Gothenburg, FlexLink has more than 800 employees and operates in 26 countries across the world. Purchaser is Coesia S.p.A., headquartered in Bologna, Italy. The acquisition is subject to customary antitrust approval.

Hamilton assists XCounter AB (publ) in connection with the listing of its shares on NASDAQ OMX First North. The shares in XCounter AB are currently listed on AIM (London) and the first day of trading on NASDAQ OMX First North is scheduled for 7 December 2011.

Opcon AB (publ) has completed a rights issue of shares with preferential rights for existing shareholders.

Hamilton’s TMT | IP team has acted as legal advisor to the Swedish developer of state-of-the-art IT systems for financial marketplaces, Cinnober Financial Technology AB (publ), in connection with the signing of licensing- and development agreements and support and maintenance agreements with the Brazilian exchange BM&FBovespa.

The administrator in the Onoff bankruptcy proceedings, Lars Eric Gustafsson from the legal firm Hamilton, has completed another sale from the estate in bankruptcy. The company’s Estonian subsidiary, Onoff Eesti, with six shops, has been sold to the Estonian company Baltic Retail.

AllTele is a leading actor within the consolidation of the Swedish telecom-market. During the past three years, AllTele has had an annual growth of more than 50 %. The company is now the fifth largest independent telecom-operator in Sweden offering fixed and mobile data- and voice services.

The board of ONOFF Sverige AB has today, Monday 11 July 2011, submitted a bankruptcy petition to Attunda District Court. The district court has appointed Lars Eric Gustafsson, lawyer at Hamilton Advokatbyrå, as receiver.

Hamilton assisted AllTele in the strategic acquisition of Canal Digital’s Swedish IPTV customer base and technology platform. Through this acquisition AllTele will be the largest supplier of IPTV on the Swedish urban network market.

Johan is specialized in company law and dispute resolution. Before Johan started as counsel he worked at the Swedish Ministry of Justice, where he inter alia authored large parts of the government proposal to the current Swedish Companies Act.

Hamilton represented the owners of Koneo AB in connection with the divestment of the Koneo group to Konica Minolta Business Solutions Sweden AB.

The two fund managers GustaviaCapital Management AB and Davegårdh & Kjäll Fonder AB (DKfonder) are merging their businesses.The merged company will be called GustaviaDavegårdh Fonder AB. Davegårdh & Kjäll manages three funds with a focus on Swedish shares. Gustavia manages five funds of which three with a focus on the Balkans, the Middle East and Russia. The managed volume in the merged company amounts to around 1.7 billion SEK distributed among over 50,000 customers. The deal is conditional upon the Swedish FSA’s consent.

Hamilton is representing Investor Growth Capital and Priveq Investment in connection with an acquisition of two pharmacy clusters from Apoteket. The acquisition is conditional upon consents from the Swedish Medical Products Agency and the Swedish Competition Authority.

The rights issue was addressed to a select group of institutional and other large investors. Hamilton’s team consisted of partners Jan Gregorsson and Johan Nordenfalk.

Opcon is an energy and environmental technology Group that develops, produces and markets systems and products for eco-friendly, efficient and resource-effective use of energy. Opcon has now acquired 100 percent of Saxlund Holding AB.

Eric Edström, solicitor at Hamilton Stockholm has been appointed administrator of the company Gnosjö Plast AB.

Accent Equity 2008 is acquiring the Swedish load-carrier manufacturer Mont Blanc in partnership with the management of the company. Accent is acquiring Mont Blanc from the US vehicle accessory company, JAC Products Inc. Hamilton and Mannheimer Swartling will be collaborating.

10.01.08 - Hamilton is advising Mercor Technologies ABon the reconstruction of its business and its agreement with its creditors. Mercor, with sales of approximately SEK 200 million, is an integrated supplier of IT equipment, including hardware and software, service agreements and financing, primarily for major companies in Sweden and Norway.

15.01.2008 - Attorney Hans Berglund of the Hamilton Law Firm in Karlstad has been appointed by the District Court of Värmland as the bankruptcy administrator for ScanMining AB in liquidation.

16.01.2008 - Hamilton is advising the Fågelviks group on the acquisition of Taxi 020 through a public offer. Fågelviks group currently owns Taxi Kurir, Botkyrka Trafik, Taxi Skåne and Norges Taxi. The bid is worth approximately SEK 115 million. The vendors are approximately 100 taxi company owners from Taxi 020.

12.02.2008 - The largest company in Finland in the staffing sector, Varamiespalvelu-Yhtiöt / VMP-Group, has acquired Prima Bemanning AB.

August 12, 2008 - Lappland Goldminers AB (publ), listed on First North and the Norwegian OTC list has made an agreement with the receiver in bankruptcyfor Scan Mining AB and its subsidiaries, to acquire the processing plant and the mines in Blaiken and Svärtträsk. The acquisition sum is SEK 40 million, and will be paid in four segments for a period of three years.
