Mr. Üçer is a partner in the  M&A and Corporate Support practice groups of Hergüner Bilgen Özeke. He most frequently represents foreign clients entering or exiting the Turkish market and local subsidiaries of foreign multinationals. His practice focuses primarily on share transfers occurring in regulated markets, capital markets, and wealth management. In addition to his transactional work, Mr. Üçer provides advice in the fields of executive-level labor law and anti-corruption compliance concerns.


Mr. Üçer came to Hergüner Bilgen Özeke in 2000, where he has been a partner since 2008.

Mr. Üçer is a member of the Istanbul Bar Association, the Georgetown Alumni Association, and the Saint-Joseph Alumni Association. He serves as a Board Member for the Corporate Governance Association of Turkey (TKYD) and Transparency International Istanbuli, and is President of the Istanbul chapter of the International Law Institute (ILI).


Mr. Üçer received his Bachelor of Laws from Marmara University School of Law in 1998, and his Master of Laws from Georgetown University Law Center in 2000.

Hergüner Bilgen Özeke’s banking and finance team is jointly headed by Piraye Kuranel Başol, Mert Oğuzülgen, Kayra Üçer and Yeşim Api Şamlı, who has ‘excellent relations with regulatory authorities’. Areas of expertise include corporate finance, acquisition finance, project finance, and Islamic finance. It also advises on organising employee stock option plans. Recent highlights include advising Merrill Lynch on corporate loans of $70m and €41m provided to Vestel Elektronik Sanayi ve Ticaret. Other clients include Wafra Capital Partners, Telia Company, Blackstone Group and Olmuksan.

Hergüner Bilgen Özeke is adept at handling cross-border transactions involving overseas regulatory bodies. Practice co-head Ümit Hergüner specialises in M&A and corporate law. Kayra Üçer and Senem Denktaş also head the team. It assisted Cardinal Health with the acquisition of Medtronic Medikal Teknoloji's Turkish assets as part of a $6.1bn global deal. Another highlight was advising Securitas on its $28.5m acquisition of Pronet Güvenlik ve Danışmanlık Hizmetleri. Alibaba is another key client.

Hergüner Bilgen Özeke is adept at handling merger filings, alternative merger deal structures, investigations and general competition law issues. It continues to assist Mobil Oil Türk with an individual exemption from restrictions around the sale, purchase, and resale of lubricants. Other clients include Tesco, Sumitomo, Hewlett-Packard and Bristol-Myers Squibb. Süleyman Cengiz, Kayra Üçer and Mert Oğuzülgen jointly head the team.
