fwp advises on the sale of Benda-Lutz Werke GmbH
Fellner Wratzfeld & Partner Rechtsanwälte GmbH (fwp) was the legal adviser for sellers on the sale of all shares in Benda-Lutz Werke GmbH, a leading pigment manufacturing company based in Lower Austria.
The shares in Benda-Lutz Werke GmbH, a leading manufacturer of metal pigments with production sites in Austria, Poland, Russia and the US, were sold to Sun Chemical Group Coöperatief U.A. (Holland), a member of the Japanese DIC group. The closing of the transaction still is subject to the fulfillment of certain conditions, and is anticipated to take place within the coming weeks.
fwp advised the owners of Benda-Lutz on this cross-border transaction. The sale of shares was very complex and required a corresponding high level of expertise.
Within the scope of the sales transaction the entire operative business of Benda-Lutz Werke GmbH was spun-off into a new company. fwp also structured and implemented the spin-off. The shares to be purchased are those of the spun-off company.
