Gómez-Acebo & Pombo fields a ‘superb team of lawyers’ which advises on financing transactions, corporate finance, syndicated loans, asset finance, project finance, debt restructuring, regulatory compliance and investigations initiated by the authorities, among others. The practice is advising Bank of America, Goldman Sachs and others, as the arrangers, on the €6.3bn credit line to Grifols, intended to refinance existing indebtedness and the acquisition of Hologic’s diagnostic unit. The group also assisted Apollo, Davidson Kempner and Avenue as creditors of Cementos Portland Valderrivas pertaining to a refinancing and the necessary steps to be taken in light of a takeover bid launched by FCC. Other clients include Banco Santander, Axiare Patrimonio SOCIMI and Dutch bank Triodos. Miguel Lamo de Espinosa, Carlos Rueda, Rafael Aguilera, Fernando Igartua and Àngel Varela are key practitioners.

Gómez-Acebo & Pombo is particularly active in financing and refinancing deals on the borrower side, where clients include Euroconsult and Assignia. Gómez-Acebo & Pombo’s practice has vast expertise handling transactions in local and international markets, and advises issuers, underwriters, placement banks and investment service providers. The firm acts for Spain’s largest securitisation fund manager Haya Titulización on the amendment and variation of 30 separate securitisations funds and series with a multimillion-euro aggregate value. Other clients include Banco Sabadell, Zambal Spain SOCIM, Asia Orient Holdings and Abanca. Miguel Lamo de Espinosa, Guillermo Guerra and Àngel Varela are the key names.

Gómez-Acebo & Pombo’s team advises local and international clients on areas such as IPOs, rights issues, accelerated book-build offerings, listings and share buy-backs, among other matters. It is advising on all preliminary capital markets steps pertaining to a potential takeover bid for listed company Abertis Infraestructuras, and is assitsing Spanish media conglomerate Prisa with the sale of its 94% interest in Portuguese corporation Grupo Media Capital to Altice in a €450m operation, which included advising on the terms and conditions of the purchaser’s public offer for shares. Gómez-Acebo & Pombo’s shipping practice handles high-end financing matters, often with a cross-border element. Highlights included advising a syndicate of Spanish banks led by BBVA, as the agent, and including Banco de Sabadell, Bankinter and Caixabank, on the credit line granted to shipyard Astilleros de Murueta for the construction of two factory vessels for Royal Greenland, which included assisting BBVA with a refund guarantee facility.
