Hexagon has established a Swedish commercial paper programme
Hexagon AB has established a Swedish commercial paper programme. The programme enables Hexagon to issue commercial papers up to a value of SEK 5 billion. Arranger of the programme is Nordea and dealers are Danske Bank, Handelsbanken, Nordea, SEB and Swedbank. In connection with establishing the programme, Hexagon has entered a SEK 2.5 billion back-up facility.
Mannheimer Swartling advises on ECB rescue package and sovereign debt workout for Greece
In February 2012 Greece received a USD 171.9 billion rescue package from the European Central Bank and private sector investors holding portions of the country’s sovereign debt agreed to restructure their bonds. The rescue package and debt resettlement deal came with several conditions for Greece, including an obligation for Greece to reduce its debt to approximately 120.5 percent of gross domestic product. The effort to restructure Greece’s debt represents one of the largest sovereign workouts since 1900.

Preem and Skangass sign LNG-terminal deal
Preem and Norwegian Skangass have entered into a partnering agreement and ancillary agreements regarding the construction of Scandinavia’s largest liquefied natural gas (LNG) receiving terminal next to Preem’s refinery in Lysekil on the west coast of Sweden. The investment is estimated at approximately SEK 700 million. Skangass will operate the LNG terminal which is expected to supply Preemraff with approximately 200,000 tonnes of LNG per year. Construction is scheduled to be completed by the end of 2013.

Mannheimer Swartling has assisted Varian Medical Systems in entering into agreements for delivery of a proton therapy system to Skandionkliniken. The agreements include supply of an estimated USD 60 million in products. Varian Medical Systems will also have a five year service agreement valued at approximately USD 25 million. Skandionkliniken is the first clinical centre for proton therapy in Scandinavia and will have a capacity of treating 1,000 – 2,500 cancer patients per year. Varian Medical Systems is the world’s leading manufacturer of medical devices and software for treating cancer.
Wallhamn, Sweden’s largest private port, gains approvals for expansion
Mannheimer Swartling has advised Wallhamn AB on matters related to gaining approval for expansion of the port’s fairway to facilitate access for larger cargo ships. The port, owned by the Italian-based Grimaldi Group, is used for RoRo cargo, mainly in relation to the import and export of vehicles. The matter involved negotiations and permitting approval from, among others, the Swedish Transport Agency as well as other authorities and concerned parties. The firm recently also advised the Grimaldi Group on its acquisition of 50 per cent of port Wallhamn from EUKOR Car Carriers Inc, making the Grimaldi Group the sole owner of port Wallhamn.
Stena Bulk in joint venture with Asahi Tankers
Mannheimer Swartling has advised Stena Bulk AB in its new joint venture with Japanese shipping company Asahi Tankers. The joint venture company, Asahi Stena Tankers, will be owned 50/50 by the parties and will invest in tonnage of varying sizes, initially focusing on Suezmax tankers for global transportation of crude oil.
Skandia Liv signs asset management agreement with DnB NOR
Mannheimer Swartling has advised Skandia Liv on an agreement with DnB NOR to manage a portfolio of assets valued at approximately SEK 80 billion. The agreement replaces a previous asset management agreement between the parties and covers DnB NOR’s continued management of a portfolio of Swedish shares and interest and includes a number of special mandates, amongst others in tactical allocation and advice on “socially responsible investing.”

ScanWind is a Norwegian-Swedish developer and supplier of wind-turbines and services for the coastal onshore and offshore market. The value of the transaction is SEK 130 million and is expected to be completed early September.
Nordic credits to Iceland
Loan agreements were signed on 1 July 2009 between Iceland and Denmark, Finland and Sweden respectively, and between Seðlabanki Íslands, guaranteed by Iceland and Norges Bank, guaranteed by Norway. Under the agreements the Nordic lenders have agreed to provide Iceland with total credits of ca. EUR 1.8 billion. The loans will be provided in relation to and as a support of Iceland’s economic stabilisation and reform programme with the International Monetary Fund (IMF). The loans are intended to strengthen Iceland’s foreign exchange reserves.
ICA enters into credit agreement with bank syndicate

The company had approximately NOK 17 billion in premium revenue in 2008.

The restructuring of General Motors’ European operations
Mannheimer Swartling is advising General Motors on the restructuring of its European operations, including i.a. the pooling of the Opel/Vauxhall assets under Adam Opel GmbH and the reorganization of Saab Automobile AB. Saab Automobile filed for a reorganization under Swedish Law in February 2009 and on June 17 the court in Vänersborg approved a 75 per cent writedown of Saab Automobile's more than SEK 10 billion of debt.

Mannheimer Swartling wins precedent-setting tax case
Mannheimer Swartling has advised several individuals in a tax case before the Supreme Administrative Court in Sweden. The individuals were senior managers and had invested in shares of the company which employed them. Furthermore, these individuals were contractually bound by restrictions associated with their share ownership. The matter involved whether their share profits should be taxed as a capital gain or employment income. The Court ruled in favour of the taxpayers and stated that the income shall be taxed as a capital gain, which has a lower tax rate and does not require certain employer contributions to be paid.

Nomura acquires IT operations from Lehman Brothers

Bure Equity sells Textilia to Litorina Kapital
Bure Equity has sold Textilia, the largest private Swedish textile service actor in the public sector, to Litorina Kapital. Litorina will pay a fixed purchase price of SEK 201 million for 100 per cent of the shares in the company. In addition to the fixed purchase price it will be possible for Bure Equity to receive several additional purchase prices based on the future financial results of Textilia.
Argan Capital acquires a controlling stake in the Humana Group
Argan Capital has acquired a controlling stake in the Humana Group which is Sweden's largest service provider for people with functional disorders and which provides, among other things, personal assistants, legal assistance, administrative support, recruitment of assistants and training. Humana offers its services from offices throughout Sweden. Mannheimer Swarting advised Argan Captial with a team consisting of Peter Alhanko who was the responsible partner together with Ann-Charlotte Högberg, project manager and, amongst others, Jonas Andersson and Martin Fagerlund (M&A) and Mattias Lampe, Johan Häger and Will Charles (acquisition financing). The merger notification was handled by Stefan Perván Lindeborg and Jens Agö.
Strålfors sells payment solutions operations

KFF Realestate Holding AB, a company owned by KF Fastigheter AB, has acquired shares in Nynäspark AB.
KFF Realestate Holding AB and NGL Construction 8 AB will through Nynäspark AB, jointly create a trade area with everyday commodities, specialized trade, shopping goods and other services in the former factories of LM Ericssons in Nynäshamn.

Realkapital European Opportunity makes further acquisitions in Germany
The Norwegian fund Realkapital European Opportunity has acquired “Carl-Bosch-Haus” in Frankfurt am Main, Germany. Maria Wolleh was the partner responsible for the transaction and was assisted primarily by Maren Ropeter and Caren Reibold.
This is the fifth transaction in which Mannheimer Swartling has advised Realkapital European Opportunity in connection with acquisitions in Germany. The previous transactions included the sale and lease back of hospitals and the acquisition of commercial real estate.
E.ON and Statkraft have entered into an agreement regarding the exchange of operations and assets
Mannheimer Swartling has advised E.ON in connection with the agreement entered into by and between E.ON and Statkraft which involves a change in ownership of operations and assets to a value exceeding SEK 80 billion. E.ON acquires Statkraft’s total share holding in E.ON Sverige AB of 44.6 per cent as well as a hydro-electric plant in Sweden. In exchange for the share post in E.ON Sverige AB and the hydro-electric plant in Sweden, Statkraft acquires shares in E.ON AG, 40 hydro-electric plants and five heating plants in Sweden, two gas plants, 11 hydro-electric plants, shares in two bio-fuel driven power plants and a contract for delivery of gas and electricity in Germany as well as one hydro-electric plant in Great Britain.
The transaction between E.ON and Statkraft is expected to be completed at the end of the year, subject to approval from the relevant competition authorities.

Firm tops mergermarket's ranking list of premier law firms in the Nordic region
Mannheimer Swartling was adviser in 59 transactions in the Nordic market in 2004. The aggregate value of those transactions was just over 7.1 billion euro. Mannheimer Swartling was also rated adviser in the greatest number of Nordic transactions during the same period by Thomson Financial.
The firm advised in 51 transactions in 2003, which was the second-highest figure in the Nordic region.
