François Warken is the Partner in charge of the Capital Markets practice of Arendt & Medernach.


He specialises in securities laws and capital markets regulation where he advises on all aspects of debt and equity issuances and other capital markets transactions.

He has extensive experience with takeovers and initial public offerings, equity and structured securities offerings for established companies and with a range of liability management transactions such as buybacks or tender offers, exchange offers, consent solicitations and open market strategies. His practice further focuses on regulatory compliance and related corporate governance issues.

Prior to joining the Luxembourg Bar, he worked with one of the Big Four firms in Luxembourg.

Since 1998, he has also been a "candidat notaire".


English, French, German and Luxembourgish.


François Warken participates in various ad hoc interpretation groups on securities law matters with the Commission de Surveillance du Secteur Financier, the regulatory authority of the financial sector in Luxembourg, and is a former member of the Financial Markets Committee of the Association des Banques et Banquiers Luxembourg.

He is also a member of the International Fiscal Association (IFA).

He has been a member of the Luxembourg Bar since 1993 and served as a member on the Luxembourg Bar Council from 2001 to 2003.


François Warken holds a Master's degree in law from the Université Robert Schuman, Strasbourg (France).

With two distinct teams (numbering eight partners in total) focusing on regulatory and transactional work in the banking and finance sector, Arendt & Medernach has the strength-in-depth to provide an all-encompassing service to an impressive roster of financial institutions, including Credit Suisse, UBS, Natixis and HSBC. The 'excellentPaul Mousel and Pierre-Michaël de Waersegger are well regarded for their regulatory knowledge and have been providing high-level strategic advice to a raft of insurance companies, including AIG Insurance and RSA Insurance Group, on their relocation strategies in light of Brexit. On the transactional front, Grégory Minne recently advised HSBC and Barclays on the £420m English-law governed margin facility granted to Global City Theatres in order to facilitate its investment in Cineworld's rights issue. François Warken is 'very strong on the capital markets/structured finance front', and is a key practitioner that also includes debt capital markets experts Matthieu Taillandier and the 'vastly knowledgeablePhilippe Dupont, and Laurent Schummer, who specialises in equity capital markets matters. Other recommended practitioners include Marc Mouton, who has developed a strong reputation for fintech regulatory issues, and Glenn Meyer, whose broad-ranging regulatory expertise frequently sees him instructed on discrete standalone matters as well as on the regulatory issues concomitant to financial services M&A.
