On 26 October 2011 Oslo Børs issued a circular setting out new guidelines on the reporting of IR information for issuers of shares and equity certificates on Oslo Børs and Oslo Axess. This Code of Practice replaces the information symbol and the English symbol as standards for good practice in relation to reporting of IR information for companies listed on a Norwegian regulated market.

NEW NORWEGIAN RESTRICTIONS ON NAKED SHORT SELLING As alerted in our March 2010 newsletter, the Norwegian Parliament has passed a general ban on naked short selling of securities listed on Norwegian regulated markets by way of amendments to the Norwegian Securities Trading Act. The former prohibition applicable to investment firms has been expanded and applies to all investors and intermediaries as per 1 July 2010.

On 8 July 2009, the Singapore Exchange (SGX) and Oslo Børs entered into a Memorandum of Understanding to promote dual listings on the two markets. With its history tied to Singapore, Wikborg Rein has taken an active interest and part in the discussions leading up to the MoU. IMPORTANT CHANGES TO THE RULES ON GENERAL MEETINGS IN PRIVATE AND PUBLIC LIMITED LIABILITY COMPANIES – NEW REQUIREMENTS AND SIMPLIFICATIONS With effect from 3 August 2009 new rules have been implemented in the Norwegian Private and Public Limited Liability Acts. The rules concern the calling and conducting of general meetings as well as additional requirements for shareholders wishing to put items on the agenda. Furthermore, the changes allow for simplifications regarding both the calling and conduction of general meetings, but this requires amendments to the company's articles of association or resolutions from the company's board of directors.

Leveraged buyout activity in European markets has risen to unprecedented levels in recent years. A leveraged buyout, or LBO, shall for the purpose of this letter mean the acquisition of all or a substantial number of the shares in a public or private company (the “Target”) in which a large portion of the purchase price is funded with money borrowed from a bank or other third party. In structuring an LBO, the Target and/or its subsidiaries are frequently required to grant security and guarantees for loans raised by their (future) parent or parent’s holding company (the “Financial Sponsor”) in order to finance the purchase of the shares in the Target. We have below discussed the Norwegian financial assistance rules in connection with LBOs.

On 17 March 2009, a Norwegian High Court held that a non-compete clause in an agreement regarding quarrying rights was contrary to the prohibition against anti-competitive agreements. The High Court held that the non-compete clause had the object of restricting competition and consequently was void. This is the first court case in which Norway’s 2004 Competition Act has been applied in a dispute between two private parties.

On 4 February 2009 the Norwegian Competition Authority announced that it has issued its first fine ever for implementing a transaction before it has been cleared. The Norwegian shipbroker RS Platou was fined for having implemented its acquisition of control of Glitnir Securities, a Norwegian subsidiary of the Icelandic banking group, before the transaction was notified to the Competition Authority.

Since 1987 EU Block Exemption Regulation 4056/86 has allowed liner conferences to fix prices and regulate capacity under certain conditions. This will cease on October 18 2008, following which the slightest violation of the competition rules may trigger dawn raids, investigations and penalties, including significant fines and criminal liability.

Ship managers carry out management services as agents usually on behalf of a shipowner. For example, the ship manager will not be responsible usually for the shipowner’s obligations under an agreement for the supply of bunkers. On 30 October 2007, the European Community, along with Denmark, Iceland, Norway and Switzerland, signed the “new Lugano Convention” (the “Lugano Convention 2007”, or the “Convention”). The Lugano Convention 2007 regulates international jurisdiction and the recognition and enforcement of judgments in civil and commercial matters. When entering into force, it will replace the existing Lugano Convention of 1988 (the “Lugano Convention”).

On 3 October 2008 Oslo District Court approved the Norwegian legislation concerning the operation of gaming activities. In course of the proceedings, several questions were referred to the EFTA Court. In reaching its conclusion the Court relied heavily on the EFTA Court’s preliminary ruling, as well as previous case law from the ECJ and the EFTA Court. The findings of the Oslo District Court are in line with a decision adopted by the Norwegian Supreme Court on 26 May 2007, and thus confirm that the Norwegian courts consider Norway’s strict approach towards the gaming sector to be in accordance with the EEA law.

Prior to the final entry into a FPSO lease contract between a contractor and a field operator, there is a long and sometimes winding road of preparations and negotiations. Decisions made and positions taken in this pre-contractual phase may have an important impact on the final risk allocation, and thereby directly and indirectly the net income of the project. The contractor should keep this in mind, as early wins could lead to later damage to the success and profitability.

Our offshore team has been as busy as the rest of the offshore market for the last 2 years and is now in the phase of taking delivery of rigs contracted in 2004 and providing assistance with employment contracts for the rigs now hitting the market. It has been a challenging period and we have worked on more than 40 different rig projects, assisting with everything from construction/refurbishment contracts, debt/equity financing, stock exchange listings and employment contracts. This would not have been possible without our experienced offshore team with English and US lawyers, network into the Norwegian offshore market and offices close to the shipyards in South East Asia, in particular in Singapore.
