AVELLUM acted as the Ukrainian legal counsel to Private Joint Stock Company with Foreign Investments “Slobozhanska Budivelna Keramika” (“SBK”) in connection with the restructuring and refinancing of SBK’s debt, valued at approximately EUR20 million. Atlas Advisors, an independent investment banking firm, acted as the exclusive financial advisor to the SBK’s shareholders in connection with the restructuring of the credit portfolio, attraction of financing for the debt’s refinancing, and buy-out of SBK’s shares.

The deal covered (1) the restructuring and refinancing of SBK’s debt to an international financial institution (“IFI”) and a number of foreign and Ukrainian banks (“Banks”), and (2) a new refinancing facility from another Ukrainian bank. Following the restructuring, the IFI and the Banks left the deal.

Within the equity part of the deal, SBK’s shareholders repurchased from the IFI and one of the Banks those SBK’s shares that were previously sold to them by way of security.

Founded in 1997, SBK has become one of Ukraine’s largest brick and ceramic block manufacturers. SBK offers the complete production cycle from clay extraction to the shipment of finished goods. The manufacturing facilities of SBK include two plants located in Romny city (Sumy region) and Ozera village (Kyiv region), having the total annual manufacturing capacity of 150 million bricks. SBK has its own raw material base consisting of four quarries located in different Ukrainian regions.

New Law on LLCs in Ukraine

The Law of Ukraine On the Limited Liability Companies and Additional Liability Companies passed on 6 February 2018 shall come into force on 17 June 2018. The Law is a positive sign for doing business in Ukraine as it introduces significant changes and innovations in the legal regulation of the establishment and activities of limited liability companies, which are the most numerous and the most popular form of entrepreneurial activity in Ukraine (second only to individual entrepreneurs).

Prior to the the new Law adoption, the limited liability companies’ activities were regulated by the Law of Ukraine On Business Entities, adopted in 1991 (with many subsequent amendments) and which stopped meeting the facts of life, preventing limited liability companies’ shareholders from handling the issues of corporate relationships between them easily.

The Cabinet of Ministers of Ukraine at its meeting on August 29 resolved [1] to amend its Resolution "On approval of the Order for the use of funds allocated in the state budget for payments related to implementation of judgments of foreign jurisdictional authorities rendered upon consideration of matters against Ukraine" (the "Government Resolution").[2] Appropriate amendments were prepared by the Ministry of Justice (responsible for protecting the state's interests in foreign courts and arbitral tribunals) in order to improve mechanisms to protect the rights and interests of Ukraine in foreign judicial and arbitral proceedings.

The Order of the Antimonopoly Committee dd. July13, 2011, registered with the Ministry of Justice on August 5, amends the Concentration Regulations governing the procedure for submitting documents and obtaining concentration clearances.

Ukraine’s New Anti-Corruption Law

On 1 July 2011, the new Law of Ukraine “On the Prevention of and Counteraction against Corrupt Practices in Ukraine” (the “New Law”) entered into force (except for certain provisions concerning income declaration by state officials, which will become effective on 1 January 2012). The New Law sets forth the main principles for combating corruption. Also, certain amendments to the Criminal, Administrative Violations, and Criminal Procedural Codes of Ukraine entered into effect at the same time as the New Law.

RESOLVING CONFLICTS BETWEEN SHAREHOLDERS

Any joint stock company, if it has at least two independent shareholders, is a center of interest of several parties being in diverse relations. The interest of each of the "co-owners" certainly has its vector. At that rate, the appearance of conflict situation is just a matter of time. The greater is the difference in the objectives of interests the less time is needed.

Until recently it was widely held that human rights had little or no relevance to international arbitration. Arbitration was regarded as being used by international business to resolve disputes in cross-border transactions, whereas issues of human rights and the related legal mechanisms were considered to be limited to matters relating directly to the wellbeing of an individual.

On 13 April 2011 the National Bank of Ukraine (the "NBU") approved Resolution No. 111 "On Amendments to Certain Regulations of the National Bank of Ukraine" ("Resolution No. 111"), which is to amend, inter alia, the Regulation on the Procedure and Terms of Foreign Currency Trades, approved by the NBU Resolution No. 281 dated 10 August 2005.
