At Gernandt & Danielsson AdvokatbyrĂ„, Fredrik Palm and practice head Dick Lundqvist assisted Aerocrine Circassia Pharmaceuticals’ majority shareholder with the public takeover offer to acquire all of the company’s shares. DCM specialist Mikael Borg acted for Moberg Pharma in its SEK300m corporate bond issuance. Other clients include Carnegie Investment Bank and Evolution Gaming Group.

Mannheimer Swartling’s ECM practice is led by Eva HĂ€gg and its DCM practice is led by AndrĂ© Andersson. The firm advised Resurs Holding, Humama and GARO on listings on Nasdaq Stockholm, and handled bond exchanges, securitisations and notes issuance. Com Hem and Nordea Bank are clients. Key figures in the team include Thomas Wallinder, Hans Petersson and the ‘competent and daring’ Emil Boström.

Advokatfirman Vinge’s ‘responsive, knowledgeable and experienced team’ is led by the ‘excellent’ Mikael StĂ„hl, the ‘hardworking and proactive’ Charlotte Levin, and the ‘extremely responsive’ Jesper Schönbeck. StĂ„hl advised Vattenfall on a $400m securities issuance, while Levin and Schönbeck assisted Bravida Holding and Dometic with their respective listings on Nasdaq Stockholm. Swedbank and Swedish Match are also clients.

At Baker & McKenzie AdvokatbyrÄ KB, practice head Joakim Falkner advised Smilegate on its equity and debt investments in Starbreeze, and acted for ABG Sundal Collier in the Lauritz.com IPO. Other clients include Carnegie Investment Bank and LeoVegas.

At Advokatfirman Cederquist, managing partner Tone Myhre-Jensen and Wilhelm LĂŒning focus on ECM work, and Svante Hultqvist and Johan Lundberg handle DCM matters. The firm assisted Bonava subsidiary NCC with its listing on Nasdaq Stockholm and advised CrĂ©dit Agricole and others as the underwriters in a SEK5bn rights issuance by SSAB. Clients for bonds-related work include Millicom.

Hammarskiöld & Co AB’s ‘excellent’ practice is chaired by Peder Hammarskiöld and Carl-Johan Pousette, who acted for Carnegie Investment Bank as joint global coordinators and joint bookrunners in the Wilson Therapeutics IPO and the LeoVegas IPO. Other clients include BNP Paribas and General Motors.

At Advokatfirman Lindahl KB, Annika Andersson and Jesper Johansson are in charge of equity and debt capital markets respectively. Andersson advised CLX Communications on its Nasdaq Stockholm listing, and Johansson assisted AB Sagax with its €150m bond issuance.

Roschier’s ‘very attentive and innovative’ lawyers include ECM practice head Pontus Enquist and the ‘highly experienced’ Johan HĂ€ger. Other key figures include Ola Sandersson and Mattias Friberg. The firm advised AB IndustrivĂ€rden on a SEK5bn rights issuance, assisted Attendo and Axcel and Nordic Waterproofing Holding with their respective IPOs, and acted for sole bookrunner ABG Sundal Collier in a €50m bond issuance by Cherry.

Setterwalls’ team is led by the ‘very professional and supremely knowledgeable’ Kristina Einarsson, and includes Jörgen Axelsson, ‘a powerful partner who displays encyclopaedic legal knowledge and takes a constructive approach’. Axelsson advised Fastighets AB Balder on a SEK1.7bn share issuance, and Recipharm on an SEK805m share issuance. Volvo Car Corporation and Paradox Interactive are also clients.

White & Case Advokat AB’s practice head Rikard Stenberg acted for the underwriters in the SEK3.2bn Bravida IPO, while Darragh Byrne advised Scandinavia Tobacco Group on its IPO and listing. Carl Hugo Parment assisted the issuer SSAB with a major medium term notes programme.

Richard Folke and Emma Norburg head DLA Piper’s capital markets department. Folke assisted Sportamore with its migration from Nasdaq First North to the main market of Nasdaq Stockholm, and acted for Stillfront Group on its IPO. Other clients include NGS Group and RaySearch Laboratories.

Advokatfirman Delphi’s practice head Mats Dahlberg acted for Addtech in its spinoff, its SEK2.5bn IPO and a SEK300m rights issuance. Other clients include SEB and Spectra Cure.

Hamilton AdvokatbyrÄ’s team is led by Ashurst alumnus Ola Lidström. It includes ‘true professional’ Emil Hedberg, who joined from Roschier. The firm advised SciBase on its IPO.

Linklaters’ ‘attentive, solution-oriented and commercially minded’ team is led by Fredrik Lindqvist, who advised Morgan Stanley on the SEK6.9bn Scandic Hotels IPO, and acted for HSBC and others in Castellum’s SEK6.5bn rights issuance.

Hannes Snellman delivers ‘excellent practical advice backed by strong business acumen’. Practice head Sören Lindström and the ‘knowledgeable, judicious and trustworthy’ Björn Kristiansson acted for a broad range of clients in share acquisitions and IPOs. Swedish Match and MedCap are clients.

    A recent Court of Appeal case illustrates the risk that parties (and their counsel) run when an agreement is governed by a law of a different language from that used in the agreement itself.
