Tax The Big Four
Deloitte’s practice has over 50 years’ experience in tax advisory work, with a strong track record in cross-border transactions. Managing partner Luis Fernando Guerra heads the department and has particular expertise in tax credit and insurance, investment banking and venture capital. The practice recently advised Telefónica on tax restructuring of its global IT department, including a new transfer pricing policy.
Ernst & Young Abogados provides corporate and personal tax services, including tax planning and litigation. The firm’s broad client base includes high-level executives and family offices, and international clients with businesses in Spain.
KPMG Abogados’ team is headed by Victor Mendoza and Juan Manuel Moral. Recent work includes tax planning for the merger of several Spanish saving banks and for a potential US acquisition by a Spanish financial entity. Clients include Telefónica, Repsol, Iberdrola, Banco Santander and Caja Madrid.
Landwell, Abogados y Asesores Fiscales’ clients include La Caixa and BBVA. It advises on national and international aspects of corporate restructuring and tax planning, and taxation for banks and insurers. Practice head Miguel Cruz is tremendously well respected.

Spanish Bankruptcy Act reform
Chapter IV, Title III of the Bankruptcy Act (hereinafter, the "BA") regulates the filing of actions against the activity of debtors declared bankrupt in order to return to the bankrupt estate certain assets which the legislator considers should never have been taken away. -

The employer has the possibility to contest the candidate lists in the event that a candidate does not comply with the conditions for eligibility. The Supreme Court recently confirmed that this is only possible within the strict terms provided in the social elections procedure. -

CHANGES IN THE REGIME GOVERNING RESTRICTIONS ON VOTING RIGHTS AT SPANISH LISTED COMPANIES
On June 17, 2010, following a rough and eventful passage through Parliament, the Lower House of the Spanish Parliament finally approved a transcendental amendment to the Spanish Corporations Law (to article 105.2) affecting only listed corporations: a prohibition on voting ceilings for a same shareholder (or companies in the same group), regardless of the number of shares they own. -

Carey Olsen advises on NYSE listing first
Carey Olsen has advised Delphi Automotive PLC (Delphi) on its initial public offering (IPO) on the New York Stock Exchange (NYSE). Delphi is the first Jersey company to have its shares directly listed on the NYSE. Shares in Delphi began trading on the NYSE on 17 November 2011 and the IPO, which was entirely a secondary offering by existing shareholders, raised US$530 million. -
