Clifford Chance’s ‘very strong’ private equity team is ‘quick, knowledgeable and proactive’. Practice head Javier Amantegui and recently promoted partner Samir Azzouzi led advice to KKR on its acquisition of a 40% interest in Telxius in a €3.7bn operation. Luis Alonso is also noted. Clients include Goldman Sachs, Macquarie, Suma Capital and Ardian.

An ‘active name in the private equity arena’, Cuatrecasas is regularly involved in some of the most notable, high-end transactions in the country. In one highlight, the team advised a US-based corporation on the divestment of a well-known company in a deal valued at €1.5bn. It also acted for three private equity corporations on the purchase of a 70% interest in leading aerospace corporation Aernnova. Javier Villasante and Víctor Xercavins lead the group. Mariana Norton, Francisco Martínez and Alejandro Payá are also noted.

Freshfields Bruckhaus Deringer’s private equity group is ‘recognised for its ample knowledge of the sector, and its advice is highly sought in complex, big-ticket private equity transactions’. It assisted new client Hellman & Friedman and GIC with the €1.8bn purchase of Allfunds Bank, a leading financial technology business bank. Armando Albarrán, Javier Monzón and counsel Bosco Montejo are noted.

A leading firm in the PE arena’, Garrigues handled Global Infrastructure Partners’ purchase of a 20% stake in Gas Natural from Repsol and Criteria Caixa. Other work included advising Telefónica on the sale of a 24.8% interest in Telxius sale to KKR. Fernando Vives, Álvaro López-Jorrín and Mónica Martín de Vidales are recommended.

Highlights for Linklaters’ team included acting for a consortium of institutional investors on the €2.6m acquisition of natural gas distribution corporation Naturgas and its subsidiaries from Energías de Portugal. Other work included Victor Manchado acting for Banco Santander and others on the €1.8bn sale of Allfunds Bank to funds affiliated with Hellman & Friedman and GIC. The seven-lawyer group is led by Alejandro Ortiz. Alexander Kolb, Lara Hemzaoui and Carmen Burgos and associate Esteban Arza are also noted.

Uría Menéndez has extensive expertise advising local and international clients on all stages of private equity transactions. Highlights included acting for CVC Capital Partners on the acquisition of a 25% stake in Compañía Logística de Hidrocarburos (CLH) and advising Magnum Capital on the sale (including assignment of loans) of its entire shareholding in Sócrates Schools, the parent company of the Nace Group, which operates schools in Spain, France, the UK and India. Christian Hoedl and Juan Miguel Goenechea lead the team. Tomás José Acosta, Diana Linage Gómez and Cristina Gracia Colldeforns are also recommended.

Allen & Overy has been kept busy advising leading private equity funds on M&A transactions pertaining to Spanish assets. Iñigo del Val advised Investcorp and ICG on the €400m sale of Esmalglass. The team also assisted AMP Capital Partners with the sale of CLH to Macquirie in a cross-border operation valued at €1bn. Antoni Valverde, Fernando Torrente and Juan Hormaechea are all recommended.

Ashurst LLP’s Jorge Vázquez acted for ATP Pensions & Investments on the acquisition of two stocks of shares in Redexis Gas with an aggregate value of €350m. Abertis, Infravía Capital Partners, HIG Capital and Macquarie are also clients. José Christian Bertram and María José Menéndez are other key names.

Baker McKenzie’s private equity group advised Palamon Capital Partners and the remaining shareholders of SARquavitae (a leading elderly care provider) on its sale to PAI Partners, in a complex transaction valued at €550m. Other clients include Apax Partners, Miura Private Equity and Goodgrower. Luis Casals and Javier Menor, who jointly head the practice, and Jorge Adell are the key names.

CMS Albiñana y Suárez de Lezo’s team advised Acciona on acquiring a 13.3% stake in German corporation Nordex for €335m; the parties had agreed a complex agreement with the intention of creating a major windpower corporation, which involved Nordex acquiring Acciona Windpower for €785m and Acciona subsequently purchasing a stake in Nordex. Gracia Sainz and Carlos Peña are the names to note.

Gómez-Acebo & Pombo’s team advised US-based Laureate Education on the €341m sale of the Glion Institute of Higher Education and Les Roches International School of Hotel Management and their interests in affiliated campuses and partners to Eurazeo. Iñigo Erlaiz and David González lead the practice.

Latham & Watkins LLP acts for private equity sponsors, sovereign wealth funds and investments banks. Highlights included advising Meridia Capital on the acquisition of an approximately 78.7% interest in Sosa Ingredients. Lovell Minnick Partners and PAI Partners are also clients. The ‘prestigious’ Juan Picón, Ignacio Gómez-Sancha and José Sánchez-Dafos joined from DLA Piper LLP. Ignacio Pallarés is also noted.

Pérez-Llorca’s strong team advises on complex matters. Highlights included acting for Northwood Investors on the sale of its interest in three Spanish corporations that have a combined interest ownership of 80.37% in Diagonal Mar Shopping to Deutsche Bank. Senior partner Pedro Pérez-Llorca, Julio Lujambio, Carmen Reyna and Pablo González head the practice.

DLA Piper LLP’s private equity team acted for CVC Capital Partners on the approximately €5.7bn sale of private healthcare group Quirónsalud to Fresenius. PAI Partners, Oaktree and Nazca Capital are also clients. Ignacio Gómez-Sancha, José Sánchez-Dafos and Juan Picón have left the firm to join Latham & Watkins LLP.

Herbert Smith Freehills LLP is a key name for advising investment funds on the buy-side. The group acted for Trilantic Capital Partners on the acquisition of the Pachá Group, which included handling the acquisition financing. Nicolás Martín and Alberto Frasquet are the practice heads.

King & Wood Mallesons is highly regarded for advising on fund formation. Practice head Isabel Rodríguez advised Alantra (formerly N+1 Private Equity) on the structuring of its new fund PEF III.

RCD - Rousaud Costas Duran’s team forms part of the firm’s wider innovation department, which handles private equity matters in the technology, biotechnology and health sectors, among others. Ignasi Costas is the key name.

EY Abogados’ private equity capability was bolstered by the arrival of Francisco Aldavero from Araoz & Rueda. The group advises clients on transactional and regulatory-related matters. Simeón García-Nieto is also noted.

At Eversheds Sutherland Nicea, Sixto de la Calle and Juan Díaz act for clients including Harbert Management, Satlantis Microsats, Sareb and Investec Asset Management.

Hogan Lovells International LLP’s team advised Affidea on its acquisition of Q Diagnóstica from Alantra. José Balañá is noted.

At boutique firm J. Almoguera y Asociados, the ‘respected’ Jesús Almoguera acts for clients on complex private equity instructions.

Jones Day advised Total on the €3.2bn sale of Atotech to The Carlyle Group. Federico Merino heads the practice.
