Clifford Chance’s 30-strong team is commended for its ‘agility, business acumen, industry knowledge and appropriate advice’. Recent mandates include advising MasMovil on its €612m acquisition of Yoigo from Telia-Sonera et al; WiZink (formerly Bancopopular-e), on its acquisition of Banco Popular’s Portuguese credit and debit card businesses and Barclay’s Barclaycard business in Spain and Portugal. Javier García de Enterría, Javier Amantegui, Jaime Velázquez and José María Fernández Daza are all noted.

An active actor in the Spanish corporate and M&A arena Cuatrecasas advised renewable energy company Eolia on its €919m acquistion by Oaktree Capital. Other notable clients include Enel Green Power, Nomad Foods, Lone Star and ArceloMittal. Javier Villasante, Víctor Xercavins and Federico Roig are all key members of the practice. Freshfields Bruckhaus Deringer provides the ‘highest quality of service’ according to sources and is praised for ‘its thourough knowledge of the Spanish corporate market’. Armando Albarrán leads the practice with the outstanding collaboration of Javier Monzón, David Franco and public law specialist Ignacio Borrego. Work highlights include advising Merlín Properties SOCIMI, Testa Inmuebles en Renta SOCIMI and Testa Residencial on their merger with Metrovacesa to form Spain’s largest real estate corporation (also one of the biggest in Europe) with a portfolio valued at €10bn. Other clients include Barclays and Nordex.

A ‘big name in the M&A sector’, Garrigues houses one of the largest corporate teams in the country and ‘its lawyers are professional, responsible and have a personal approach’. Mónica Martín de Vidales and Alvaro López-Jorrín co-head the practice and recent work highlights include advising Coca-Cola Company on the €20bn cross-border merger of three European subsidiary bottler companies to form Coca-Cola European Partners (CCEP). Fernado Vives and Renata Mendaña are both noted.

Without a doubt a leading firm in the Spanish market’, Linklatershas rapidly gained a name as a firm of reference for corporate and M&A matters’. A team led by Sebastián Albella and Alexander Kolb acted for Siemens on the €6.6bn merger of its wind-power business with that of Gamesa to form the world’s larger wind power corporation. The practice also advised renewable energy corporation Vortex on its €550m acquistion of a 49% stake in EDP Participaciones. Alejandro Ortiz leads the practice and public law expert José Giménez is also very involved in corporate work.

Considered by many ‘the first port of call for M&A transactions’, Uría Menéndez is ‘a cornerstone of the Spanish market’. It regularly advises Fortune 500 and large Iberian companies and in a recent highlight, acted for Gamesa on the €6.6bn merger of its wind power business with that of Siemens. Juan Miguel Goenechea, Juan Martín Perrotto, Steve Hess, Salvador Sánchez Terán, Juan Francisco Falcón and Manuel Echenique are key members of the practice.

Ashurst LLP’s team has been involved in some of the most significant transactions in the sector and advises clients such as Coca-Cola, Albertis, Macquarie and Infravia. María José Menéndez led a team acting for Albertis on its €948m acquisition of a 50% stake in Chile’s Autopista Central highway project from AIMCo. Jorge Vázquez, Pedro Ester and of counsel Francisco de León are noted.

Baker McKenzie’s corporate practice is commended for ‘professionalism paired with personalised service’, and works closely with the firm’s tax and employment departments. Notable instructions include advising El Corte Inglés on the sale of 10% of its shares to a company owned by a member of the Qatari royal family. Enrique Carretero and Jorge Adell lead the team.

Corporate and M&A work is a core practice at CMS Albiñana y Suárez de Lezo. Managing partner César Albiñana led a team which advised Iberdrola (as majority shareholder in Gamesa) on the merger of the latter’s wind power business with that of Siemens; it also advises the same client on various corporate governance matters. Practice co-head Rafael Suárez de Lezo is also noted. Other clients include Acciona, Telefónica, BBVA and Ferrovial.

Top-choice for many local and international corporationsDLA Piper LLP is reputed for ‘its excellent services’. Work highlights saw practice co-head Juan Picón lead advice to PAI Partners on the €2.9bn sale of Swissport to HNA Group in a complex, cross-border transaction involving ten jurisdictions. Co-director José Sánchez-Dafos, Ignacio Gómez-Sancha, Joaquín Echanove and Iñigo Gómez-Jordana are all respected practitioners.

Gómez-Acebo & Pombo Abogados’ corporate team has gained profile as a result of ‘its reliability and understanding of client’s business priorities’. Under the leadership of Fernando de las Cuevas, Andrés Castro and Ignacio de la Fuente it advised Hoist Local on the acquisition of a division of Swisscom Hospitality Services. Other notable clients include BTG Pactual, Schindler and Oman Oil Company.

Hogan Lovells International LLP is well-known for its expertise handling international mandates and commands particular respect for its infrastructure, new technologies and life science-related work. In a notable instruction, it assisted HNA Group on its $2.8bn acquisition of Swissport. José Balañá, Lucas Osorio, Graciela LLaneza and Alex Dolmans are the key practice contacts; clients include Europcar, Mahou San Miguel, Sacyr and Metrovacesa.

Jones Day has an ‘impressive list of clients’ in a variety of sectors including construction, industrial products, energy, media and telecoms. The practice advised Cardinal Health on its $1.9bn acquisition of Johnson & Johnson’s Cordis business. Federico Moreno, Miguel Bermúdez de Castro and Manuel Vara head the group.

Pérez-Llorca continues cementing its presence in the Spanish corporate market; its knowledgeable team receives praise for its expertise in complex, high-end, cross-border M&A deals, where highlights included advising Coca-Cola Enterprises (CCE) on the Spanish aspects of its €20bn, cross-border merger with Coca-Cola Iberian Partners (CCIP) and Coca-Cola Erfrischungsgetränke (CCEG) to form Coca-Cola European Partners (CCEP). Pedro Pérez-Llorca leads the practice with strong support from Vicente Conde - Julio Lujambio and Fernando Quicios.

Recent mandates at Allen & Overy include advising Banco Sabadell on its proposed €2.4m offer to purchase TSB Banking Group’s issued capital; it also acted for Coca-Cola Iberian Partners on the Spanish aspects of its merger with CCE and CCEG. Practice co-heads Pablo Mayor, Antoni Valverde and Iñigo Del Val are recommended. Fernando Torrente, previously at Cuatrecasas has joined the team.

Led by Pedro Rueda, Araoz & Rueda’s corporate team excels at advising foreign investors and Spanish corporations on significant transactions. It acted for Charme Capital Partners on the acquisition of Igenomix, and also advised leading pet healthcare and food group, Bob Martin, on the Spanish aspects of its acquisition of three Nestlé subsidiaries located in different jurisdictions. Francisco Solchaga is also noted.

Deloitte Abogados is rapidly gaining a name for Spanish corporate law matters, advising on a range of M&A transactions in close relationship with the firm’s tax and financial departments. Sharon Izaguirre led advice to Kutxabank on the €930m sale of its Neinor real estate and sales business, together with a real estate portfolio, to Lone Star. Francisco Mayor is also recommended.

Herbert Smith Freehills LLP receives deserved commendation for its expertise in the corporate aspects of sectors including energy, infrastructure and financial services. Headline work includes advising TSB on its £1.7bn takeover by Banco Sabadell. Nicolás Martín and Álvaro Sainz are both noted for their expertise and other practice clients include Oaktree Capital Management and Telefónica.

Headline matters for King & Wood Mallesons include advising the shareholders of El Corte Inglés on the sale of a 10% stake to former Qatari Prime Minister, Sheik Hamad bin Jaber Al Thani, in a €10bn operation. Roberto Pomares and Carlos Pazos head the team.

Latham & Watkins LLP’ practice co-head Ignacio Pallarés led advice to Odyssey Investment regarding associated company Duravant’s €116m acquisition of packaging corporation Mespack. Team co-leaders José Luis Blanco, Ignacio Balaña and Manuel Deó are also noted.

Under the leadership of Antonio Tapia and Borja Díaz-Guerra, the team at Benow Partners advised India-based Minda Group on the Spanish aspects of its multijurisdictional acquisition of Rinder Group’s global lighting business, including legal and tax due diligence.

The ‘business-oriented’ corporate team at Bird & Bird has vast expertise in M&A, spin-offs, joint ventures, corporate and debt restructuring and general corporate advice. Lourdes Ayala heads the practice.

Broseta Abogados specialises in sales, mergers, spin-offs and general corporate transactions with particular emphasis in the mid-market. The practice advised Allot Communications on post-closure and day-to day corporate matters, following the client’s acquisition of global IT security corporation Optenet. Julio Veloso and Alejandro Rios are the key contacts.

Olleros Abogados earns praise for its corporate advice. The team has advised Corporación Habanos on its expansion strategy into markets such as China, India and Brazil. Jaime Olleros, Jaime Espejo and Gonzalo Cerón are noted.

RCD – Rousaud Costas Duran’s corporate department has been particularly active advising clients in innovative industry-sectors including IT, telecoms, biotechnology and pharmaceuticals.

Ramón y Cajal Abogados offers ‘solid technical knowledge and good commercial awareness’. Diego Lozano and Antonio Sánchez Montero are the key names and clients include Securitas Direct, Procisa and Heinsenberg Group.
