Clifford Chance’s ‘very professional’ corporate team ‘impresses with its level of service, quality, skills, knowledge and the integrity of its lawyers’. Recent highlights include advising KKR on its acquisition of a 40% interest in leading telecoms corporation Telxius, which had an aggregate value nearing €3.7bn; Javier Amantegui and recently promoted partner Samir Azzouzi led the advice. The team also assisted MásMóvil with its €612m purchase of Yoigo. Practice head Javier García de Enterría, Jaime Velázquez, Luis Alonso, Guillermo Guardia and José María Fernández Daza are recommended.

Cuatrecasas fields one of the largest corporate teams in the country and is regularly involved in the most notable high-profile transactions in the market. It advised Multitel (as part of the Altan Redes Consortium) on the structuring and incorporation of its successful public tender to operate a shared telecoms network in Mexico, valued at $7bn, and acted for Towerbrook Capital Partners, Torreal and Península Capital on their €900m acquisition of a 70.6% interest in Aernnova. Javier Villasante and Víctor Xercavins head the team, ably aided by Federico Roig, Raimundo Segura and Juan Aguayo.

Freshfields Bruckhaus Deringer is commended for ‘its proven knowledge of the marked paired with a high-quality service’. Headline work included advising Hellman & Friedman and the Government of Singapore Investment Corporation (GIC) on their agreement to acquire leading technology business Allfunds Bank in a €1.8bn deal. Other highlights included acting for Fresenius and its subsidiary Helios Kliniken on the €5.8bn acquisition of Quirónsalud from CVC. Armando Albarrán, David Franco and Javier Monzón are the key names. Joe Amann and Alfonso de Marcos are also noted.

A major name in the Spanish corporate market’, Garrigues houses a ‘large and very experienced team of corporate lawyers’. The team advised BBVA on its merger with Catalunya Banc in a €2.7bn deal, and assisted US fund Global Infrastructure on its acquisition of a 20% interest in Gas Natural from Repsol and Criteria Caixa, in a €3.88bn operation. Other clients include Merlín Properties SOCIMI, Peugeot and Telefónica. Mónica Martín de Vidales, Álvaro López-Jorrín and Fernando Vives are recommended.

Linklaters’ ‘top-notch’ practice is praised for ‘its industry knowledge, agility, pragmatism and quick responses’. The practice advised Siemens on merging its wind power business with Gamesa, in the largest M&A transaction of 2016. It also assisted a consortium of institutional investors, including JP Morgan, the Abu Dhabi Investment Council, Swiss Life and Covalis Capital, with the acquisition of Naturgás and its subsidiaries with a transaction value of approximately €2.6bn. Alejandro Ortiz, Alexander Kolb, Víctor Manchado, and José Giménez, who heads the firm’s public law department, are key contacts.

Uría Menéndez is the ‘first port of call for many corporations’ – it acts for several Ibex 35 and large Iberian corporations – and is well-known for its expertise and thorough knowledge of the market. The team is advising Abertis Infraestructuras on a voluntary tender offer by Atlantia in the sum of €16.4bn. The practice also assisted Banco Santander with the €1.8bn sale of Allfunds Bank. Other clients include Banco Popular, Euskaltel, Investindustrial and Banco Mare Nostrum. Juan Manuel Goenechea, Juan Martín Perrotto, Steve Hess and Manuel Echenique jointly head the practice.

Allen & Overy has been kept busy advising companies and sponsors on local and international big-ticket M&A deals. Iñigo del Val led advice to Gamesa on its merger with Siemen’s wind power business, and Antoni Valverde acted for TUI Group on the €1.2bn sale of Hotelbeds Group to equity investor Cinven Capital. EQT Infrastructure, Indorama Ventures and Intermediate Capital are also clients. Fernando Torrente and Pablo Mayor are other names to note.

Ashurst LLP is regularly instructed by major players to assist with significant transactions. Highlights included advising Aviva on the sale of its 50% stake in Unicorp Vida and Caja España Vida, and its interest in Aviva Vida y Pensiones to Santa Lucía for an aggregate value of €480m. The team also assited Danish corporation ATP Pensions & Investments with the acquisition of two stakes of shares in Redexis Gas for a global value of €350m. María José Menéndez leads the practice. Jorge Vázquez and Francisco de León are also key practitioners.

Praised for its ‘professionalism and personalised service’, Baker McKenzie’s corporate team works closely with the firm’s other departments to provide complete advice to its corporate clients. The practice advised FCC on the takeover bid launched by its largest shareholder Carlos Slim, via its holding company Inversora Carso, to acquire 100% of FCC’s shares, in a €5.8bn deal. Enrique Carretero and Jorge Adell lead the practice, and Javier Menor and Maite Diez are also noted.

CMS Albiñana y Suárez de Lezo is a key name for corporate matters. The team advised Iberdrola, as majority shareholder in Gamesa, on the latter’s merger with Siemens’ wind power business and also acted for Telefónica on the €1.3bn sale of a 40% interest in its wholly owned subsidiary Telxius. Carlos Peña, Antonio Pino and Gracia Sainz are noted.

The ‘reliable team’ at Gómez-Acebo & Pombounderstands client’s business needs and priorities’ and is adept at handling complex, high-end corporate and M&A matters. Highlights included advising Oman Oil Company on the sale of a 10% interest in Compañía Logística de Hidrocarburos to Macquarie for the sum of €1bn, and acting for the shareholders of Albany Molecular Research and AMRI on the Spanish legal issues pertaining to their merger into a new entity, in a €922m global deal. Other clients include Grupo Prisa, Axión, Laureate Education and Seaya Ventures. Iñigo Erlaiz and Fernando de las Cuevas lead the practice. Mónica Weimann, Fernado Igartua and Richard Silberstein are also noted.

Hogan Lovells International LLP’s corporate team handles high-end international mandates, particularly in the infrastructure, new technologies and life-science sectors, and has been involved in some of the largest transactions in the market. It advised Chinese corporation HNA Tourism Group on the acquisition of Carlson Hotels, which included a 51.3% stake in Rezidor Hotel Group listed on the Stockholm stock exchange, in a multibillion-dollar operation. Affidea, Europcar, and Loxam are also clients. José Balañá, Alex Dolmans, Graciela LLaneza and Lucas Osorio are the key names.

Jones Day acts for ‘an impressive list of clients’ across a range of sectors, including construction, industrial products, energy, media and telecoms. Highlights included assisting Total with the $3.2bn sale of its affiliate company Atotech, a global manufacturer of high technology plating solutions, to the Carlyle Group and advising International Automotive Components on a joint venture with Shanghai Shenda to supply soft trim and acoustic products to automotive original equipment manufacturers. Federico Merino, Miguel Bermúdez de Castro and Manuel Vara are noted.

Latham & Watkins LLP made several key hires with the arrival of Ignacio Gómez-Sancha, José Sánchez-Dafos and Juan Picón from DLA Piper LLP. The trio join other key names in the team including José Luis Blanco, Ignacio Pallarés, Ignacio Balañá and Manuel Deó. The practice advised IFM Global Infrastructure Fund on the cash tender offer to acquire Mexico-based transport operator OHL Mexico. Other clients include Lovell Minnick Partners, Apical Group and TA Associates.

A respected name in the corporate and M&A arena’, Pérez-Llorca is well-known for handling complex, big-ticket, cross-border M&A transactions. Highlights included advising Banco Santander on its acquisition of Banco Popular, in a deal valued at €5.5bn. The team is led by Pedro Pérez LLorca, who is ably supported by Julio Lujambio and Fernando Quicios. Javier Carvajal joined from Cuatrecasas.

Under the leadership of Pedro Rueda, Araoz & Rueda’s corporate team advised leading SMS corporation Esendex on the acquisition of SMSPubli Mobile Marketing. Other clients include Clínica Baviera, Osborne Group and Richemont Group.

At Broseta Abogados, Julio Veloso led advice to British firm StormHarbour on the acquisition of securities corporation Ahorro Corporación Financiera. Keraben Grupo, Requena y Plaza and Gigigo are also clients.

Recent work for Deloitte Legal’s team includes acting for Norwegian corporation Det Norske Veritas on its purchase of GreenPowerMonitor, a leading provider of solar monitoring and asset management systems. Sharon Izaguirre is the key contact.

Herbert Smith Freehills LLP’s corporate group is led by Álvaro Sainz and Nicolás Martín. Recent highlights include assisting First State Investments with the €300m acquisition of leading car park operator Parkia from EQT and Mutua Madrileña. Magnum Capital and Nazca Capital are also clients.

King & Wood Mallesons has been kept busy handling M&A in the energy and infrastructure sectors. The team advised EDP on the €2.6bn sale of Naturgás to a consortium consisting of JP Morgan Infrastructure, Abu Dhabi Investment Council, Swiss Life and Covalis Capital. Roberto Pomares and Carlos Pazos are the key names.

Ontier is, according to one client, a force to be ‘reckoned with’ in the Spanish legal market. The team acted for Control Empresarial de Capitales and Inversora Carso (Slim Family) on the latter’s acquisition of 27% of the capital increase made by FCC, in a deal that had a global value of €709m. Pablo Enrile is noted.

RCD - Rousaud Costas Duran’s group advises mid-size local and international clients on the full range of corporate and M&A issues, and has notable expertise in the IT, telecoms, biotechnology and pharmaceutical sectors. Adolf Rousaud and Ignasi Costas are the leading names.

Andersen Tax & Legal assisted RMA of New Jersey on matters pertaining to its joint venture with Equipo IVI (Valencian Institute of Fertility) to create the largest assisted reproduction group; the deal was valued at €900m. Gonzálo Cerón and Carlos Salinas jointly head the team.

The ‘efficient and commercially driven’ team at Benow Partners S.L.P. is led by Antonio Tapia. The group acted for BDI Group on all matters concerning the investment in the company by Dyadic International and Inveready, as a result of an investment round initiated by the client’s shareholders. Borja Díaz-Guerra is also noted.

Bird & Bird’s corporate practice has ‘a business-oriented approach’ and expertise in M&A, spin-offs, joint ventures, corporate and debt restructuring, and general corporate advice. Lourdes Ayala is the name to note.

DLA Piper LLP’s Iñigo Gómez-Jordana advised Atlantia on the corporate aspects of its potential capital increase and offer of shares as consideration for its takeover bid to acquire Abertis Infraestructuras. Other clients include Gamesa, CVC and EDP Renováveis. José Sánchez-Dafos, Juan Picón and Ignacio Gómez-Sancha joined Latham & Watkins LLP.

EY Abogados provides comprehensive corporate and M&A advice to local and international clients. Francisco Aldavero led advice to Shanghai Kaichuang Deep Sea Fisheries on its €60m acquisition of Spanish cannery Hijos de Carlos Albo.

Ramón y Cajal Abogados has ‘a partner-driven’ approach and advises some of the largest corporations in the country. The group acted for Inmobiliaria Colonial on the Spanish law aspects of its acquisition of an approximately 15.1% interest in Axiare, in a deal valued at €135m. Álvaro Beltrán, Iñigo Dago, Alberto Alonso and Guillermo Muñoz jointly head the practice.

At White & Case LLP, Juan Manuel de Remedios and Yoko Takagi advised Deutsche Bank on the €5.7bn acquisition of IDC Salud Holding (Quirónsalud), the largest Spanish private health provider, by Fresenius Helios.

Dentons’ team, led by Alejandro Alonso, acted for Groupe Maisons De Famille on the approximately €220m acquisition of retirement homes corporation Amma Gerogestión. José María Buxeda is also noted. Nieves Briz joined as Barcelona managing partner in June 2018 from Jausas.

ECIJA houses a strong corporate team, which has a core focus on the TMT, renewable energy and industrial sectors. Hugo Écija, Emilio Prieto, Gabriel Nadal and Ricardo Oliveras are the key names.

At Eversheds Sutherland Nicea, key names include Juan Díaz and Carlos Pemán. Clients include Iron Mountain, Grass Roots, Satlantis Microsats and Asisa.

At J. Almoguera y Asociados, practice head Jesús Almoguera handles complex, big-ticket instructions. The team is advising Tecnocom Telecomunicaciones y Energía on Indra’s takeover bid.

Osborne Clarke’s practice, led by Tomás Dagá, was strengthened by the arrival of Jordi Casas and Vicente Conde from Roca Junyent and Pérez-Llorca respectively. The team acted for Grifols on the acquisition of Hologic’s interest in NAT’s blood screening business in a €1.8m deal.

Rivero & Gustafson Abogados advises on contracts, M&A, corporate agreements, joint ventures, reorganisations, due diligence, company law and insolvencies. Eliecer Pérez leads the practice and managing partner John Gustafson is also noted.

Roca Junyent’s Joan Roca Sagarra acts for large companies on matters with a cross-border element.

Simmons & Simmons LLP’s ‘proactive’ corporate group is led by Carlos Jiménez de Laiglesia. The practice provides ongoing assistance to Fresenius Medical Care on its operations in the country. Valentino Fashion Group, Polaris Industries, BBVA and Norgine are also clients.

Ventura Garcés & López-Ibor, Abogados’ corporate team is led by Alfonso López-Ibor in Madrid and Barcelona-based Claudi Garcés. Manuela Serrano is a key name for insolvency and restructuring matters.

Augusta Abogados advised Caixa Capital on several acquisitions in the technology sector. Sergi Giménez and Carlos Valls are the key names.

Rodrigo Marcos Prat leads the corporate practice at GMQ Abogados (Gallego, Martos & Quadra-Salcedo), which counts Aurelis, Vestas, Parques Reunidos and Quantum Capital Partners among its clients.

Jausas is a key name for international corporations looking to establish operations in Spain via the acquisition of local companies or the opening of local subsidiaries. Joan Vidal de Llobatera leads the practice. Clients include Suma Capital and Nikken Sekkei (winner of the bid to renovate Barcelona FC’s stadium – the Camp Nou). Nieves Briz joined Dentons in June 2018.

At Watson Farley & Williams LLP, corporate head María García Guijarro led advice to Cerberus Capital Management on its acquisition of Prudential’s Spanish photovoltaic portfolio, Infracapital Partners. Gonzalo Aranzabal is also noted.
