Allen & Overy is ‘without doubt in the premier league of legal advisors in Spain’ and ‘its professionals are well-positioned to advise on capital markets matters’. Headline work included acting for a global financial services group, and others, on Banco Santander’s €1.5bn senior non-preferred bonds issuance, and assisting Abertis Infraestructuras with its €1.5bn bond issue due in 2026. Charles Poole-Warren, Salvador Ruiz Bachs, Juan Hormaechea, Santiago de Vicente, Iñigo del Val and Fernando Torrente are all recommended.

‘A visible name in the capital markets arena’, Clifford Chance advised Banco de Crédito Social Cooperativo and Banco Mare Nostrum on their corresponding issue of fixed-rate reset subordinated notes due in 2026. The team also acted for Barclays, BNP Paribas, CaixaBank and others on a tender offer of existing notes, and issuance of new ones, by Abertis Infraestructuras in a complex transaction as the tender offer was governed by English law and the new issuance by Spanish legislation. José Manuel Cuenca, Yolanda Azanza, Eduardo García and Antonio Henríquez are all recommended.

Cuatrecasas is ‘a major player in capital markets and the first choice for many important corporations’. Rafael Mínguez and Héctor Bros lead the team, and Jaime de la Torre has expertise in securitisation. The practice acted for Sareb on bond issuance programmes with an aggregate value nearing €34bn.

Garrigues houses a team with a proven track record advising on high-yield operations, debt and securitisation, and is regularly involved in some of the largest transactions in the country. It acted for Deutsche Bank on the issuance of mortgage-covered bonds valued at €1.5bn. Practice heads Mónica Martín de Vidales and Àlvaro López-Jorrín, together with Fernando Vives and Gonzalo García-Fuertes, are recognised for their expertise.

Linklaters’ capital markets team is praised for its ‘knowledge of the sector and fast response to clients’ queries’. Federico Briano, Jorge Alegre and Iñigo Berricano led advice to BNP Paribas, as the bookrunner, on Telefónica’s hybrid bond issue valued at €1bn. Other clients include Abengoa, OHL, Bank of America and Banco Santander. Associates Juan María Lamo and Pablo Medina are noted.

Uría Menéndez’s team is regularly instructed to advise on some of the most innovative and complex transactions involving Spanish corporations. Recent highlights saw the group acting for Telefónica, as the guarantor, on the issuance of senior notes by its subsidiary Telefónica Emisiones, and its subsequent listing on the NYSE, valued at €3.5bn. Rafael Sebastián leads the practice. Jaime Pereda, Gabriel Núñez, Javier Redonet and Alfonso Ventoso are other key names.

CMS Albiñana y Suárez de Lezo’s Curra Munuera acted for Banco Sabadell (as the originator) on the incorporation of its securitisation fund IM Sabadell Pyme 10 valued at €1.75m. Carlos Peña has considerable expertise in this space.

Led by Armando Albarrán, Freshfields Bruckhaus Deringer’s team assists issuers and underwriters with Spanish, English and US capital markets law; its expertise spans across areas such as liability management, equity-linked and regulatory capital. Notable highlights include acting for Goldman Sachs, JP Morgan and ING on Metrovacesa’s €2bn EMTN programme; and advising Merlín Properties SOCIMI on its issuance of €300m notes, under its €14bn EMTN programme. Joe Amann and Ana López are also noted.

Gómez-Acebo & Pombo’s practice has vast expertise handling transactions in local and international markets, and advises issuers, underwriters, placement banks and investment service providers. The firm acts for Spain’s largest securitisation fund manager Haya Titulización on the amendment and variation of 30 separate securitisations funds and series with a multimillion-euro aggregate value. Other clients include Banco Sabadell, Zambal Spain SOCIM, Asia Orient Holdings and Abanca. Miguel Lamo de Espinosa, Guillermo Guerra and Àngel Varela are the key names.

Latham & Watkins LLP’s team was strengthened by the arrival of Ignacio Gómez-Sancha, who was formerly head of capital markets at DLA Piper LLP. Historically the team advised Campofrío Food Group on a €500m notes issuance. Ignacio Pallarés and Manuel Deó are also noted.

Pérez-Llorca assisted BBVA and Bankia as creditors of Dominum Dirección y Gestión (an SPV through which billionaire businesswoman Esther Koplowitz holds her stake in Fondo de Construciones y Contratas-FCC) on its share capital increase in the amount of €700m. Javier Carvajal, who was a new hire from Cuatrecasas, Pablo González and Julio Lujambio are the leading names.

White & Case LLP’s Juan Manuel de Remedios and Yoko Takagi led advice to Atlantia on its €1bn issuance of notes under its €3bn EMTN programme listed on the Irish Stock Exchange, which is aimed at financing its bid for the acquisition of Abertis Infraestructuras. José Blanco, formerly capital markets head at Herbert Smith Freehills LLP, joined the team.

Ashurst LLP’s team is advising Santander Consumer Finance on the update of several EMTN and ECO programmes with an aggregate value of €25bn. Practice head Fernando Navarro, Manuel López and recently promoted partner Nicholas Pawson are key names.

Baker McKenzie has a very active practice which advises on bond issuances in the main and alternative markets. The team acted for Bankia on the registration of an EMTN programme before the Irish Stock Exchange valued at €10bn. FCC, CaixaBank and Cajamar are also clients. Enrique Carretero and associate Ignacio Corujo are noted.

DLA Piper LLP is well-known for advising on a variety of capital market products and debt-related instructions with cross-border elements. Iñigo Gómez-Jordana leads a team advising Atlantia on its potential capital increase and offer of shares connected to the takeover bid launched to acquire Abertis Infraestructuras. Former practice head Ignacio Gómez-Sancha joined Latham & Watkins LLP.

At Herbert Smith Freehills LLP, Alvaro Sainz acts for Iberdrola (as the guarantor) on the update of a €20bn EMTN programme. José Blanco joined Ashurst LLP.
