Davis Polk & Wardwell LLP’s Madrid team works closely with counterparts in New York, London and Paris. In 2011, it advised Banco Santander on establishing a $30bn US commercial paper programme listing on the Irish Stock Exchange, and advised a group of banks, including BBVA and Credit Suisse, on the proposed Rule 144A/Regulation S privatisation of the Spanish Lottery. It also advised Banco Espirito Santo on its €1bn rights offering of new ordinary shares, which are listed on the NYSE Euronext Lisbon stock exchange; the mandate included English and US law. Michael Willisch is recommended.
Latham & Watkins LLP ‘navigates difficult US capital markets matters very well’. It recently acted for J.P. Morgan and Morgan Stanley as underwriters on the US-registered IPO of an internet company. The team is also advising a listed Spanish construction company on a €500m bond offering – which is expected to be made under Rule 144A – to refinance its existing debt. Since going to press,
Linklaters’ ‘outstanding’ practice advised OHL on its €300m Rule 144A high-yield notes issuance. Federico Briano is recommended for his ‘experience’ and ‘commerciality’.
