Legal work has been heavily influenced by Slovenia’s financial crisis, which has forced numerous companies into compulsory insolvency procedures or to declare bankruptcy – the ongoing Istrabenz proceedings being a notable example. These market conditions have also dictated an increase in M&A and corporate restructuring mandates, although a lower proportion of transactions are successfully closing.

Slovenia - Merger control proceedings initiated in borderline case
The Competition Protection Office recently initiated ex officio merger control pro-ceedings against the Federation of Slovenian Retired Persons' Societies. According to the office, the federation had acquired control over Vzajemna Zdravstvena zava-rovalnica dvz, a Slovenian mutual health insurance company, but failed to notify the concentration within the statutory 30-day time limit. -

Theta Capital Pte. Ltd., a unit of property developer PT Lippo Karawaci Tbk (LPKR) has on 9 May 2012 launched the issue of US$150 million senior notes, to be used for (a) the development of new retail malls, hospitals and large scale integrated development and (b) working capital requirements and general corporate purpose . The notes will be guaranteed by LPKR and its subsidiaries. Citigroup and Deutsche Bank were joint global coordinators and lead managers in the issuance. -
