Legal Advisors, Abdulaziz I. Al-Ajlan & Partners in Association with Baker McKenzie Limited is ‘a top choice’ for capital markets. On the debt side, it acted for NCB Capital Company in relation to its SAR2.7bn sukuk, one of the few perpetual sukuk issuances in the country. On the equity side, Robert Eastwood advised IDEA Soda Ash & Calcium Chloride Company on its SAR800m private placement. Karim Nassar and Bilal Kahlon are, respectively, recommended for equity and debt capital markets.

Highlights for Clifford Chance LLP in association with Abuhimed Alsheikh Alhagbani Law Firm (AS&H) included acting for the banks on Arab Petroleum Investments Corporation’s $3bn trust certificate issuance. Other debt capital markets clients include Saudi Fransi Capital and Rawabi Vallianz Offshore Company. Dubai-based Stuart Ure heads the debt practice, while Omar Rashid and Mike Taylor deal with equity transactions, where clients include Saudi Ground Services and SambaCapital.

Freshfields Bruckhaus Deringer LLP in association with the Law Firm of Salah Al-Hejailan is best known for acting on high-value equity transactions. The firm recently acted for Al Habib Medical Group during its private placement and is also working on a number of planned IPOs. Saudia Cargo is another client. Fares Al-Hejailan heads the team.

Khoshaim & Associates in cooperation with Allen & Overy LLP is highly regarded for its debt practice. In early 2016, it advised Arab Petroleum Investments Corporation on its $3bn sukuk programme and the inaugural issuance of £500m worth of trust certificates. Other clients include Saudi International Petrochemical Company and Riyadh Capital. Zeyad Khoshaim is the practice head.

The ‘excellent’ Law Office of Salman M. Al-Sudairi in association with Latham & Watkins LLP is a popular choice for equity transactions, acting for issuers, investment banks and managers. In 2016, the team worked on the high-profile IPOs of Middle East Healthcare Company, Rawabi Vallianz and Al Andalus Real Estate Company. Harj Rai, Sami Al-Louzi and Salman Al-Sudairi are recommended.

Hatem Abbas Ghazzawi & Co. is well respected for its debt capital markets expertise and acted as local law counsel on a number of sukuk issuances for the National Commercial Bank. The group also handles contentious capital markets matters for Saudi corporates. Asad Abedi is highly regarded.

King & Spalding in affiliation with the Law Office of Mohammad Al-Ammar is increasingly active in debt capital markets, but also has a solid equity practice. The team advised The Islamic Development Bank on the establishment of a $25bn trust certificate programme, one of the largest sukuk transactions to date. Rizwan Kanji and Nabil Issa are recommended.

The Law Firm of AlSalloum and AlToaimi in association with White & Case LLP works mainly in the equity space. It acted for Lazurde Company for Jewellery on its Saudi IPO. Robert Vydra is the key name.

Hammad Al-Mehdar & Co in alliance with Simmons & Simmons LLP houses ‘a knowledgeable and responsive team’, headed by Ahmed Butt, who advises banks and investment firms on their capital markets regulatory obligations. Clients include SEDCO Capital and Schroder Investment Management.

In a recent work highlight, The Law Office of Looaye M. Al-Akkas in Association with Vinson & Elkins LLP advised Riyadh Capital, as the lead manager and underwriter, on the IPO of a 30% stake in Al Yamamah. Looaye Al-Akkas is the name to note.

At Shearman & Sterling LLP in association with Dr Sultan Almasoud & Partners, managing partner Sanjarbek Abdukhalilov is recommended for capital markets. He recently advised Takween Advanced Industires on its rights issuance on the Saudi Stock Exchange.
