Commended for its ‘great experience’ in corporate and M&A matters, the ‘excellent’ team at Berkemeyer Attorneys & Counselors excels in advising a predominately international client base on corporate and commercial, and transactional (including antitrust) issues, and regularly handles corporate structuring. Standout 2017 work includes advising Morgan Stanley: Yolanda Pereira assisted the client with a $100m loan to Navíos South American Logistics’ subsidiary, Naviera Horomar. The stellar client base features Monsanto Paraguay, Unilever Paraguay, General Motors de Argentina and Merisant Worldwide, among others. The 13-strong department is led by eminent managing partner Hugo T Berkemeyer and includes commercial litigation expert Carla Sosa, Martin Carlevaro, who has vast experience in PPP projects and regulatory matters, and associate Antonio Villa Berkemeyer, a distribution contract specialist.

The ‘outstandingFerrere fields a 21-strong corporate and M&A department that leaves clients ‘satisfied not only from a strictly legal point of view but also from a business standpoint’. Leveraging off its regional network, the group demonstrates impressive cross-border capabilities and counts global brands such as Nestlé, General Electric, Cisneros and Mota Engil among its clients. Recent mandates saw group head Néstor Loizaga, who ‘excels in his practice’, assist Unilever with the antitrust filing and clearance for the $575m sale of its soy-based beverages business to The Coca Cola Company; and advise global surveillance and security provider Securitas on its set-up in Paraguay. Key client Cargill instructed the team with a variety of matters, including day-to-day corporate and commercial advice, distribution agreements and assistance related to its fluvial operations. With three full-time partners and seven associates dedicated to corporate and M&A, Estudio Jurídico Gross Brown covers the full spectrum, including joint ventures, PE transactions, acquisition finance and corporate structuring. Recent mandates handled by the well-regarded Sigfrido Gross Brown include advising SBA Communications Corporation on a private bid regarding the proposed asset purchase of telecommunication towers from Telefonica Celular del Paraguay; and assisting Telepizza with the acquisition of a local pizza chain. First-rate firmVouga Abogados’s corporate and M&A group has ‘excellent attorneys who are sensitive to client needs and respond promptly to all questions’. Complex transactions (often with a cross-border element), corporate structuring, joint ventures and public tenders are mainstays for the practice group which is led by ‘knowledgeable’ Rodolfo Vouga and includes recommended Carlos Vouga. Prominent recent mandates saw ‘sophisticated’, ‘intelligent’ and ‘charismatic’ Rodolfo Guillermo Vouga advise Telefónica Celular del Paraguay on the $126m sale of its wireless telecommunication towers to an American Tower Corporation subsidiary; and successfully represent Perform Media / IMG Sports in a bid for the management of commercial rights of the regional football confederation Conmebol. The practice also has a strong position in the agribusiness sector, as evidenced by long-standing relationship with clients such as John Deere, ADM and Grupo Andre Maggi. The hire of associate Rodrigo Fernandez from Zacarias & Fernández raised the number of practitioners in the team to 17.

Lauded for its ‘attentiveness’ and ‘promptness of service’, Moreno Ruffinelli & Asociados provides the full array of corporate and commercial advice, including high-profile transactions. Carlos Darío Ruffinelli and ‘fast’ and ‘highly knowledgeable’ Maria Esmeralda Moreno acted for Frigomerc in the purchase of two local companies, JBS Paraguay and Industria Paraguaya Frigorifica. The 2017 caseload also included advising the shareholders of Cuevas Hermanos on the $70m sale of the company to Garden Automotores; assisting Compañía Paraguaya de Navegación de Ultramar with its corporate restructuring; and counselling ATL Logistica on cooperation with Unilever regarding the construction of a distribution centre. José Moreno Ruffinelli is a highly-regarded practitioner and the team was further strengthened with the return of Roberto Moreno Rodriguez after serving as Attorney General of the Republic of Paraguay.

Olmedo Abogados’ six-partner corporate and M&A team is well-versed in transactional matters, corporate structuring and incorporations. PPP projects is an area of particular expertise where Ines Galeano Estigarribia, alongside co-practice head Gustavo Olmedo and Sebastián Olmedo, continue to advise Mota-Engil on various tenders for large infrastructure projects. In early 2017, the team assisted Garden Group with the acquisition of local Nissan concessionaire, Cuevas Hermanos; Raúl Prono led the team. A recent highlight for Carlos Palacios was advising JBB Group on the asset acquisition of Canal 13. Other notable work included counselling AMX Paraguay on the development and concession of 4G internet technology in the country; and representing Nidera in the negotiations for a seven-year contract with Brazilian carrier Hidrovias for the transport of various commodities.

Under the leadership of ‘well recognized’ senior partner Javier Parquet, who is ‘one of the top administrative law experts’, the team receives a steady flow of high-profile corporate mandates from clients such as Air Nostrum, Hispasat and Monte Alegre. A key area of expertise is PPP projects: the group is advising Castalia Strategic Advisors and Deloitte on their provision of consultancy to the IDB and the Paraguayan Ministry of Public Projects & Communications concerning the construction and operation of a water and sewage system in the eastern part of the country. Another highlight is advising Telcel on the public tender for the electromagnetic spectrum necessary for the implementation of 4G technology.

Peroni Sosa Tellechea Burt & Narvaja has carved out a strong position advising predominantly multinational clients on high-profile transactions, joint ventures, corporate restructurings and distribution agreements. Recent matters saw Marcos Peroni and José Luis Vega advise Navios South American Logistics on the obtaining of a $100m loan granted by Morgan Stanley. Representative clients include Hard Rock International, Telefónica Celular del Paraguay, Cargill and Monsanto. Renowned Francisco Peroni is well-established in the market.

Led by founding partner José Antonio Moreno Rodríguez, Altra Servicios Juridicos fields a solid corporate and M&A practice that demonstrates strength across transactional work, incorporations and corporate structuring. On the transactional side, the team is assisting Telefónica Celular del Paraguay with the acquisition of two local cable companies. With particular expertise in the manufacturing, shipping and transport sectors, the firm counts Yazaki, Toyota, Toyotoshi Group and Mitsui among its clients. Key advisors include Karin Kennedy, Felicita Argaña and Iván Filártiga.

M&A, corporate structuring, incorporations, joint ventures and liquidations are mainstays for the 12-strong team at Fiorio, Cardozo & Alvarado, Attorneys at Law. The client base comprises predominantly of multinational companies and features names such as DHL Paragauy, Nestlé Paraguay, Fox, Kenwood Electronics, Kimberly-Clark Paraguay and Samsung Electronics Argentina. Rafael Marcelo Alvarado and Juan Bautista Fiorio are the names to note.

Leveraging its excellent tax expertise, Mersan Abogados is regularly instructed by domestic and international clients, such as Pepsico Paraguay, Citibank, AMX Paraguay and Grupo Cemex, on a wide range of corporate and transactional matters. Recent highlights saw the team advise Sodrugestvo Group on the acquisition of shares in Sarcom, a company that runs port and logistics operations; and obtaining authorization from the national competition authority for the Paraguayan aspects of the Maersk Line / Hamburg Südamerikanische Dampfschifffahrts-Gesellschaft merger.
