Corporate and M&A is the traditional mainstay of regional powerhouse Ferrere, which stands out for its ‘knowledge of the business and region’ and provides first-class service across the full range of M&A deals, joint ventures and other corporate transactions. The team features highly experienced managing partner and practice head Néstor Loizaga; Marysol Estigarribia; former member of Banco Central de Paraguay, Carlos Codas, who joined in September 2016; and senior associate Verónica Franco, who returned to the Asunción office after a period at Cleary Gottlieb Steen & Hamilton LLP’s Buenos Aires office. The team advised Wyndham Hotel Group on the due diligence process concerning its acquisition of Fën Hotels, assisted Frutika in its international expansion, and advised US-based media conglomerate Cisneros on agreeing a partnership with Facebook in four Latin American countries. Guillermo Jover is no longer with the firm.

With a track record of more than 70 years in the market, the team at Estudio Jurídico Gross Brown features highly regarded senior partner Jorge Rafael Gross Brown, and has outstanding experience advising domestic and international clients in industry sectors such as communications, commodities, energy, infrastructure and agribusiness on complex corporate and M&A matters. Renowned managing partner Jorge Ignacio Gross Brown advised FEN Group on a project for the construction and operation of luxury apartment buildings and hotels; and Sigfrido Gross Brown, who stands out for his international experience, acted for Aguas de Barcelona, a joint venture of Suez Group members, in relation to the execution of a public contract. The firm’s client roster also includes Noble Group, Petrobras, Grupo Cosan and Citibank Paraguay.

The corporate department at internationally oriented, full-service firm Peroni Sosa Tellechea Burt & Narvaja handles a steady flow of high-end matters, including joint ventures, corporate restructurings and liquidations, distribution agreements, licensing deals and real estate transactions, with the highly respected Francisco Peroni and Marcos Peroni recommended. Recent mandates include advising Hard Rock International on the drafting and execution of management agreements for a casino and hotel development project in Ciudad del Este. The firm also continued to advise Grupo Barcelona on real estate matters such as the Edificio Barcelona and Torres Mirador, and is assisting Transportes Aéreos del Mercosur and Linhas Aéreas in relation to a seven-aircraft operational deal for the Asunción-São Paulo route. Key clients include Telefónica Celular del Paraguay, Cargill Agropecuaria, Goodyear, Monsanto, General Motors and Zara. Tax specialist Gerardo Duré is no longer with the firm.

Under the leadership of the ‘committed’ Rodolfo Vouga, who stands out for his ‘high level of knowledge’, Vouga Abogados’ 17-strong corporate team advises large multinational entities such as Procter & Gamble, Microsoft Corporation, Colgate-Palmolive, Archer Daniels Midland, John Deere, Fujikura Automotive and Equifax. The renowned Rodolfo Guillermo Vouga and Perla Alderete assisted the Mediterranean Shipping Company in establishing a subsidiary in Paraguay, while other recent mandates saw the team advise Uruguayan construction company Stiler on setting up a local subsidiary and assisting several companies, such as Lumini and Cativa, operating under the Maquila regime. Marta Martínez, a former Secretary General of the Ministry of Justice, joined in September 2016, and other names to note are Brazilian lawyer Mariana Montenegro Reis, Cynthia Fatecha and Carlos Vouga.

Cross-border transactions, M&A deals, the structuring and restructuring of legal entities, and international licensing and franchising are core areas of activity for the 12-strong team at Berkemeyer Attorneys & Counselors. Carla Sosa advised Coca-Cola and its bottling company Coca-Cola FEMSA on the Paraguayan element of the $284m cross-border acquisition of AdeS. The team also cooperated with Arnold & Porter Kaye Scholer LLP in advising Monsanto on its $66bn merger with Bayer; and, led by the renowned Hugo T Berkemeyer, assisted investment funds Parag and Polygon in the $120m acquisition and establishment of several companies. Other clients include Sacyr Concesiones, Merisant Worldwide, MicroVest Capital Management, General Motors de Argentina, Emigra, and Unilever de Paraguay. The team was strengthened by the arrival of Theodore Stimson.

Fiorio, Cardozo & Alvarado, Attorneys at Law’s 12-strong practice advises domestic and international clients, in sectors including river transportation, telecoms and food, on the establishment of local subsidiaries, contractual matters, liquidations, M&A and joint ventures are mainstays of the department. Notable professionals include co-founding partners Rafael Marcelo Alvarado and Juan Bautista Fiorio, as well as Maria Betharram Ardissone and José María Cardozo. Casa Popular, DHL (Paraguay), Fox, Kenwood Electronics, Kimberly-Clark Paraguay, Nestlé Paraguay and Samsung Electronics Argentina are clients.

Full-service firm Moreno Ruffinelli & Asociados enjoys a solid reputation in the market, and is retained to advise market leaders in the food, import, oil and gas, maritime and aviation, and agribusiness sectors. It recently advised Colonia Manitoba on a $37m debt restructuring process with Agro Silo Santa Catalina; assisted Vinci Construction Grands Projects in relation to the bidding process for the modernisation of Silvio Pettirossi international airport; and advised Caja Paraguaya de Jubilaciones y Pensiones del Personal de la Itaipu Binacional on its restructuring. Its roster of national and multinational clients also features Gical, Philips del Paraguay, Tape Pora, Frigomerc, H. Petersen and Avianca. Highly regarded founding partner José Moreno Ruffinelli and the renowned Carlos Darío Ruffinelli are key figures.

With a strong track record in PPP projects, Olmedo Abogados fields a solid corporate and M&A practice, with a six-partner team led by the highly recommended Gustavo Olmedo. It advised Mota-Engil Engenharia e Construção on the public bid for the first Paraguayan Metrobus; Unicentro on the construction of a shopping mall in Lambare; Torres Soluciones Empresariales Avanzadas on the incorporation of a new company; and AmTrust Europe, a European insurance company, in relation to a new insurance policy model. It counts Milvik Paraguay, Mer Telecom Paraguay, Inversiones Inmobiliarias del Paraná, Big Sur, Summit Pharmaceuticals, Puma Energy Paraguay and Shandong Rainbow Agrosciences Hong Kong among its other clients. José Ignacio Olmedo, Alejandra Olmedo, Graciela Royg and Ana Peña are other names to note.

Praised for its ‘great efficiency of service’ and ‘professional ethics’, Palacios, Prono & Talavera fields a strong corporate practice with a focus on the agribusiness, maritime, water transport and logistics sectors. Highly regarded practice head Carlos Palacios led advice to the Cartes Group on its acquisition of Emprendimientos Hoteleros, Hoteles Contemporáneos and FP Hoteles. The firm also advised on a purchase of shares in Wisdom Product; and, on the media side, assisted the Cartes Group with its acquisition of Grupo Multimedia, one of the largest media entities in the market. Raúl Prono Zelaya, who heads the office in Ciudad del Este, is also recommended. Other clients include Agrotec, Cargill Agropecuaria, Grupo Nación, Bebidas del Paraguay, and Naviera del Mercosur.

‘Excellent’ founding partner José Antonio Moreno Rodríguez, who stands out for his experience in international arbitration, leads a solid corporate department at Altra Servicios Juridicos, which represents clients in industry sectors such as manufacturing, telecoms, shipping, finance and import/export. Adriana Sánchez Mussi led advice to Yazaki, an automotive component manufacturer, on the establishment of its business under the Maquila regime, as well as on a lease agreement with Gical. Other highlights included supporting a Paraguayan gastronomic group in setting up restaurants in Argentina, Uruguay and Miami. Other names to note are Karin Kennedy, Felicita Argaña and Iván Filártiga.

With very strong expertise in tax matters, the 11-fee-earner team at Mersan Abogados handles a steady flow of high-profile corporate mandates for national and international clients, led by Oscar Mersán and Carlos Mersán. Its recent work includes advising several foreign companies on incorporating in Paraguay, and assisting in relation to a merger of two multinational companies. Diego Zavala and Pablo Cheng Lu are also recommended in the team, which acts for clients such as Banco Itaú Paraguay, PepsiCo Paraguay, the International Finance Corporation, the United Nations, Corporación Interamericana de Inversiones, and AMX Paraguay.

Parquet & Asociados’ practice covers M&A, joint ventures and PPP projects, for local and multinational clients from wide-ranging industry sectors. Senior partner Javier Parquet recently led on the acquisition of a local airline, including a due diligence audit and the drafting of the share purchase agreement. Other work for the team included assisting in the establishment of a telecoms joint venture, and supporting a foreign construction company in the public tender for an infrastructure project. Clients include Telecel, Hispasat, Unicanal, Catelpar, Air Nostrum, Metalcar and Cerneco.
