Abou Jaoude & Associates Law Firm has experience of structured finance and syndicated lending transactions, and also advises banks on corporate governance and regulatory compliance. Highlights included acting for a syndicate of lenders on the $300m financing of a first-of-its-kind wind power project in Lebanon, advising Saradar Bank on capital markets transactions, and assisting Sakson Petroleum Services with the rescheduling of several loans, which became necessary due to a drop in the price of oil. Key figures in the team include Simon El Kai, Carlos Abou Jaoude and Souraya Machnouk. Rita Papadopoulou joined the team as a partner from JP Morgan and Eddy Maghariki was promoted to the partnership in January 2018.

Abousleiman & Partners is particularly noted for its expertise in capital markets deals, where it acts for corporates and bank issuers, placements agents and depositories in relation to debt and equity offerings. Marie-Jo Tabet jointly heads the practice together with managing partner Randa Abousleiman, who is instructed by public-sector and private-sector issuers and has particular experience in IPOs. Recent highlights include advising Blom Bank on the issuance of $300m deposit certificates, and assisting the European Bank for Reconstruction and Development with the structuring of an off-exchange acquisition of treasury shares held by Bank Audi. Senior associate Patrick Obeid is also recommended.

Alem & Associates advises banks and various financial services companies on fund management and formation, debt capital markets transactions, repurchase agreements and acquisition finance. Toufic Soudayha assisted real estate company LC Operations with the preparation of a $125m offering of senior unsecured extendable bonds, involving a cash reserve collateral agreement. Additionally, Mohamed Y Alem advised Arabnet on the establishment of a $50m fintech-focused Cayman Islands fund utilising an LP structure. Standard Chartered and Arab Finance House are among the department's new clients, while other international clients include JP Morgan and MasterCard.

Badri and Salim El Meouchi LLP acts for lenders and borrowers and has expertise in capital markets deals, financial regulatory matters and a range of lending transactions, including project finance and loan restructuring. The practice is jointly headed by Chadia El Meouchi and senior associate Carine Farran. On the borrower side, El Meouchi assisted LeapLearner with a $10m Series A fundraising round, while lender-side highlights included advising a bank on the review of a high-value loan agreement and related subordination agreements. Salim El Meouchi is another key contact.

Chedid Law Offices in association with Dentons has experience of financial regulatory compliance, international financing transactions, project finance and general lending agreements. Department head Elias R. Chedid acted for a consortium of lenders in relation to a multi-jurisdictional secured financing transaction, and also assisted a regional banking group with a comprehensive due diligence and document review process in relation to a high-value syndicated loan facility. Senior associate Georgette Salamé is also recommended.

Abouhamad, Merheb, Chamoun, Chedid has expertise in regulatory and transactional banking work. Headed by Antoine J Merheb, the team handles corporate finance mandates, fund structuring and investment platform development, and also has experience structuring new banking products.

El-Aref International Law Office is instructed by banks, private equity funds and individual investors. Acting alongside Norton Rose Fulbright, practice head Aref El-Aref advised the European Bank for Reconstruction and Development on a revolving credit agreement and issuing bank agreement under a trade finance programme to facilitate the expansion of international trade in Lebanon. Other clients include Qatar Islamic Bank and Société Générale.

Obeid Law Firm is headed by counsel Marie Hayek, who has experience of commercial lending, structured finance, equipment leasing, Islamic finance and asset acquisitions in the banking sector. The firm has also been increasingly active in the structuring of tax-efficient investment vehicles. Nayla Comair-Obeid is another key figure.

Acting for investment banks, asset managers, hedge funds and insurance companies, Baroudi & Associates regularly handles acquisition finance, real estate finance, and aircraft and maritime finance and leasing. Jean Baroudi and Josiane Lahoud are key figures in the department, which is also called upon for capital markets transactions and structured finance matters.

Hamdan Law Firm advises bank lenders on corporate finance transactions, real estate finance and banking licence acquisitions. Headed by Abdel Ghani Hamdan, the firm acts for a variety of international banks, one of which it recently advised on certain regulatory issues concerning credit facilities provided to an active investor in the Lebanese market. The team also has experience of investment transactions into real estate funds and Gulf Cooperation Council bonds.
