Clifford Chance regularly acts in complex transactions that contribute to shaping the Italian banking and finance market. In recent highlights, the team advised the mandated lead arrangers and financing banks, including Banca IMI, BNP Paribas, Intesa Sanpaolo, Natixis and UniCredit, on a high-value financing for a portfolio of 51 photovoltaic (PV) plants; the transaction was particularly innovative as it combined the characteristics of project finance with a structure typically used in real estate. Other highlights included acting for the joint mandated lead arrangers and bookrunners in a revolving €500m credit facility arranged for Terna. The key advisers are Giuseppe De Palma, Ferdinando Poscio, Lucio Bonavitacola and counsels Francesca Cuzzocrea and Gioacchino Foti. Charles Adams divides his time between Milan and New York.

Linklaters has a go-to banking and finance practice in Italy across various industry sectors and transaction types. Recent matters include assisting UniCredit, UniCredit Bank (Milan Branch), Intesa Sanpaolo, Mediobanca - Banca di Credito Finanziario, and Banca Nazionale del Lavoro with the amendment and restatement agreement to a €130m senior facilities agreement in favour of F.I.L.A. - Fabbrica Italian Lapis e Affini. The team also advised the lenders on the financing for the acquisition of Gotha Cosmetics’ entire corporate capital by a newly established Italian vehicle controlled by Capvis General Partners IV. Andrea Arosio and Francesco Faldi are highly regarded, as are counsels Tessa Lee, Alessandra Ortelli and recently promoted Antongiulio Scialpi.

Allen & Overy - Studio Legale Associato’s ‘very good team’ advises on general lending, acquisition finance, leveraged finance, real estate finance, export credit finance, and project finance. Other areas of strength include debt restructuring, non-performing loans (NPLs) and structured finance. Pietro Scarfone, ‘whose advice is straightforward, commercial and thoughtful’, assisted a pool of banks, coordinated by Mediobanca, with a €330m refinancing of a bridge loan to Cementir. Stefano Sennhauser is ‘an outstanding lawyer in all respects’ and counsel Frederic Demeulenaere and senior associate Gian Luca Coggiola are other names to note.

BonelliErede’s banking and finance practice spans acquisitions, corporate and property finance and also includes project finance expertise in the renewable energy, power generation and transmission, oil and gas, waste to energy, water, infrastructure and transportation sectors. The practice advised Banca Nazionale del Lavoro and UniCredit on a €50m corporate financing granted to Mer Mec. Project finance expert Catia Tomasetti, Emanuela Da Rin and senior counsel Antonio La Porta are the names to note.

Chiomenti Studio Legale is experienced in structured finance, asset finance, and distressed finance and NPLs; other areas of strength include acquisition, leveraged and real estate finance, syndicated loans, and financial restructuring. Giorgio Cappelli advised Natixis, Banca IMI, BNP Paribas, UniCredit, Unione di Banche Italiane and Banco Santander on a financing to Alba Bidco for its acquisition of Grandi Stazioni Retail’s share capital. Giulia Battaglia, Carola Antonini, Luca Bonetti, Carmelo Raimondo and Antonio Tavella are highly rated, as are Gregorio Consoli and Francesco Ago.

Gianni, Origoni, Grippo, Cappelli & Partners banking and finance team ‘has a very good understanding of its clients’ and is particularly active in the management of NPL portfolios; on the project finance side, the team is highly active in the hospitals, infrastructure, oil and gas, energy and renewables sectors. Giuseppe De Simone led advice to Morgan Stanley, JPMorgan, The Bank of Tokyo-Mitsubishi and Banca IMI on Italian law aspects of the refinancing of existing facilities originally granted to Pirelli; Stefano Agnoli ‘has fantastic negotiation and communication skills’; and Emanuele Grippo is ‘recommended for his deep knowledge and appropriate advice’. Other noteworthy advisers include Eugenio Grippo, Matteo Gotti, Ottaviano Sanseverino and Matteo Bragantini.

Legance - Avvocati Associati’s scope of work covers acquisition, mezzanine and real estate financing; syndicated loans; debt restructurings; and leveraged finance; in project financing, the firm has energy and infrastructure sector expertise. Highlights included advising European Investment Bank on the financing of a hospital-related project. Luca Autuori is ‘always available and has a very positive attitude on deals’; and Emanuele Espositi is ‘a great choice’. Andrea Giannelli, Giandomenico Ciaramella,Guido Iannoni Sebastianini, Monica Colombera and Filippo Ruffato are also recommended.

DLA Pipersmoothly executes deals’, particularly in relation to leveraged and corporate lending, syndicated lending, and export credit agency-backed, infrastructure and renewable energy financings as well as real estate transactions. Antonio Lombardo, who is ‘very good at dealing with difficult issues’, advised a pool of banks on the financing for two funds’ acquisition of a majority stake in Infracom Italia; and Giovanni Ragnoni Bosco Lucarelli is ‘efficient, responsive and solutions oriented’. Other experienced advisers include Francesco de Gennaro, Agostino Papa, Francesco Ferrari, Ugo Calò and Federico Zucconi Galli Fonseca, along with senior partner Francesco Novelli. Mario D’Ovidio joined Studio Legale Associato a Watson Farley & Williams.

Gattai Minoli Agostinelli & Partners is ‘well connected in the Italian market and commercially minded’: the team regularly assists banks and financial institutions with LBO financings, corporate finance, sport finance, and real estate financings. Recently, it advised Cariparma on a bridge financing to Padania Acque. Riccardo Agostinelli is ‘a great problem solver’; and Gaetano Carrello, Lorenzo Vernetti, Marco Leonardi and structured finance expert Emanuela Campari Bernacchi are also highly rated.

Latham & Watkins LLP acts in acquisition finance, corporate lending, leveraged finance, and debt restructuring. The team was counsel to Intesa Sanpaolo, as sole underwriter, regarding a €5.2bn facility made available to a consortium for the acquisition of a stake in the world’s largest publicly traded petroleum company. Andrea Novarese and Marcello Bragliani are the principal advisers; Mauro Saccani made counsel.

Norton Rose Fulbright has sector expertise in financial institutions, energy and infrastructure, mining and commodities, transport, technology, life sciences and healthcare. Arturo Sferruzza leads the Italian banking and energy teams; and Gennaro Mazzuoccolo is also a key contact. Mario Lisanti joined Ashurst.

Orrick, Herrington & Sutcliffe is focused on structured finance, project finance, shipping finance and NPL transactions. The team advised Natixis and BNP Paribas (as structuring mandated lead arrangers and bookrunners), UBI Banca, Siemens Bank and the institutional investers, on the refinancing of the projects financing for a portfolio of PV plants. The names to note are Patrizio Messina, Raul Ricozzi,Madeleine Horrocks and Annalisa Dentoni-Litta.

White & Case (Europe) LLP’s ‘level of service is extremely good’. The group focuses on the restructuring and disposal of distressed debt and also regularly works alongside the firm’s debt capital markets practice. In other areas, the team assisted Crédit Agricole Cariparma and Banca Popolare di Milano with the financing for the acquisition of a majority stake in Garda Plast by Progressio SGR. The recommended contacts are Giuseppe Barra Caracciolo, Iacopo Canino, Gianluca Fanti, who is ‘outstanding, reachable and thorough’, and Michael Immordino.

Ashurst advises on acquisition finance, leveraged finance, and project finance, corporate lending, real estate finance, and structured finance and recently acted for Bremer Kreditbank in the financing for the acquisition of Dr.Vranjes by BlueGem-managed funds. Energy and infrastructure project finance specialist Carloandrea Meacci, Italy head Franco Vigliano, and counsel Umberto Antonelli are highly regarded. Mario Lisanti joined from Norton Rose Fulbright as head of the Italian banking team.

Freshfields Bruckhaus Deringer’s ‘level of service is consistently good’. The practice assists with leveraged finance, structured finance, debt restructuring, project finance as well as acquisition finance transactions and is also noted for real estate finance and NPL deals. It advised UniCredit on an up to €42m financing to an alternative fund for the acquisition of a shopping centre. Emiliano Conio ‘has a wide range of skills’; and Corrado Angelelli is also highly regarded.

Hogan Lovells Studio Legale’s ‘appropriate, accurate and professional’ practice assists with corporate, real estate, acquisition, trade and asset finance; it recently advised Bayerische Landesbank in real estate finance matters. Carlo Massini is ‘a strong negotiator’.

Nctm Studio Legaleperforms work very diligently’ and is highly rated for its expertise in large banking and financing transactions, including Islamic financing and project finance. Notably, Stefano Padovani advised UniCredit on the re-financing of AGSM. Eugenio Siragusahandles both commercial and legal matters at the same high level’; Corrado Verna and Giovanni De’ Capitani di Vimercate are also experienced advisers.

Pedersoli Studio Legale is experienced in acquisition finance and corporate finance, while also increasingly building up its real estate finance practice. The group advised a syndicate of banks on the renegotiation of Gruppo Ceramiche Ricchetti’s global indebtedness. Maura Magioncalda ‘gives very appropriate advice’ and other recommended practitioners are Alessandra De Cantellis and Consuelo Citterio.

Simmons & Simmons assists with acquisition, leveraged, export, real estate, structured and project finance, as well as alternative lending. The team advised a syndicate of banks on a €1.5bn financing to International Game Technology. Davide D’Affrontothinks out of the box’ and Fabrizio Dotti is ‘a very accurate drafter’. Nicholas Lasagna and Romeo Battigaglia are also highly rated.

Studio Legale Associato a Watson Farley & Williams recruited Mario D’Ovidio from DLA Piper. The team advised BPER Banca and MPS Capital Services Banca per le Imprese on a hydroelectric plant portfolio-related project financing. Furio Samela is a shipping finance specialist; and project finance expert Pierpaolo Mastromarini is ‘outstanding’. Francesco Dialti joined CBA Studio Legale e Tributario.

Studio Professionale Associato a Baker & McKenzie’s practice spans bilateral and syndicated bank financings, acquisition finance, project finance, and debt restructuring. Alberto Fornari is the key contact.

CBA Studio Legale e Tributario’s expertise ranges from shipping finance, security packages and restructuring, to the financing of acquisitions, real estate and projects. The ‘always available and skilled’ Francesco Dialti joined from Studio Legale Associato a Watson Farley & Williams.

CMS acts in complex banking matters and structured finance, as well as deals involving alternative lenders. Paolo Bonolis heads the banking and financial practice, which recently welcomed Domenico Gaudiello as public finance leader from DLA Piper.

Caiazzo Donnini Pappalardo & Associati – CDP Studio Legale’s Giulio Tognazzi is ‘an absolute star’. Recently, he assisted Banca Nazionale and Intesa San Paolo with a real estate project financing.

Dentonsdelivers unique, workable recommendations’ and regularly advises on acquisition and leveraged finance, structured finance, general corporate lending and refinancing, project finance, performance guarantees, and security packages; the team also assists with real estate financing. Managing counsel Dina Collepardi is ‘reliable and empathises with clients’ and Alessandro Fosco Fagotto joined from Pedersoli Studio Legale.

Eversheds Sutherland Associazione Professionale’s Marco Franzini recently advised UniCredit on a double leveraged financing granted to two NewCos for the acquisition of two companies. Alessandro Engst is highly regarded.

Jones Day has expertise in real estate finance and was recently particularly active in NPL work. Francesco Squerzoni, who ‘has extensive experience’, advised a pool of lenders on financing a real estate fund’s acquisition of office buildings.

Macchi di Cellere Gangemi is well regarded for project financing in the energy, infrastructure and water service sectors. Claudio Visco is highly rated; of counsel Emanuele Cusa joined from R&P Legal.

Nunziante Magrone has an active practice in corporate lending, acquisition finance, real estate finance and debt restructurings and recently advised Unicredit on a finance package for Atos Re, regarding the acquisition of a hotel group.
