Commercial and banking
Carey Olsen recently advised Close Brothers Group on the sale of its Guernsey trust, fund administration and banking businesses to Kleinwort Benson. Andrew Boyce ‘thinks outside of the box’; Tom Carey is a ‘standout lawyer’; and Graham Hall is also recommended. Christopher Anderson arrived from Bedell Cristin.
Mourant Ozannes has been increasingly active in relation to the physical migration and relocation of investment houses to Guernsey, M&A, restructurings, and the listing of Eurobonds on the CISX. Paul Christopher and David Moore are recommended, along with ‘great lawyer’ John Lewis and Andrew Walters, who is ‘a reliable practitioner’.
Ogier’s ‘thorough’ team advised JP Morgan Worldwide Security Services on its acquisition of Schroders’ private equity administration services business. Overseas Restraint Orders in Guernsey have no extra-territorial effect
The Royal Court has ruled that restraint orders obtained in Guernsey on requests from foreign authorities can only apply to assets located in the Bailiwick, striking down the extra-territorial effect of a restraint order obtained at the request of the National Prosecuting Authority of South Africa. -

Carey Olsen advises on NYSE listing first
Carey Olsen has advised Delphi Automotive PLC (Delphi) on its initial public offering (IPO) on the New York Stock Exchange (NYSE). Delphi is the first Jersey company to have its shares directly listed on the NYSE. Shares in Delphi began trading on the NYSE on 17 November 2011 and the IPO, which was entirely a secondary offering by existing shareholders, raised US$530 million. -
