Warren Cabral is managing partner of Appleby’s London office. He advises on Bermuda and BVI law, and is particularly expert in public offerings, corporate finance, and M&A. Representative experience for the practice includes advising Hewlett-Packard International on the international reorganisation of the HP group, involving 70 jurisdictions and requiring Bermuda and Cayman law advice, particularly in relation to partnership law and regulatory matters. David Clark is also recommended.
The London office of Panamanian law firm Arias, Fábrega & Fábrega is headed by associate Alfredo Fonseca, who focuses on offshore services, and shipping and ports.
Headed by Bruce Scott, Bedell Cristin’s London office covers all principal financial services including banking, investment funds, private equity, capital markets, and structured finance. The firm is headquartered in Jersey, with a jurisdictional presence in Guernsey, Geneva, Mauritius and BVI. It recently also launched in Singapore.
Geoff Kermeen leads the London office of Isle of Man based firm Cains. Kermeen handles general corporate matters and a wide range of cross-border banking and asset finance work, with particular expertise in structured property finance.
Carey Olsen’s Fiona Fleming is one of the few qualified Guernsey advocates practising in the City of London. She specialises in M&A, private equity, collective investment schemes and real estate finance.
Conyers Dill & Pearman’s London office provides specialist advice across investment funds, insurance/reinsurance, e-commerce, partnerships, shipping and aircraft, securities, structured finance and securitisation, banking and finance, and trusts and private client work. Charles Collis was appointed office head in October 2011, relocating from the Bermuda office, where he was a senior member of the insurance practice.
Harney Westwood & Riegels LLP’s complement of London partners and associates provide advice relating to BVI, Cayman Islands, Anguilla and Cyprus law. London office head Leonard Birmingham is also global head of corporate, and is experienced in all aspects of BVI and Anguillan corporate law. In addition, he advises on banking and insolvency matters.
LennoxPaton’s London office acts as a hub for the firm’s UK and European-based clients in relation to Bahamas and BVI legal services.
Maitland’s Daniel Mackelden assists various family offices and entrepreneurs, primarily on listings and ongoing corporate work. His recent focus has been on providing group-wide solutions to UHNW clients and institutions.
Maples and Calder has a large UK-based offshore funds group in London, and the firm’s offshore trusts team is noted for its advice on the use of trusts in a funds and finance context. Additionally, the finance and corporate team is experienced in capital markets, structured finance and corporate transactions. Key work included acting for ABN AMRO Bank in the sale of the trust business of Prime Fund Solutions; the deal was unusual as it was structured as an asset sale. Shaun Denton is London managing partner; Jack Marriott heads the corporate team, but also works on closed-ended and listed funds, and has been appointed partner; and Paul Govier heads the London investment funds group. Chris McKenzie leads the BVI practice in London. Dawn Howe and Jonathan Caulton joined from the firm’s Cayman office.
Mourant Ozannes has ‘created real traction in the offshore market and set the standard to which other firms need to aspire’. Its lawyers in London provide offshore legal services to banking, finance, corporate, trusts and investment fund clients seeking advice on the laws of the Cayman Islands, Guernsey and Jersey. London managing partner Simon Felton advises financial institutions, corporate clients and intermediaries on a range of capital markets, securitisation, structured finance and corporate transactions. Head of international trusts and private client Douglas Close ‘brings years of stellar performance as a litigator at the Chancery Bar, and has a devoted following as a result’. Robert Duggan is praised for his ‘responsiveness and knowledge on Cayman funds’.
Ogier is noted for its work in the IPO market in relation to BVI listings, complemented by its transactional experience in the natural resources sector. Office managing partner Simon Dinning continues to work on high-value public and private deals., and senior associate Wendy Walker is also recommended, for BVI matters. The Cayman team in London is not a volume practice, but Oliver Godwin, who focuses on hedge and private equity funds, has worked on significant Cayman deals out of London. Recent highlights for the office include acting as BVI legal adviser to CVC Capital Partners in relation to its acquisition of a 51% stake in Virgin Active; and to the Solway Investment Group and its affiliates in the $170m acquisition of the interests of Hudbay Minerals and its affiliates in a Guatemalan Fenix ferro-nickel project.
The London office of Isle of Man based firm Simcocks Advocates handles corporate and commercial, private client, and dispute resolution work, and also advises on UK-related property deals.
Global firm Walkers advises financial institutions and corporations worldwide in relation to BVI, Cayman Islands and Jersey law, with experience across banking, capital markets, structured debt, securitisations, asset financing, captive insurance, international equity offerings and listings, funds, and commercial and trust litigation. Vicki Hazelden is office managing partner.

Supreme Court provides guidance on forum conveniens and piercing the corporate veil

This article considers the Supreme Court decision in VTB Capital plc v Nutritek International Corp & or s [2013]. Perhaps the most striking aspect of the case is that it casts doubt on the notion that the Court has the power to pierce the corporate veil. The Supreme Court also held that, even if the power to pierce the corporate veil does exist, it does not enable a claimant to hold parties that control a company jointly and severally liable under contracts entered into by that company.
