THE FINNISH ECONOMY appears to be well on its way to recovery from the financial crisis. The Ministry of Finance expects economic growth to revive and increase by 2012 to more than 3 percent. Exports are anticipated to experience robust growth with the revival of world trade and export markets. Improving labour market and realisation of accumulated investment needs are anticipated to drive the increase in domestic demand.

The global financial crisis, which started in the United States, spread to Europe during summer and autumn 2008 and finally to Finland in the late autumn.

Restructuring and Insolvency 2009: Finland

For bankruptcies the main legislation consists of Bankruptcy Act and Enforcement Act (705/2007), with some special legislation also found in Recovery to an Estate in Bankruptcy (758/1991), Act on the Ranking of Claims (1578/1992) and Act on the Supervision of the Administration of Bankrupt Estates (109/1995). Reorganisations and debt adjustments are governed respectively by Restructuring of Enterprises Act (47/1993) and the Act on the Adjustment of the Debts of a Private Individual (57/1993).

The Ministry of Finance appointed on 2 February 2009 a working group to draft proposals on a new Securities Market Act, new legislation on indirect holding of securities, amendments to legislation on the book-entry system and other related legislation. The working group will give its legislative proposals by the end of 2010.

M&A Activity in Finland 2008

In Finland, the first half of the year 2008 was relatively active within the M&A field. However, according to the weekly magazine, Talouselämä, during the second half of the year 2008, the number of the published deals was decreased by 18 % compared to the year 2007. Also KPMG Finland stated that the entire year underwent substantial calming as during January - September 2008, only 444 deals were made which equals 12 % drop compared to 2007. Thus the decrease in volumes was noticeable from the year 2007 as the effects of the current financial turbulence were beginning to emerge.

On November 15, 2008 Helsinki Court of Appeal (the "Court") handed down its decision in a criminal case concerning the alleged security markets information offence by a software company, Stonesoft Oyj, and three members of its management team. The Court held that two members of the company's board of directors and a former CEO through gross negligence had failed to give a profit warning in due time. All defendants were fined. The Helsinki District Court had acquitted the defendants one year earlier.
