Cobalt’s ‘excellent team’ is ‘well able to deal with a broad range of complicated assignments’, which it frequently demonstrates in complex big-ticket transactions: notably, Martin Simovart advised leading ride-hailing platform Didi Chuxing on its investment in transport app Taxify and the ‘results-orientated’ Peeter Kutman, who ‘really knows what he is doing’, assisted Korona Invest Fund with an investment in the digital agency Wunder. Ott Aava and Karl Kull are other names to note. Triin Ploomipuu is now with Derling.

Ellex is ‘among the very best in Estonia and always provides an excellent service within agreed timescales’. The highly regarded team advised Trilini Energy on its €70m acquisition of Estonia's gas utility company Eesti Gaas and the ‘very professionalRisto Vahimets routinely assists Sportland International Group with corporate matters. The ‘flexibleSven Papp stands out for his ‘breadth of knowledge’. Martin Käerdi is also noted.

Fort is strong across the board for transactional and regulatory advice. In a recent highlight, the group assisted Elisa Corporation with the acquisition of Starman’s Estonian business. Other key clients include Eften Capital, Tuleva and East Capital Real Estate. The ‘knowledgeable’ Minni-Triin Park and Kuldar-Jaan Torokoff are highly regarded and Kirsti Pent scores ‘10/10 every time’. Margus Kõiva is another name to note.

At Sorainen, Karin Madisson jointly heads the team with Toomas Prangli, who is ‘able to advise not merely on technical legal issues but also most importantly on how to get the deal done in Estonia’. In a matter involving multiple jurisdictions the ‘highly responsive and very practical’ team represented Krässik and other companies of the Daxin group in complex criminal and civil proceedings related to corporate activities of the former management board. The group which has ‘real strength across the board as well as the capacity to handle several major projects at the same time’, also routinely advises clients such as Nordea and Sanoma Corporation. Paul Künnap is recommended. Piret Jesse was a new arrival from Jesse & Kalaus Attorneys in 2018.

Derling frequently provides corporate support to the Estonian subsidiaries of large multinationals as well as acting in large cross-border deals: recently, the group advised Nortal on its merger with Swedish marketing automation group Element. Rolan Jankelevitsh heads the team that also includes Toomas Taube, who ‘works really hard for his clients’. Triin Ploomipuu was a new arrival from Cobalt.

Eversheds Sutherland Ots & Cohandles the most complex matters efficiently’: the ‘attentive and knowledgeable’ team recently advised Takeda Pharmaceuticals International on the disposal of a pharmacy packing plant. Practice head Maivi Otsreally understands her clients’ business and finds workable solutions without wasting time’ and senior associate Lauri Liivat provides ‘excellent support, is pragmatic and reliable’.

TGS Baltic has considerable expertise in the real estate, IP and energy sectors. Highlights included advising Cybernetica on the sale of its navigation systems business unit to Carmanah Technologies. Gravity Partners is another active client. Sander Kärson and Kadri Kallas are recommended along with Leonid Tolstov.

Tark’s corporate ‘lawyers work quickly, always see the bigger picture, provide complete solutions’ and a ‘personalised and professional service’. Clients include VAKLAK and Kosmopark. Hannes Küün is ‘business-minded and flexible when providing solutions’; the ‘very knowledgeable’ Marit Savi as well as ‘hardworking and goal-oriented’ Tanel Küün are also recommended.

Alterna recently advised several shareholders of Osaühing ÄÄSMÄE AIAND on the sale of their shares to the majority shareholder. Leapin Business Service is another key client. Annika Vait is a ‘rare gem who does not only focus on what the client has told her, but also looks at the bigger picture, identifies the potential risks and then addresses them promptly’; Siret Siilbek is ‘very practical’ and Epp Lumiste joined the team from Leadell Pilv.

Boutique firm Jesse & Kalaus Attorneysreally understands its clients’ business and the fact that a solution has to be both legal and make sense for the business’. ‘Hands-on’ Tanel Kalaus is ‘business-minded and always tries to find solutions that work best from a business perspective’ and Piret Jesse is ‘very responsive, quick and smart’. Ingman Group and Creative Union are key clients. Since publication the firm has closed down. Piret Jesse is now with Sorainen and Tanel Kalaus is with Triniti.

Risto Agur at KPMG Law provides ‘high-quality and spot-on advice’. Other members of the ‘very fast, customer-orientated and vastly knowledgeable’ team include Karin Oras and senior associate Veiko-Joel Kokk who ‘quickly grasps the key issues and then finds a solution’. Highlights included advising a corporation on the sale of a real estate company in a highly leveraged management buyout (MBO).

LinkLaw kept busy in 2017 and advised Tomra Systems on its entry into the Lithuanian market. In another key mandate the group is assisting shale oil and chemicals manufacturer Viru Keemia Grupp with the sale of its subsidiary to Aeroc International. Kairi Kurisoo heads the team.

Magnusson’s ‘well-organised, proactive and practical team’ was recently strengthened by the arrival of Martin Hirvoja, previously active as CEO of Nordic Property, and Priit Pahapill, who joined from Saga Family Office. Headed by Jaanus Mägi, the team assisted Inter Cars, a Polish listed company, with its incorporation in Estonia and continues to advise it on various corporate matters.

Njord Law Firm’s corporate group advised DFDS on the acquisition of the Paldiski (Estonia) - Hanko (Finland) shipping line from Navirail. Other major clients include Costech Microanalytical and Nordic Impex. Anne Veerpalu heads the practice.

Teder Law Firm has particular expertise in advising on start-ups and technology agreements as well as engineering, procurement and construction contracts. The group recently assisted longstanding client Rävala Galleries with the opening and operation of a major shopping centre in Tallinn. Mariana Hagström and Marko Pikani are key contacts. Clients include Ericsson Eesti and Eesti Post.

Glikman Alvin acts on a myriad of corporate governance issues for foreign institutions and routinely represents them in bankruptcy proceedings. Highlights included advising Bank of Moscow on selling its Estonian subsidiary Eesti Kreedipank. Another key client is Playtech Estonia. Ain Alvin and Paul Keres are recommended.

Leadell Pilv’s corporate team routinely advises on the full spectrum of corporate and commercial matters, including assistance with corporate governance and M&A. Clients include Global Marine Supply and Happyrent. The ‘analyticalAivar Pilv, the ‘very professional’ Urmas Kõrgesaar, Pirkka-Marja Põldvere and Britta Oltjer, who has a ‘very good knowledge of public procurement and corporate law’, are all recommended.

Advokaadibüroo PricewaterhouseCoopers Legal OÜ recently advised SRC Group on the creation of an effective business structure for its companies. Indrek Ergma and Karin Marosov are the key contacts and Imbi Jürgen is ‘very knowledgeable on all matters in the energy sector’.

Hedman Partners excels at corporate work for medium-sized companies and was recently active in a number of local and cross-border corporate transactions. Clients include Nobe Partners. The ‘very proactive’ Merlin Salvik ‘really takes the time to understand her clients’ business’ and Dmitri Tšimpoaka is ‘very resourceful and knowledgeable’.

The ‘diligent and responsive’ Ants Karu at Lextalcombines a good knowledge of tax and corporate law while keeping a clear focus on what is important and what is not’. Recent work highlights include advising Sevenoil and three other sellers on the sale of seven gas stations.

Rask Attorneys-at-Law is advising Unimed Combined Clinics on the acquisition of several well-known medical firms and also assisted another client with the sale of seven gas stations. Ramon Rask is ‘smart and professional’.

Triniti Estonia advised the shareholders of Arctic Sport fitness clubs on the sale of the company to UAB Impuls. Ergo Blumfeldt is recommended. Tanel Kalauswas a new arrival from Jesse & Kalaus Attorneys in 2018.
