Cobalt¬†recently acted for¬†Hamburger Hafen und Logistik on its acquisition of Transiidikeskuse.¬†Peeter Kutman¬†and¬†Martin Simovart¬†head the practice, which also advised Luminor Bank on Blackstone's acquisition of a 60% stake in the business, in a deal worth around¬†‚ā¨1bn. Specialist counsel¬†Ott Aava¬†and senior associate Karl Kull¬†are highly recommended. TMB Group, Alexela Oil and DiDi Chuxing are other notable clients.

Ellex¬†recently advised Daimler on its ‚ā¨175m investment into Taxify, a matter led by Risto Vahimets. Another recent key mandate for the team is its advice to Blackstone on its acquisition of a 60% stake in Luminor Bank, one of the largest deals in the history of the Baltic market. The practice is led by¬†Sven Papp, while new arrivals¬†Ermo Kosk¬†and¬†Gerli Kilusk,¬†formerly of Primus' Estonian office,¬†are also recommended. Other key clients for the firm include Enefit Green, Olympic¬†Entertainment Group and¬†Mandatum Life Insurance Baltic.

FORT's corporate and M&A team recently¬†advised Capitalia Finance on merging its Baltic operations into a Societas Europae. Minni-Triin Park¬†heads the practice, which is noted for its 'deep and pragmatic understanding of Estonian regulatory requirements', along with Torokoff. Margus K√Ķiva¬†is also noted. The firm's other key clients include Admiral Markets and Ergo Insurance.

Sorainen¬†has a track record handling headlines matters and recently advised Providence Equity Partners on its acquisition of the Baltic operations of Modern Times Group, in a deal worth¬†‚ā¨115m, which was part of¬†a pan-Baltic engagement for the firm.¬†Toomas Prangli,¬†Karin Madisson¬†and¬†Piret Jesse¬†head the 'very solid' practice, which also recently assisted Nordea with the creation of Luminor as a joint venture with DNB and acted for Nelja Energia on its acquisition by state-owned Enefit Green. Other key clients include Novalpina Capital and Eltel.

Rolan Jankelevitsh  heads the corporate and M&A practice at Derling Primus, which recently advised Technolines on the acquisition of Eltel Networks. The firm also recently assisted Taxify's minority shareholders with issues arising from Didi Chuxing's investment into the company. Toomas Taube, managing partner Hannes Vallikivi and senior associate Triin Ploomipuu, a January 2018 arrival from Cobalt, are also recommended. The firm also acts for clients including Gazpromneft Marine Bunker and Neuromation.

Maivi Ots¬†heads the practice at¬†Eversheds Sutherland Ots & Co,¬†which recently advised Novalpina Capital¬†on its ‚ā¨288.4m acquisition of Olympic Entertainment group, via a voluntary public takeover offer. Other work includes advising¬†Tyr√©ns on its acquisition of Infracap Holding and its subsidiaries. Samsung, Stockmann and Kaupmees are among other key clients for the firm. Lauri Liivat¬†is now with¬†Advokaadib√ľroo KPMG Law.

TARK¬†recently advised¬†Vienna Insurance Group on its highly complex acquisition of Seesam Insurance. Headed by¬†Marit Savi¬†and¬†Hannes K√ľ√ľn, the practice is also active in corporate restructuring, having recently assisted Ideal Group subsidiary Avis with its reorganisation in the Baltics. Other key clients for the practice include Velo Partners, Pipedrive and Vaklak, which the firm recently assisted with the acquisition of¬†Torma P√Ķllumajandusosa√ľhing.

At¬†TGS Baltic, a notable mandate for the M&A team was advising pharmacy chain Euroapteek on its acquisition of¬†√úlikooli Apteek, while the corporate team was involved in the restructuring of¬†M√łller Real Estate Baltic.¬†Leonid Tolstov¬†heads the firm's corporate practice, while newly promoted partners¬†Kadri Kallas¬†and¬†Sander K√§rson¬†lead in M&A work. Other key clients for the firm include Cybernetica,¬†Merck Sharp & Dohme, and Talot, which the firm advised on its¬†‚ā¨10.5m¬†acquisition of¬†Lasbet.

Glikman Alvin LEVIN recently assisted Bauschmidt with the sale of its Lithuanian subsidiary, as well as providing corporate governance advice. Paul Keres and Pille Pettai, the latter a new arrival from TEDER Law Firm in June 2018, head the practice, which also advised KredEx on the highly regulated sale of an electronic car charging network. Other key clients for the firm include G4S Eesti, Danske Bank and FB Asset Management.

Karin Kaup¬†heads the corporate practice at¬†Advokaadib√ľroo KPMG Law, which recently advised Kayfoam Woolfson on its cross-border acquisition of Uni Partners. The firm also recently acted for shareholders of streaming services company Mind in negotiating a share purchase agreement following a dispute between key shareholders.¬† Senior associate¬†Triin Antsov¬†is another name to note. Lauri Liivat¬†was a new arrival from¬†Eversheds Sutherland Ots & Co.

LEADELL Pilv¬†recently assisted Chemi-Pharm with the preparation of exclusive distributor agreements in the Baltics and handled the establishment of a holding company for Orion Express.¬†Pirkka-Marja P√Ķldvere¬†leads the firm in corporate and commercial matters and¬†Lada Riisna¬†heads the transactional practice, which provides a 'very high' level of work. Other key clients include Sandsmart and Konga Invest.

LINKLaw¬†recently advised Improbus on the acquisition of shares in Kliimastuudio, Clima Store and K√ľlmastuudio.¬†Kairi Kurisoo¬†heads the 'very focused' practice, which is notable for its ability to 'offer good workable solutions very quickly'. The group also advised Asymmetric Studios on the entry of new shareholders, including drafting transfer documents.

Jaanus Mägi heads the corporate practice at Magnusson, which recently advised FinnFleet Tankers on the creation of a joint investment venture with Taaleri. Other work includes assisting Whirlpool Corporation with the Estonian aspects of a global restructuring. The practice was bolstered in 2018 by the arrival of senior counsel Toomas Mälberg from Supremia Attorneys at Law, and counsel Jeff Brauer from Nevada-based Brauer, Driscoll, Sun and Associates, which has strengthened the firm's cross-border capabilities. Inter Cars and Elers Medical are also key clients.

NJORD Law Firm¬†recently advised AQ Group on its cross-border acquisition of Mecanova Group, a deal worth around ‚ā¨1.1m.¬†Anne Veerpalu¬†heads the practice, which was strengthened by the arrival of¬†Liisi J√ľrgen¬†from Indela. Other clients include Icor and early Taxify investor Peaksjah; the team advised the latter on Didi Chuxing and Daimler's investments into the company.

ALTERNA¬†recently acted for the shareholders of √Ą√§sm√§e Aiand during liquidation proceedings, concluding in a share purchase agreement. The firm also advises LeapIN Business Services on the operation of its e-residency service. The practice is headed by¬†Annika Vait, while attorney-at-law¬†Epp Lumiste¬†is also recommended. Other key clients include Ericsson Eesti, Eventus Ehitus and KredEx.

At LEXTAL, Ants Karu heads the practice, which is notable for its 'very pragmatic, approachable attitude', and 'proactive' team. The group recently advised Dashbird on its restructuring, including re-domiciliation to the US, and also assisted with the company's share option plan. Other highlights include assisting Nordholm with the sale of its shareholding in Vagodent to the company's employees. Ahlström Capital and Astro Vara are also key clients.

At RASK Attorneys-at-Law, the corporate and transactional practice recently acted for Euro Oil's shareholders on Alexela's acquisition of the company, a deal which was one of the largest Estonian energy transactions in recent years. Ramon Rask, who is noted for his 'very good legal knowledge and business acumen', heads the practice, which combines both legal work and 'understanding' of business needs in its advice to clients. Other key clients include SmartCap and Riigi Kinnisvara.

Hedman Partners¬†recently advised SprayPrinter on its re-domiciliation from Estonia to the US, a matter which was led by managing partner¬†Merlin Salvik. Practice co-head¬†Valter V√Ķhma¬†recently led the firm's advice to Palleter on its cooperation agreements with TPG Capital pertaining to the Sixfold platform. The firm is mostly active in the start-up sector, and has been retained by prominent Estonian start-ups such as Taxify.

NOVE recently assisted the Tallinn University of Technology with its coordination of The Once Only Project, including drafting of international consortium agreements. Urmas Volens heads the 'flexible and hardworking' practice, and led the firm's advice to Corle's shareholder's on Network Assets' acquisition of the company. Senior associate Kaija Riismaa is also noted for her 'quick response times' and availability to clients.

Advokaadib√ľroo PricewaterhouseCoopers Legal O√ú¬†recently advised Amber Beverage Group on its acquisition of Remedia. Senior associates¬†Indrek Ergma¬†and¬†Karin Marosov¬†head the practice, responsible for corporate and commercial work respectively. Another key mandate for the firm was its advice to Ergo Insurance on its corporate restructuring, which was led by¬†Viljar K√§hari. Other key clients include Ensto Ensek, Tele2 Eesti and SRC Group.

Triniti Estonia¬†recently advised the shareholders of dental care provider¬†Kaarli Hambapolikliinik on the sale of the company to BaltCap.¬†Ergo Blumfeldt¬†is the name to note at the practice, which has also been strengthened by the arrival of¬†Tanel Kalaus¬†following the dissolution of Jesse and Kalaus Attorneys.
