Very capableAccura Advokatpartnerselskab maintains a leading position in the Danish corporate and M&A market, regularly playing a key role on high-value transactions. Recommended Kåre Stolt and Thomas Weincke assisted Axcel with the acquisition of Nissens, while Jacob Vinther advised the Zibrandtsen family on the divestment of GlobalConnect to EQT. Multi-jurisdictional deals are another strength, with recent examples including acting for Guy Hands on the purchase of McDonald’s Nordic operations; Henrik Juul Hansen led the advice. The now five-partner team has been strengthened by the arrival of Mads Ilum from Lundgrens.

Top firmBech-Bruun is noted for its ‘great performance’ and is ‘among the best in Denmark’. Recent mandates involved the group acting on behalf of Total in its proposed purchase of Mærsk Oil and assisting Advent with the acquisition of Færch Plast from EQT. Jacob Hjortshøj, who is described as a ‘skilled negotiator’ and ‘absolutely top M&A lawyer’, advised Solix Group on its acquisition of KK Group. Steen Rode heads the 18-partner team that includes well-regarded Søren Meisling and Søren Kamp Nørbæk. Monica Reib has left the firm.

Gorrissen Federspiel demonstrates ‘top-level service’ and stands out for its impressive track record in corporate and M&A. Under the leadership of the renowned Klaus Søgaard, the group acts for Danish and multinational companies from various sectors as well as PE funds. Tomas Haagen and Mikael Philip Schmidt assisted Advanced Cooling with the disposal of K. Nissen International to Axcel, while Michael Wejp-Olsen advised Shell International on the divestment of Dansk Shell to Dansk Olieselskab. Key clients include Polaris, Automobiles Peugeot and Solstra Investments.

Well established as a leading firm in Denmark, Kromann Reumert attracts instructions in major M&A transactions and is described as ‘best in class’. The renowned Christian Lundgren assisted Aldes Aéraulique with the purchase of Exhausto shares, while Henrik Møgelmose handled the acquisition of Syngenta's sugar beet seed business on behalf of DLF Seeds. The 18-partner team represents a client roster that includes Natus Medical, Mitsubishi Rayon and Procuritas Partners. Marianne Philip and Jacob Høeg Madsen are recommended. Tyge Rasmussen is now a partner.

ExcellentPlesner fields a 21-partner practice that has a steady track record in corporate matters and is equally at ease with the buy and sell side of transactions. A recent highlight was the divestment of 90% of Dansk Skibskredit; the firm advised the sellers that included A. P. Møller – Mærsk, Danske Bank, and Axcel among others. The team features Christian Kjølbye, ‘highly efficient’ Thomas Holst Laursen and Finn Lernø, who provides ‘in-depth advice’. M&A expert Tue Ravnholt Frandsen is ‘among the best lawyers in Denmark’.

Very goodBruun & Hjejle has carved out a strong position in the Danish M&A market, having had a hand in major transactions in recent years and maintaining a solid position in the mid-cap market. Recent mandates include assisting HMN Naturgas with the sale of its trading company to SEAS-NVE and Eniig; and advising PFA Pension on the acquisition of three English solar farms. Mogens Ebeling and Mogens Thorninger are recommended and Simon Krogh was promoted to partner. Søren Jørgensen is no longer with the firm.

Led by Sebastian Ingversen, DLA Piper Denmark regularly acts for PE funds, financial institutions and foreign investors. Michael Vinther and Karsten Pedersen assisted Artha Transport and UM-Management with the sale of 85% of Umove shares to Cube Infrastructure Fund II. Another highlight was advising Visma Group on the acquisition of Bluegarden. Tony Lund-Burmeister joined from Njord Law Firm and Nicholas Lerche-Gredal was promoted, increasing the number of partners in the team to 18. The firm welcomed Eskil Bielefeldt, Per Buttenschøn and Kristian Hjølund Nielsen to the team following its merger with Delacour.

Horten maintains a busy corporate practice, and is particularly strong in highly regulated sectors such as energy, food and beverage, life sciences, and TMT. Engagements included assisting Nordic Capital with the acquisition of Danish Bake and advising General Electric on the purchase of LM Wind Power. Another highlight was leading the due diligence review related to Centrica’s acquisition of Neas Energy. The nine-partner team is jointly led by Hans Christian Pape and Jacob Kornerup.

Lundgrensgoes the extra mile’ for its clients and has ‘very strong business acumen’. Thomas Kræmer heads the six-partner team that has particular strengths in mid-cap transactions and handles a steady flow of large mandates. Among a selection of significant transactions, the group advised Panalpina on the acquisition of Carelog Freight Service. Boeing, Nets and Pentair are key clients. Christian Scherfig arrived from Bird & Bird Advokatpartnerselskab; Mads Ilum left for Accura Advokatpartnerselskab. Peter Bruun Nikolajsen was a new arrival from now defunct firm Delacour.

The ‘excellent’ team at Moalem Weitemeyer Bendtsen is praised for its ‘responsiveness’ and ‘business acumen’. The five-partner team, under the leadership of ‘brilliant’ managing partner Dan Moalem, focuses on PE clients and their portfolio companies. Moalem acted on behalf of EQT Infrastructure III in the acquisition of GlobalConnect. Notable clients include Axcel, Cisco, and Johnson & Johnson. The group was strengthened by the hire of Bjørn Krog Andersen from Saxo Bank.

Noted for its ‘extremely high service level’, Delacour is particularly active in the Scandinavian market. Recent mandates involved the team assisting Hugo Games with the acquisition of Fuzzy Frog and advising Maj Invest Equity on the purchase of the entire share capital of AClass from Capidea. Eskil Bielefeldt and Peter Bruun Nikolajsen head the team that welcomed Per Buttenschøn from Brockstedt-Kaalund Advokatpartnerselskab. Kristian Hjølund Nielsen is now partner. Eskil Bielefeldt, Per Buttenschøn and Kristian Hjølund Nielsen transferred to DLA Piper Denmark as part of the firm’s merger with Delacour in August 2018. Peter Bruun Nikolajsen is now with Lundgrens.

Lund Elmer Sandager handles a steady flow of transactions for industrial companies and PE clients, often with a cross-border element. Recommended department lead Jacob Roesen assisted the Swedish Tielman Group with the purchase of the majority shares of Fin Form. David Frølich is praised for his ‘commercial mindset’ and ‘proactivity’. The team was bolstered by Nicolai Fløe Jørgensen’s and Ulrik Bayer’s arrival from Moltke-Leth Advokater, Aktieselskab.

Nielsen Nørager’s six-partner team handles a wide range of transactional matters such as advising the PE investment fund of Metro on the acquisition of Planday shares. Other highlights include assisting Kaiserwetter with the divestment of nine Spanish solar parks to Cerberus and handling the sale of QuantumWise to US software corporation Synopsys. Morten Eldrup-Jørgensen, Jens Arnesen and Brian Jørgensen are names to note.

Valued for its ‘deep knowledge’ and ‘fast responses’, Njord Law Firm acts for a broad range of clients ranging from IT companies to fashion brands. The 12-partner team shows particular strengths in cross-border transactions; Erik Larsson assisted Aluflam International with a shareholder’s agreement/joint venture in Korea and Dubai. Thomas Donatzky joined from Accura Advokatpartnerselskab; Tony Lund-Burmeister left for DLA Piper Denmark.

Hans-Christian Ohrt leads the three-partner team at Andersen Partners that has notable experience in structured sales processes, shareholder’s agreements and due diligence reviews. Among its transactional highlights, Jon Stefansson assisted B. Schrøder Holding with its sale of Pro-Automatic to Pro Holsted Holding.

Bird & Bird Advokatpartnerselskab leverages its international network and advises clients such as Hewlett-Packard, Fujifilm Europe and Nets on a broad range of transactional matters. Practice head Casper Moltke-Leth assisted Neye with the acquisition of Kaza. Christian Scherfig is now with Lundgrens.

Dahl Law Firm fields a ‘hard working’ eight-partner group that handles the full range of transactional advice for public, private and institutional investors, PE funds, venture capitalists, as well as buyers and sellers. Practice head Henning von Lillienskjold specialises in cross-border transactions, while Kim Ricken Jørgensen advises on corporate law matters.

Exceptionally goodElmann advises Danish and international companies, PE funds and family offices on all M&A aspect. ‘Experienced’ and ‘competent’ Søren Ingerslev assisted KMD with the purchase of EMT Nordic, Edlund and UVD, while Peter Mollerup represented the management of IO Interactive in a management buy-out.

The ‘very professional’ team at Galst is particularly active in mid-market deals.. Representative clients are Leman International System Transport and Dane Capital. ‘Thorough’ and ‘experiencedHans Christian Galst and ‘attentiveChristian Steen Laursen are recommended.

Magnusson Advokatfirma’s corporate team is ‘fast’ and ‘dedicated’. It advised Boligfonden DTU on the set-up of a joint venture with PensionDanmark in relation to a student housing project. The group has been strengthened through the hire of Sam Jalaei from Kønig & Partnere, who heads the Middle East desk. Nikolaj Juhl Hansen is recommended.

Under the leadership of Lars Lüthjohan Jensen, Mazanti-Andersen Korsø Jensen advises on all aspects of national and international mergers and acquisitions. The team also includes Frederik B. Hasling, who regularly acts for clients from the food industry, and private equity expert Henrik B. Sanders.

Highly recommendedNordia Advokatfirma has experience in a range of corporate and commercial transactions and regularly handles cross-border matters. Recent mandates include advising Barfoed Group on shareholder agreements and mergers. Simon Sørensen heads the four-partner team that includes Niels Wegener.

The ‘young and very capable team’ at Skau Reipurth & Partnere is led by Peter Skau-Andersen and acts for Danish and international buyers and sellers. A recent highlight was assisting Thorpe Interior Group with the sale of Fabric Systems to Kvadrat Soft Cells. The group welcomed Anders Hermansen from Bruun & Hjejle.

The two-partner team at Clemens has notable experience with mergers, de-mergers, and divestments for primarily Danish clients. Practice head Tommi Hjelmdal Ahrenholt specialises in joint venture structures and business transfers, while Dennis Birkeholm Larsen handles restructurings.
