With notable international experience at both partner and associate level, the team is also well equipped to handle complex, cross-border transactions. In one example, a team led by Ronald Herscovici and Daniel de Miranda Facó acted for Vale on the sale of its fertiliser business to Mosaic: an approximately R$8bn deal that involved the US, Brazil, Argentina, Peru and Canada. Elsewhere, Marcos Rafael Flesch and Ana Carolina Passos advised Hypermarcas on the sale of its personal hygiene business to Ontex Group. The team is co-led by Flesch and Maria Cristina Cescon, who draws on over 25 years of experience in advising leading financial institutions, private equity funds and corporations. It has established itself as a leading firm for high-end M&A in Brazil, and is home to a number of internationally experienced lawyers who can handle multi-jurisdictional transactions. The firm has several international desks; as part of its focus on German companies doing business in the country, a specialist German desk was set up in 2010 under the supervision of André Alarcon, and the firm also has a longstanding Korean desk and a Chinese desk, established in 2014. It has also been expanding its private equity work, attracting new instructions from several private equity firms during 2017. In compliance, the firm has established a multidisciplinary group which combines expertise in anti-corruption, criminal law, competition law, public law and infrastructure; Fabyola En Rodrigues and Bruno Drago are key contacts. Among its recent transactional highlights, Thiago Barbosa Sandim advised Deere & Company on the acquisition of German-headquartered company Wirtgen Group. In other global deals, the highly rated Luciana Cossermelli Tornovsky advised Dell EMC on the Brazilian aspects of the $1.62bn sale of its enterprise content division to Open Text Corporation. A ‘well-known and hands-on’ firm, Machado Meyer Sendacz e Opice Advogados achieves a balance between domestic and international transactions, with a focus on high-end and high-visibility deals. Following an internal restructuring, the firm has a merged M&A, capital markets and corporate finance practice under the overall leadership of Nei Schilling Zelmanovits, who works alongside practice co-heads specialising in M&A, private equity and publicly traded companies. Adriana Pallis now heads the corporate law and corporate governance practice. The firm’s full-service offering allows the team to draw on expertise in areas including tax, real estate, labour and infrastructure. A combined tax and M&A team led by Guilherme Bueno Malouf, José Ribeiro do Prado Júnior and Gustavo Rugani advised ArcelorMittal on its agreement with Votorantim to combine their long steel businesses; under the agreement, Votorantim will become a wholly-owned subsidiary of ArcelorMittal and will hold a minority stake in ArcelorMittal. The firm also advised Petrobras on the contracts for an alliance with Total, a significant deal within Petrobras’ divestment programme; Arthur Bardawil Penteado, Daniel Szyfman and Elie Sherique led the team. Mauro Cesar Leschziner and Gabriela Falcão Vieira are also recommended along with Luciana Costa Engelberg, who was promoted to partner in 2017.

Mattos Filho, Veiga Filho, Marrey Jr. e Quiroga Advogados is held in high esteem in the market. The sizeable team has the experience and resources to handle large, complex transactions, both domestic and multi-jurisdictional, and it has established a leading practice in private equity, regularly advising funds and large investors on strategic investments and regulatory matters. On the buy side, highlights included acting for Ultrapar on the acquisition, through its subsidiary Ultragaz, of Liquigás from Petrobras; a team of corporate and capital markets specialists including Maria Fernanda de Almeida Prado e Silva led the advice. In a cross-border deal involving Mexico and Brazil, Moacir Zilbovicius and Rodrigo Figueiredo Nascimento acted for Grupo Lala, listed on the Mexico Stock Exchange, on its acquisition of Vigor Alimentos. Senior partner João Ricardo de Azevedo Ribeiro has broad experience in M&A, corporate restructurings and corporate governance. With a long history, it has established itself as a leading firm in corporate and M&A, as part of a full-service offering; the sizeable litigation department, which has experience in corporate disputes, is one example of the firm’s broad capabilities. The compliance practice has notable experience in anti-corruption, antitrust, financial regulation, public law and white-collar crime matters; José Alexandre Buaiz Neto is a key contact in this space. Recent M&A highlights include advising Natura on the Brazilian aspects of its acquisition of The Body Shop from L'Oréal; Henry Sztutman led the team. Elsewhere, Marcello Lobo advised Brookfield Infrastructure Partners on the acquisition of 90% of the shares of Nova Transportadora do Sudeste – through a private equity investment fund – from Petrobras, a key transaction in the latter’s divestment plan. Partners attracting particular praise are the ‘first-rate’ Alexandre Bertoldi; the ‘very committedFernando Alves Meira; and Francisco Werneck de Albuquerque Maranhão, who is ‘calm and collected and gets things done’. Clearly in the top tier of full-service law firms in Brazil’, TozziniFreire Advogados fields a ‘very professional and pragmatic’ corporate team. The department benefits from the firm’s ‘broad scope of services’, ensuring the input of tax and compliance experts in complex M&A transactions. Clients also highlight the team’s ‘great service culture’. It has notable experience acting for buyers and sellers as well as investment banks acting as financial advisers. In 2017, Darcy Teixeira Junior advised Vallée on its sale to Merck Animal Health, and Elysangela de Oliveira Rabelo Maurer advised Hospital Vera Cruz and over 90 selling shareholders on the sale of a 64.15% interest to Caledônia Saúde. Shin Jae Kim and Renata Muzzi Gomes de Almeida are highly regarded for their compliance and anti-corruption work; the firm was among the first major law firms in the market to establish such a practice, and it continues to go from strength to strength. In 2016, the firm established a dedicated start-ups and innovation practice. The ‘very clever’ João Alfredo Busin Fernandes and ‘smart, practical and responsiveMarcela Waksman Ejnisman are recommended along with Maria Elisa Gualandi Verri, Martin Miralles Pose and associate Carla do Couto Hellu Battilana.

The ‘excellent’ team at Lefosse Advogadosexceeds expectations’ and ‘always looks out for the client’s best interests’. It scores well in terms of both value and number of deals, and has had a hand in several high-profile transactions in the market. Its clients include many private equity firms and listed companies. Highlights in 2017 included advising J&F Investimentos on the sale of its shares (held directly and indirectly) in Eldorado to CA Investment, a subsidiary of Paper Excellence; Carlos Barbosa Mello led the team. Rodrigo Azevedo Junqueira has a strong corporate and capital markets practice; Mirella Abe has broad experience in M&A, restructurings and foreign investment; André Calumby has ‘excellent technical skills’; and senior associate Pablo Arana is recognised for his ‘great diligence’. Christian Roschmann, Luiz Octavio Duarte Lopes, Maurício Paschoal and Sergio Machado are other names to note.

The already sizeable team at Lobo de Rizzo Advogados saw further expansion with the hire of Leonardo Diogo Batista from Dias Carneiro Advogados and Ana Paula Miguel, who re-joined the firm from private equity house Vinci Partners. The department is well versed in representing multinational and domestic companies and private equity firms, and its strong knowledge in regulated sectors such as energy and transport is a major draw. Among a long list of significant transactions, it acted for Mosaic in its acquisition of Vale’s fertiliser business, with Valdo Cestari de Rizzo leading the team on this cross-border deal. Otávio Lucas Solano Valério assisted Itaúsa in its acquisition of a 7.65% stake in Nova Transportadora do Sudeste held by Brookfield through an investment fund. Regina Gasulla Bouza, Rodrigo Millar de Castro Guerra, In Hee Cho and associate Marcelo Frioli Droghetti are other active members of the department.

Pinheiro Guimarães – Advogados is a leading name for corporate and M&A. Its vast experience includes advising on company incorporation, joint ventures, the structuring of foreign investments and high-value M&A. In the private equity space, it advises on the structuring and negotiation of private equity investments and funds, financing in domestic and international markets, and acquisitions and divestments. Rodrigo Marcilio acted for Arla Foods Amba on its sale of Vigor Alimentos to Mexican company Grupo Lala; Plinio Pinheiro Guimarães Neto and René Mostardeiro Brunet acted for Grupo Globo on the merger of its subsidiary Zap with Viva Real Brazil; and André Sigelmann and Daniela Melo Fassheber advised EDF Énergies Nouvelles on the purchase of an 80% stake in six photovoltaic power plants from Canadian Solar. Francisco José Pinheiro Guimarães and Marcelo Lamy Rego co-head the department alongside Pinheiro Guimarães Neto.

The ‘flexible’ team at Stocche Forbes Advogados is ‘focused on finding alternatives and solutions’. It has an impressive track record representing private equity funds, with clients including Blackstone, Tarpon Investimentos and One Equity Partners. The firm also has an established public company desk, with a dedicated team providing capital markets and regulatory advice to a range of longstanding clients. Significant M&A instructions in 2017 included advising Paper Excellence affiliate company CA Investment on the acquisition of Eldorado from J&F Investimentos; Guilherme Forbes led on the transaction alongside Luiz Felipe Martins Costa, who is noted for his ‘strong negotiation skills, knowledge and creativeness’. Flavio Meyer and André Mestriner Stocche each draw on almost 20 years of experience in corporate transactions. Fernanda Rezemini Cardoso has a broad corporate practice that includes representing shareholders, managers and companies in proceedings before the Securities and Exchange Commission of Brazil.

The lawyers at Trench Rossi Watanabe are noted for their ‘good knowledge, quick responses and availability’. The corporate and M&A team is able to leverage the firm’s impressive office network to assist in global transactions; in addition to advising on foreign investment into Brazil, the group also assists Brazilian companies making outbound investments, which has become rarer in the market in recent years. In a transaction involving 19 jurisdictions, Mauricio Pacheco worked alongside colleagues in Washington DC in advising GCP Applied Technologies on the sale of Darex Packaging Technologies to Henkel. ‘Good negotiatorAlberto Moriknows how to make things happen in a meeting’, and co-heads the practice with Nazir Takieddine and Anna Tavares de Mello. Veirano Advogados provides ‘an excellent service’ to its clients, which include leading companies in the automotive, TMT and pharmaceutical sectors. Among its work highlights in 2017, Paula Surerus and Valdir Rocha advised Hertz on the sale of its Brazil operations to Localiza Rent a Car and its subsidiary Localiza Fleet. Private equity is another focal area, with Renata Fialho de Oliveira a key contact in this space. The ‘committed, available and competentCarlos Loboalways comes up with creative solutions’. Lior Pinsky and Sérgio Bronstein are other leading practitioners in the team, often taking a lead role in the department’s major transactions. Augusto Cesar Barbosa de Souza and associate Vanessa Felício are also recommended. Fábio Figueira co-heads the team with de Souza.

Azevedo Sette Advogados has a large and well-regarded corporate and M&A team. Many of its lawyers have notable international experience and handle cross-border transactions, particularly ones involving US and European parties. The firm has recently set up a dedicated Italian desk under the leadership of Rafael Bassoli. It also has an active private wealth and succession planning practice; and anti-corruption and compliance is another strength: Luiz Eduardo Salles, whose practice takes in antitrust, international trade and anti-corruption, is the name to note. Luiz Augusto Azevedo Sette and Fernando Azevedo Sette are the corporate practice heads. Among the team’s recent work highlights, Ana Paula Terra Caldeira advised Serabi Gold on its acquisition of Chapleau Resources. Joyl Gondim left for Demarest Advogados.

The busy M&A practice at Cascione, Pulino, Boulos & Santos Advogados attracts instructions from major players in the market, counting Raízen, Haribo and Grupo Abril among its clients. Infrastructure projects are a focus at the firm, which has a strong track record in airports, highway and energy transactions; Daniel Engel, who joined from Felsberg Advogados in 2017, is a key contact in the latter area. Augusto César Rodrigues, Eduardo Boulos, Milana Martins and Eduardo Juaçaba are also recommended at partner level, and the department features a number of experienced associates, including Luiz Eduardo Malta Corradini and Guilherme Bertolini Fernandes dos Santos.

KLA-Koury Lopes Advogados was among the first firms to establish a compliance and anti-corruption practice; Isabel Francois extremely well versed in the FCPA, and has helped to tailor FCPA compliance programs for companies operating in Brazil’. She and Eloy Rizzo are noted for their ‘spectacular English skills, deep familiarity with US culture and rigorous standards’. In M&A, the team remains busy and is a popular choice for clients in the TMT, pulp and paper, and life sciences sectors. Melissa Kanô acted for Bamboo Capital Partners on its acquisition of Compara Online, a Chilean company with two Brazilian subsidiaries. Karin Alvo’s expertise includes venture capital matters, and Tania Liberman is also recommended. Miriam Machado left to join Felsberg Advogados in 2018.

Levy & Salomão’s corporate team is praised for its ‘precise and detailed work’ and ‘fast response times’. It regularly acts on M&A transactions in heavily regulated sectors, including energy and healthcare, and also covers compliance counselling, shareholder disputes, and estate planning for family-owned businesses. Founding partner Jorge Prada Levy oversees the firm’s strategy and planning and co-heads the corporate practice with Daniel Tardelli Pessoa, who is also recommended. Ana Cecília Giorgi Manente and senior associate Christian Galvão Davies are other key members of the team.

The ‘effective, efficient and accurate’ team at Lilla, Huck, Otranto, Camargo Advogados has a well-established national practice advising major Brazilian companies, and also has a growing international client base. A team led by Luis Gustavo Haddad acted as Brazilian legal counsel to all Sementes Selecta shareholders on the sale of 90% of the company to South Korea’s CJ CheilJedang. Bruno Robert is noted for his ‘solid technical knowledge and strong analytical and strategic skills’. Eduardo de Oliveira Lima, Ana Carolina Barbuio Affonso and Diego Billi Falcão are also recommended.

An excellent firm in all respects’, Tauil & Chequer Advogados in association with Mayer Brown is well positioned to handle cross-border M&A thanks to its international office network, and earns particular plaudits for its ‘timely and professional responses’ and ‘solution-oriented approach’. The broad corporate department also takes in debt and equity capital markets. In the compliance area, the team has grown to a total of ten lawyers, including Luís Inácio Lucena Adams in Brasília. The firm is also highly recommended for its expertise in corporate transactions in the oil and gas sector, where Alexandre Chequer and counsel Tiago do Monte Macêdo attract strong praise. Victor Galante co-heads the department with Chequer, and Carlos Motta and Daniel Gunzburger are also recommended.

Vella Pugliese Buosi e Guidoni Advogados established a strategic alliance with global powerhouse Dentons in 2017, and the corporate department is able to draw on an extensive office network in multi-jurisdictional deals. The team is active in the private equity arena, and advises major private equity funds in Brazil on investments and M&A transactions. Rodrigo Vella acted for Blackstone on the acquisition of Acetow from Solvay, and Frederico Buosi advised TPG Capital on an equity investment in Brazilian company Solinftec. Corporate partner Denise Salles advises clients on compliance and corporate governance. Bruno Ferla draws on over 25 years’ experience, and covers M&A, private equity, project finance and capital markets.

The corporate team at Araújo e Policastro Advogados is ‘responsive and reliable’, and has ‘a good understanding of European culture’. It has an impressive track record in M&A, drawing on the experience of partners including Camila da Motta Pacheco Alves de Araújo, José Paulo Bueno and José Theodoro Alves de Araújo, and corporate litigation is also an area of strength. Eduardo Correa Fazoli is noted for his negotiation skills and ‘hands-on approach’. Rising stars in the team include associate Bárbara dos Santos Moreira.

Campos Mello Advogados further expanded its corporate and private equity capabilities with the arrival of Marcelo Araujo Pereira from private equity firm Bozano Investimentos, and Luiz Augusto Osorio and Carolina Marcondes Sant'Angelo were promoted to partner in 2018. Marcus Vinicius Bitencourt is ‘extremely business-oriented’, and has ‘remarkable negotiation skills’. Senior partner Fabiano Gallo specialises in corporate and energy matters. The ‘outstanding’ Juliana Sá de Miranda ‘is well regarded for providing advice on complex matters related to anti-corruption, white-collar crimes and compliance programmes’.

Dias Carneiro Advogados is active in the mid-market but has been steadily expanding its work on large-cap deals. The firm has a strong focus on venture capital transactions, where Eduardo Zilberberg has an active practice. Major Brazilian and international companies also turn to the team for advice on anti-corruption and compliance. The team has seen several changes, with the departure of Roberto Dias Carneiro to BMA - Barbosa, Müssnich, Aragão and Leonardo Diogo Batista to Lobo de Rizzo Advogados, while Artur Fernandes Andrezo joined from Stocche Forbes Advogados. Gustavo Junqueira made partner in 2018.

Machado Associados has notable experience in M&A and a host of non-transactional corporate matters. It is a popular choice for international law firms seeking Brazilian counsel and also attracts a steady flow of instructions from its longstanding domestic and foreign clients. The infrastructure, energy, technology and automotive sectors are among the firm’s industry specialisms. Leading partners include Renata Almeida Pisaneschi, Luciana Felisbino and Gustavo de Freitas Leite, and they are supported by a large pool of experienced associates such as Caio Fink Fernandes.

Pragmatic, fast and easy to reach’, the team at Mattos Engelberg Advogados includes ‘seniors lawyers with a high level of knowledge and commitment to the client’. It is best known for M&A in the mid-market and benefits from a broad firm offering which includes tax, compliance and IP. 2017 saw the team advise buyers and sellers across the agribusiness, TMT and life sciences sectors. Fernando Engelberg de Moraes, André de Godoy Fernandes and Cristiane Borges da Costa ‘are driven by an impressive legal knowledge and find creative solutions for complex problems’. Wagner Garcia Botelha specialises in corporate law, real estate and agribusiness.

Motta Fernandes Advogados has strong relationships with foreign clients with operations in Brazil and elsewhere in Latin America, and is particularly active in the infrastructure, energy, aviation and pharmaceutical sectors. Horacio Bernardes Neto and Roberto Liesegang are leading figures in the corporate and M&A department.

Rodolpho Protasio heads the five-partner corporate team at Mundie e Advogados, which is instructed by a diverse range of companies and private equity investors. The firm’s impressive antitrust expertise is a draw, enabling it to handle corporate transactions through to final competition approval. Protasio and Ana Cristina Moraes advised Heineken on the acquisition of Brasil Kirin Holding.

Under the leadership of Aloysio Meirelles de Miranda Filho, Ulhôa Canto, Rezende e Guerra Advogados has an active and sizeable corporate department working out of São Paulo and Rio de Janeiro. Guilherme Rocha Murgel de Rezende has notable experience in joint ventures and corporate restructurings; Humberto de Haro Sanches’ broad practice takes in corporate and M&A, capital markets and wealth planning; and Marcelo Maria Santos specialises in corporate transactions and real estate.

ASBZ Advogados’ partners draw on significant international experience. The firm has quickly established itself in the market and attracts regular instructions from foreign and domestic companies. Almeida Advogados continued to attract work from its longstanding clients and also picked up several new clients, including Top Land Capital and Tmkt Servicos de Marketing. Keeping the team busy in 2017 were corporate restructurings and M&A, and corporate litigation also features in its workload. André de Almeida is the practice head, and Natalie Yoshida, Ruy Menezes Neto and Larissa da Costa Andrade also regularly have a hand in transactions.

CMT – Carvalho, Machado e Timm Advogados is particularly known for M&A in the south of Brazil, and expanded its already extensive office footprint in the country with the establishment of three new offices in Curitiba, Campinas and Rio de Janeiro. The team also advises on commercial contracts and corporate restructurings. Founding partners Rafael Bicca Machado and Luciano Benetti Timm are among the key contacts, and Renato Vieira Caovilla is recommended on the compliance side.

Candido Martins Advogados is noted for the ‘hands-on and proactive involvement of its senior partners’ and its ‘strong deal-making experience and knowledge’. It has expanded its corporate and M&A practice with several recent hires, including the ‘professional and skilledRenata Simon from InterCement. The ‘detail-oriented’ and ‘client-friendlyHenrique de Faria Martins heads the practice, which also offers compliance and wealth planning expertise.

The six-partner corporate practice at Castro, Barros, Sobral, Gomes Advogados is well known for mid-market transactions. Agribusiness is a sector strength for the firm; in a recent highlight, Helen Gaudio Valente Figurelli advised SeedCorp on the establishment of a global joint venture with Horus Group. Anna Cecilia Rostworowski da Costa Buff and Renato Stetner co-head the department. Fernanda Wolf’s expertise spans commercial contracts, foreign investments and project finance.

Noted for its ‘outstanding professionalism’, DDSA - De Luca, Derenusson, Schuttoff e Azevedo Advogados had another steady year in 2017, advising clients on M&A transactions and corporate reorganisations. Its mixed client base includes Brazilian and foreign corporates which turn to the team for representation in domestic and cross-border deals. Landi, Rodrigues, Nakano e Giovannetti Advogados acts for buyers and sellers in M&A, and also advises its clients on a host of corporate and commercial transactions. Private equity and venture capital are areas of focus for the team, which also has an active practice advising start-ups. The team combines extensive corporate and M&A expertise with a strong compliance offering; large and medium-size companies (including a number of multinationals) turn to the team for transactional support and consulting. Attracting strong praise are the ‘very clever’ José Ricardo de Bastos Martins; the ‘intelligent and sagacious’ Rafael Villac Vicente de Carvalho; and Renato de Oliveira Valença, who has ‘a good level of knowledge in several areas of legal practice’. The sizeable corporate and M&A department at Pereira Neto | Macedo expanded at associate level during 2017; hires included senior associate Maria Beatriz de Andrade Marques Macedo, who joined from Banco Safra. Perlman Vidigal Godoy Advogados has seen notable growth in recent years, and 2018 saw the promotion of Claudio Dener Diaz Gomez to partner. Practice head Marcelo Giovanni Perlman advised Notre Dame Intermédica Saúde on the acquisition of local health plan operator Cruzeiro do Sul. Rothmann Sperling Padovan Duarte Advogados’ corporate team is equipped to handle cross-border transactions, and benefits from the support of the firm’s highly regarded tax team. With an extensive office network in Brazil, Siqueira Castro – Advogados has lawyers based in key cities across the country. The team is also active in cross-border transactions and maintains relationships with numerous foreign law firms. The firm’s busy compliance team is led by João Daniel Rassi and Fernando Villela de Andrade Vianna, and advises on foreign and national legislation. The sizeable corporate team at Vieira, Rezende, Barbosa e Guerreiro Advogados has substantial experience in M&A and other transactions. Among its highlights, Camila Borba Lefèvre and Paulo Vieira advised Itaúsa, Cambuhy and Brasil Warrant on the acquisition of a controlling stake in Alpargatas from J&F Investimentos. Boccuzzi Advogados acts for financial services, energy, healthcare and technology companies – both Brazilian and international – in corporate and commercial matters. In 2017, the team advised a buyer on the acquisition of a minority stake in a healthcare clinic. The practice is co-headed by name partner Eduardo Boccuzzi and Marco Ferreira Orlandi. Chaves, Gelman, Machado, Gilberto e Barboza Sociedade de Advogados has a large corporate team and a steady track record in M&A, where its clients include domestic and multinational companies in numerous sectors. Recent work includes acting for Icelandic company Marel on the acquisition of Sulmaq Industrial e Comercial; Adriano Chaves led the advice. The corporate group at Coimbra & Chaves has transactional, advisory and litigation expertise. Many of its clients have worked with members of the team for over ten years, and the department also continues to attract new clients. In 2017, it handled transactions in the private equity, metals and mining, and real estate sectors, among others. Founding partner Paula Andrade Ribeiro Chaves and senior partner Eugênia Aguiar Siqueira have notable international work and study experience.

With resources in São Paulo, Rio de Janeiro and Brasília, Costa e Tavares Paes Sociedade de Advogados has notable geographic coverage and acts for local and foreign clients in M&A and a host of other corporate and commercial matters. Leite, Tosto e Barros Advogados Associados’ corporate team comprises lawyers with experience in M&A, banking and finance, infrastructure and business crime matters. In a recent highlight, Cristina Alckmin Lombardi advised transport company Brink’s on the acquisition of a payment centres company.
